HomeMy WebLinkAboutTuluksak YSD Waste Heat Elect Inspection PW's Cost Data 1992AEA - Sch t Dishict Inspection) Aq ree ment S COPE. of Wo RK Contract No. X¥¢¢ 53 & YUPIIT eee DISTRICT AND ALASKA ENERGY AUTHORITY PROJECT AGREEMENT Yupiit School District Waste Heat Review PURPOSE AND DESCRIPTION This Agreement entered into this 4 cA day of 7 , is between the ALASKA ENERGY AUTHORITY (Energy Authority) and the YUPIIT SCHOOL DISTRICT (the District). The Agreement provides for an engineering review by the Energy Authority of the District's recently-installed waste heat recovery system and school intertie in Tuluksak (the Project). Funds to cover the Energy Authority's costs for the Project will come from a $28,000 advance payment received from the District for an earlier contract that was not initiated. This Agreement is effective through June 30, 1992. Article A. ALASKA ENERGY AUTHORITY COVENANTS The Energy Authority will: 1. Perform the Scope of Work described in Appendix A. 2. Provide the District and the Department of Community & Regional Affairs with copies of the field report prepared by Energy Authority as a result of its inspection visit to Tuluksak. 3. Complete all work on the Project before June 30, 1992. 4. Budget and ree funds received from the District in the State Accounting System (AKSAS) under AR 32354 Collocation Code 08108009 Ledger Code 81824913. 5. Submit an invoice describing the Energy Authority's Project costs for review by the District when the Project is complete. The invoice will include a a of actual personal services and travel costs, and shall not exceed 500. 6. Refund the balance of the $28,000 owed to the District under the Energy Authority's Contract No. 2800265 (now void), after final inspection costs for this Project have been accepted by the District. YUPIIT SCHOOL DISTRICT COVENANTS The District will: 1. Ensure that Energy Authority staff has complete access to Project facilities and any construction, maintenance and cost records associated with the Project until such time that the Project has been completed and the final report has been submitted. 2. Provide the Energy Authority with written documentation from the District's contractor on the design, engineering or operation of the waste heat system and the high school/elementary school intertie, as requested, including as-built drawings. 3. Grant permission to the Energy Authority to contact the District's construction contractor directly if there are any technical questions concerning design, construction or operation of the Project. 4. Provide written approval of the Energy Authority's final invoice for the Project. Article C. MUTUAL COVENANTS The Energy Authority and the District agree to the following: 1. Indemnification. The District shall indemnify, save harmless and defend the Energy Authority, its officers, agents, servants, and employees from all liability, including costs and expenses, for all actions or claims resulting from injuries or damages sustained by any person or property arising directly or indirectly as a result of any error, omission or negligent act of the indemnifying party, its officers, agents, servants, or employees or anyone directly or indirectly employed by it in the performance of this Agreement. 2. _ Rights to Terminate Agreement. The Energy Authority acknowledges the District's right to terminate this Agreement for failure to perform the services described in Appendix A by June 30, 1992. 3. Parties not Being Agents of Each Other. It is agreed that the Parties, their officers, agents, servants and employees shall act in an independent capaDistrict and not as agents of the other parties in the performance of this Agreement. 4. Disputes. Either party to this Agreement may bring an action against the other party in the superior court for the State of Alaska to resolve a dispute arising under this Agreement. Any lawsuit involving this Agreement shall be heard by the superior court, Third Judicial District at Anchorage. All legal costs, including attorneys’ fees not otherwise provided for in this Agreement, shall be allocated pursuant to Alaska Civil Rule 82. This Agreement and all of its terms, covenants, conditions, appendices and attachments represent the entire agreement and shall extend to and be binding upon the respective heirs, executors, administrators, grantees, successors and assigns of the parties to this Agreement. 6. Severability. If any section, Paragraph, clause or provision of this Agreement or any agreement referred to in this Agreement shall be finally adjudicated by a court of competent jurisdiction to be invalid or unenforceable, the remainder of this Agreement shall be unaffected by such adjudication and all the remaining provisions of this Agreement shall remain in full force and effect as if such section, paragraph, clause or Provision or any part thereof so adjudicated to be invalid had not been included herein. 7. Notices. Any notice required of either party shall be in writing and, unless receipt of such notice is expressly required by the terms of this Agreement, shall be deemed served when deposited in the mail in a sealed envelope, with sufficient first class postage affixed, and addressed to the appropriate party. PROJECT DESCRIPTION AND SCHEDULE The purpose of this project is for the Energy Authority to perform an engineering review of the District's waste heat and school intertie installations at Tuluksak, that were funded under the Department of Community and Regional Affairs’ (DCRA) Institutional Conservation Program (ICP). The design and construction of the new systems were performed by the District's contractor in 1991. The District has requested the Energy Authority's inspection of work that has been completed. The inspection and final report for the Project will be completed before June 30, 1992. I. SCOPE OF WORK The Energy Authority will perform the following tasks: 1. Inspect as an operating system, the waste heat system and electrical intertie, including, but not limited to, the newly-installed generators, switchgear and associated equipment. 2. Review the contractor's design plans and cost estimate for the « waste heat system and electrical intertie and compare them with the as-built drawings and final cost of materials and equipment actually installed. This includes a review of the District's inventory list to determine whether items on the list were ordered and installed and are operating, and a determination of whether actual costs paid for these items are reasonable and customary. 3. Prepare a final inspection report assessing the waste heat system and electrical intertie construction and the accuracy of the as-built drawings~ The report shall include comments on the conformity or discrepency of the design plans with the as-built drawings. It shall also include commentary on the planned versus actual materials, equipment and costs described in Paragraph 2 above. 4.
