Also enclosed is the Cost of Service Study prepared onder by Honchen & Uhlenkott, Inc. in connection with our last rate | /-\e case with the APUC. Section IV of that study details the components of the per kilowatt wholesale charge to THREA. Please call if you have questions. Sincerely, ALASKA PUBLIC UTILITIES COMMISSION Judfth M. ink fee ction Chief, Tariff Enclosure nr = 5 & printed on recycled paper Oy U.5 RECEIVED June 16, 1992 JUN 3 0 1992 State of Alaska WHOLESALE POWER CONTRACT Public Utilities Commission This agreement made between Alaska Power & Telephone Company (hereinafter called "seller"), a corporation organized and existing under the laws of Alaska, and Tlingit & Haida Regional Electrical Authority (hereinafter called the “purchaser"), a corporation organized and existing under the laws of the State of Alaska. Whereas, the seller currently generates electric power and energy in the Craig, Alaska, area and the purchaser currently purchases said electric power and energy which it sells in the Klawock, Alaska, area; and Whereas, the seller has constructed, leased, and otherwise obtained the necessary generation plant or transmission system or both, for the purpose of supplying electric power and energy to the purchaser in Klawock, Alaska; and Whereas, the purchaser desires to purchase electric power and energy from the seller on the terms and conditions herein set forth; Now, therefore, in consideration of the mutual undertaking, herein contained, the parties hereto agree as follows: i GENERAL. The seller shall sell and deliver to the purchaser and the purchaser shall purchase and receive from the seller all electric power and energy which the purchaser shall require for the operation of its Klawock system to the extent that the seller shall have such power and energy and facilities available. Provided, however, in no event shall the sale or delivery of power and energy or any other requirement required by this contract interfere with’ or jeopardize the supply of power and energy to the retail customers of the seller; nor shall a greater burden be placed on the consumers of the purchaser than would result from the purchaser generating its own electricity without the purchase of power and energy from the seller and the existence of a tie-line and necessary facilities. Provided further, in the event that seller is unable to generate sufficient power to meet its requirements under temporary emergency conditions, seller agrees to purchase such extra power as needed from purchaser and purchaser agrees to sell such power to seller, to the extent that purchaser is capable of supplying such power with its existing facilities, at a rate reciprocal to the existing rate of seller to purchaser. Electric power and energy to be furnished hereunder shall be alternating current, three phase, four wire, sixty Hertz. The seller has constructed all final connections between the system of the seller and the purchaser at the point(s) of delivery. The voltage shall be 12,470 volts, line to line, 60 Hertz, 3-phase, 4-wire wye with neutral. The point of contact and metering point shall be at THREA’s facilities located on the west side of the Craig-to-Klawock Highway in close vicinity of the ANICA store. 3. SUBSTATION. If necessary the seller may install, lease, own and maintain the necessary substation equipment at the point(s) of connection. The seller shall own and maintain switching and protective equipment which may be reasonably necessary to enable the purchaser to take and use the energy hereunder and to protect the system of the seller. Meters and metering equipment shall be furnished, maintained and read by the seller and shall be located at the point of delivery. 4. RATE. The purchaser shall pay the seller for all electric power and energy furnished hereunder at the rates and on the terms and conditions set forth in Rate Schedule A, attached hereto and made a part hereof. Provided, however, the purchaser shall be notified in advance of any purchases of power by the seller from other sources, and purchaser shall have the right to refuse the purchase of same from the seller. 5. METER READINGS AND PAYMENT OF BILLS. The seller shall read the meters that measure-the purchaser’s consumption monthly. Electric power and energy furnished hereunder shall be paid for at the office of the seller in Port Townsend, Washington, monthly within (15) days after the bill therefor is mailed to the purchaser. If the purchaser shall fail to pay any such bill within such fifteen (15) day period, the seller may discontinue delivery of electric power and energy hereunder upon fifteen (15) days’ written notice to the purchaser of its intention to do so. 6. METER TESTING AND BILLING ADJUSTMENT. The seller shall test and calibrate meters by comparison with accurate standards at intervals of twelve (12) months. The seller shall also make special meter tests at any time at the purchaser’s request. the costs of all test shall be borne by the seller; provided, however, that if any special meter test made at the purchaser’s Page 2 of 5 Effective: August 20, 1992 Reference: TA544-2 Page 2 of 5 RECEIVED JUN 3 0 1992 June 16, 1992 State of Alaska Public Utilities Commission request shall disclose that the meters are recording accurately, the purchaser shall reimburse the seller for the ‘cost of such test. Meters registering not more than two percent (2%) above or below normal shall be deemed to be accurate. The readings of any meter which shall have been disclosed by test to be inaccurate shall be corrected for the ninety (90) days previous to such test in accordance with the percentage of inaccuracy found by such test. If any meter shall fail to register for any period, the purchaser and the seller shall agree-as to the amount of energy furnished during such period and the seller shall render a bill therefor. 7. NOTICE OF METER READING, TEST. The seller shall notify the purchaser in advance of the time of any meter. reading or tests so that the purchaser’s representative may be present at such meter reading or test. 8. RIGHT OF ACCESS. Duly authorized. representatives of either party hereto shall be permitted. entry and/or access to the premises, facilities and property of the other party hereto at all reasonable times in order to carry out the provisions hereof. 9. CONTINUITY OF SERVICE. The-seller shall. use- reasonable diligence to provide a constant. and- uninterrupted:.supply of electrical power and energy hereunder. If the supply of electric power and energy shall fail or be interrupted, or become defective through act of God or of the public enemy, or because of accident, labor troubles, or any other cause beyond the control of the seller, the seller shall not be liable therefor for damages caused thereby. 10. SUCCESSORS: AND ASSIGNS. This agreement shall inure to the benefit of and shall be binding. upon: the respective successors and assigns of the parties to this agreement. 11. MISCEL ous. A) If any section, paragraph, clause or provision of the agreement shall be finally adjudicated by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions of this agreement shall remain.in full force and effect as. though such section, paragraph, clause or provision or any part thereof so adjudicated. to be» invalid had not been included herein. Box 210149 Auke Bay, AK 99821 The parties may from time to time designate to each other a new address to which notices, demands or requests required or authorized by their agreement may be addressed, and from and after any such designation the address designated shall be deemed to be the address of such party in lieu of the address hereinabove given. Cc) This agreement may be executed in several counterparts, all or any of which shall be regarded for all purposes as one original and shall constitute and be but one and the same instrument. 12. TERM. This agreement and any amendments thereto shall become effective upon the approval of the Alaska Public Utilities Commission (APUC) as a special contract under AS 42.05.361(a) and 3AAC 48.200 - 3AAC 48.450. The term shall be for ten (10) years from the effective date described: herein. Rates: will be revised in accordance with the attached RATE SCHEDULE A. BASE RATE: The purchaser shall pay the seller for all electric power and energy furnished at a Base Rate of : 11 cents per each KWH COST OF POWER ADJUSTMENT (COPA): The purchaser shall pay or receive a credit to each billing for all electric power and energy furnished in accordance with Schedule No. A-3 for the seller’s Craig service area. This Schedule No. A-3 is documented on the seller’s tariff sheets 107, 107.1 and 107.2. Any revisions to the referenced tariff sheets approved by the. APUC will be promptly furnished to the purchaser. REVISIONS TO THE BASE RATE: Future revisions to the base rate will be made whenever the APUC approves the seller’s filing of tariff revision for the affected service area in accordance with the filing requirements of the APUC.
