Beardsley, Contracts Manager (Energy) Alaska Industrial Development and Export Authority DATE: October 11, 1993 SUBJECT: Contracts, Projects, RSAs, etc. During our meeting on October 6,1993, to discuss assignment and management of contracts and other agreements we identified the following contracts for further action: Vendor Person Action Geothermex, Inc. Petrie/Eberle Closeout GEI456 HDR Engineering Hagan Determine if any DCRA OTE553 orders are outstanding or future work is contem- plated, if not then AEA will retain. DCRA will solicit a new contract. DOA FY93 Excess Sieczkowski Determine if only for O&M DOA112 disposal needs. If so AEA will retain. EPRI Utility Lic. Petrie Determine if $0 applies EPR188 to both DCRA and AEA. GE Power Syst. Sieczkowski Determine if only AEA GEC611 is utilizing. Emerg. Svcs MOU Hagan Determine if MOU affects MVA154 AEA owned facilities. If AEA will need to prepare a second MOU. Steve Wells October 11, 1993 Page 2 Weiland Trans. Eng. With the exception of the Waste Heat projects and interties for those projects, the remaining contracts and RSAs on the listing dated 20-Sep-93 will be apportioned as identified by each of us. A list of those agreements that AEA will retain control over is attached. The remaining ones will be managed by DCRA. It was apparent that several RSAs were not included and some contracts were not on the listing. Marlys Hagan is attempting to determine why they were not listed and how to get a complete listing of all contracts and agreements. AEA has identified managers for the contracts identified on the attached list and will notify the vendors of the change of address and contract management parties. For those contracts going to DCRA there should be an assignment from AEA to DCRA with a consent by the Vendor. AEA has requested Jim Baldwin to provide us with input on such an assignment. A copy of a memo to him is attached for your information. Please identify who will manage the various contracts for the purpose of making the assignment and notifying the Vendors. Waste Energy Projects We identified several waste energy projects that have facilities owned by AEA. A list of those projects is attached. From yours and Brent Petrie's perspective the projects should go to AIDEA/AEA and not DCRA. The reasons are: (1) the listed waste heat projects are owned and operated by AEA, (2) AEA has used a line of credit to make improvements and repairs, and (3) any funds received will lapse annually if placed in DCRA's general fund component which will not allow accumulation of funds needed to maintain and repair the various facilities. AEA will confirm that the legislation contemplated the waste heat facilities will remain with AEA. We have included funding in the AEA budget for a RSA between AEA and DCRA so that DCRA will continue perform the O&M services and capital improvements as necessary. Litigation It appears that the current litigation may be resolved prior to the end of transition. If not the GVEA et al case will remain with AEA and the Chester Lake case will likely go to DCRA. A third condemnation case, the Parker case will remain with AEA. Last week I provided you with a list of the various contracts, RSAs and agreements and a separate list of projects that are still active according to Gloria Manni. If possible can we meet on Tuesday afternoon at 2:00 in the conference room to determine which contracts, agreements, etc. will go with each agency? By monday morning we will provide you with a highlighted copy identifying those items that should go with AEA and the person responsible. Please make a preliminary sort on those that you believe should go with DCRA/DE and who will be responsible for managing the contract, agreement, etc. If there are other contracts, claims etc. that you are aware of, please bring that information to the meeting. Beardsley, Contracts Manager (Energy) Alaska Industrial Development and Export Authority DATE: September 9, 1993 SUBJECT: Litigation and Pending Claims CONFIDENTIAL After review of the August 2, 1993, letter from Gloria Manni to Charles E. Cole, AIDEA's preliminary sort as to the litigation and pending claims is listed below. The ultimate disposition will need to be approved by the Attorney General's office. LITIGATION AIDEA: Golden Valley Electric Association, et al. v. Alaska, Energy Authority. x Undecided: . , /\ AUN Alaska Energy Authority v. Fairmont Insurance Company. ( \\ii% eee PEND. M AIDEA: Bradley Lake Hydroelectric Contamination. Bradley Lake Hydroelectric Project Tunnel Dewatering and Inspection. Unalaska Feasibility Grant. Solomon Gulch FERC Fees. DCRA: Allakaket Fork Lift Claim. Red Devil Contamination. While the listing indicates the AEA v. Fairmont Insurance Company suit is in the undecided category, there are pros and cons for it to be under the responsibility of either AIDEA or DCRA. Our understanding is that this project is a part of the rural funding program, it has no remaining funds in the appropriation and in the event of sufficient recovery, the funds will be allocated first to additional repairs with any remaining proceeds returning to the general fund. Irregardless of which agency ultimately takes responsibility for the case, any and all liabilities and obligations to fund necessary litigation to make a recovery will reside with the agency managing the case. The Attorney General's office will be requested to prepare the paperwork to assure the necessary authorities and obligations reside with the appropriate agency. DWB:ec cc: W. Snell, AIDEA D.
