Authorization to accept these grants was received from the Board of Education of the Lower Kuskokwim School District at their August 24, 1991 Regular Meeting per Resolution 91-12 for Kongiganak and Resolution 91-13 for Toksook Bay (attached for reference). By return correspondence, please provide a fully executed copy of the grant and phase payment one for $25,000 (Toksook) and $12,000 (Kongiganak) . Hare, Superintendent of Schools Contract No. Q3cb4yys LOWER KUSKOKWIM SCHOOL DISTRICT ~— GRANT AGREEMENT Toksook Bay Bulk Fuel Repair PURPOSE AND DESCRIPTION This Agreement entered into this 310! day of OcTober 199/__, is between the ALASKA ENERGY AUTHORITY. (Energy Authority) and the LOWER KUSKOKWIM SCHOOL DISTRICT (the District). The Agreement rovides a Grant-in-Aid of Construction to the District to benefit the community of oksook Bay. The purpose of the Agreement is to provide funds for replacement of fuel piping (the Project). The ending date of this Agreement is November 30, 1991. Article A. ALASKA ENERGY AUTHORITY COVENANTS The Energy Authority will: 1. Subject to appropriation and availability, provide the District with a : grant-in-aid of construction not to exceed $50,000 for construction of the Project. Zs Budget and cnpend these funds in the Alaska State Accounting System (AKSAS) under 32452, Collocation Code 08162205, Ledger Code 81825713. _ 3. Upon receipt of an invoice requesting payment, provide funds to the District to cover the cost of construction in the following manner: (a) Upon execution of the grant agreement, provide a 50% advance payment in the amount of $25,000 for purchase of Project materials and initial labor costs. (b) | Upon receipt of as-built sketches and photographs and upon final inspection and approval of the completed project, provide the final 50% payment of $25,000. Article B. . LOWER KUSKOKWIM SCHOOL DISTRICT COVENANTS Lower Kuskokwim School District will: 1. Expend construction funds only for the purposes provided for under this Agreement. 2. Provide all engineering services necessary for the complete engineering design of the project. 3. Design the Project to minimize the cost of repair and to be as maintenance-free as economically possible. 4. Follow the standards outlined in Appendix I in design and construction of the Project. 5. —Complete the following tasks: (a) Remove and dispose of existing piping (b) Replace existing piping with new welded steel pipe (c) Provide the Energy Authority with as-built sketches and photographs of the completed Project 6. Obtain and maintain all rights-of-way, easements and permits required for construction and operation of the Project in a manner consistent with established utility practices. Where practical, the District will seek and obtain permits and rights- of-way on state lands or within Alaska Department of Transportation rights-of-way. Te Complete all work associated with this Project prior to November 30, 1991. 8. Bill the Energy Authority for the percentage payments described in Article A, Paragraph 2, but not in excess of actual costs of construction. 9. Refund to the Energy Authority any funds determined by the District to be in excess of actual expenditures. 10. | Uponcompletion of the project, issue a Notice of Project Completion. A sample of the Notice is in Appendix II. 11. Accept complete responsibility for ownership, operation and maintenance of the fuel line. 12. Permit the Energy Authority to inspect, in such manner and at all reasonable times, all the District’s activities related to the District’s performance under this Agreement. Such right of examination shall include inspection of the District’s offices, facilities, and accounting records associated with the Project. Article C. MUTUAL COVENANTS The Energy Authority and the District agree to the following: 1. Indemnification. The District shall indemnify, save harmless and defend the Energy Authority, its officers, agents, servants, and employees from all liability, including costs and expenses, for all actions or claims resulting from injuries or damages sustained by any person or property arising directly or indirectly as a result of any error, omission or negligent act of the indemnifying party, its officers, agents, servants, or pr: yf or anyone directly or indirectly employed by it in the performance of this Agreement. 2. Rights to Terminate Agreement. The District acknowledges the right of the Energy Authority to terminate this Agreement without payment of liquidated damages to the District if it is determined by the Energy ane to be in the best interest of the State to do so; if funds are no longer available, or for cause. For the purposes of this paragraph, "cause" is defined as the provision of incorrect or misleading information by the District or the District’s failure to provide information that, in the opinion of the Energy Authority, is a material fact that would have influenced Energy Authority actions. Under these conditions, The District waives any right of recourse and will reimburse the Energy Authority for all unspent funds the District has received according to this Agreement plus all costs, including attorneys’ fees, incurred by the Energy Authority to perfect its claim or collect those funds. The Energy Authority may also terminate the Agreement if the District fails to complete repair of the fuel line by November 30, 1991 or if the District fails to meet standards or perform services described in Article B. 3. Availability of Funding. The District acknowledges that this Agreement is subject to availability of money from the State of Alaska or other sources to finance performance under this Agreement. If funding is withdrawn, reduced, or limited in any way after the effective date of this Agreement and before the completion of performance, the Energy Authority may terminate the Agreement without incurring damages. The Energy Authority may, in its discretion, renegotiate the terms of this Agreement to comply with any new funding limitations or conditions. 4. Audit Requirements. This Agreement is subject to the audit requirements of Title 2, Chapter 45 (Grant ——— of the Alaska Administrative Code (AAC), commonly referred to as the "Single Audit Regulation." RS Parties not Being Agents of Each Other. It is agreed that the Parties, their officers, agents, servants and employees shall act in an independent capacity and not as agents of the other parties in the performance of this Agreement. 6. Disputes. Either party to this Agreement may bring an action against the other party in the superior court for the State of Alaska to resolve a dispute arising under this Agreement. Any lawsuit involving this Agreement shall be heard by the superior court, Third Judicial District at Anchorage. All legal costs, including attorneys’ fees not otherwise oes for in this Agreement, shall be allocated pursuant to Alaska Civil Rule 82. 7. Binding Effect. This Agreement and all of its terms, covenants, conditions, appendices and attachments represent the entire agreement and shall extend to and be binding upon the respective heirs, executors, administrators, grantees, successors and assigns of the parties to this Agreement. 8. Severability. If any section, paragraph, clause or provision of this Agreement or any agreement referred to in this Agreement shall be finally adjudicated by a court of competent jurisdiction to be invalid or unenforceable, the remainder of this Agreement shall be unaffected by such adjudication and all the remaining provisions of this Agreement shall remain in full force and effect as if such section, paragraph, clause or provision or any part thereof so adjudicated to be invalid had not been included herein. 9. Declaration of Public Benefit. The parties acknowledge that the Project is to be constructed for the benefit of the general public and will not deny any person use of Project facilities or use of power produced from Project facilities due to race, religion, color, marital status, age, sex, or national origin. 1U. Notices. Any notice required ot either party shall be in writing ana, unless receipt of such notice is expressly required by the terms of this Agreement, shall be deemed served when deposited in the mail in a sealed envelope, with sufficient first class postage affixed, and addressed to the appropriate party. MATERIALS: 1: Piping - Minimum schedule 40 black steel with welded or flanged joints. Gasket material for flanged joints to be compatible with petroleum products. 2. Flex Connectors - Stainless steel corrugated inner tubing with braided wire outer shield. 150# flanged ends. 12" minimum live length. 3. Valves - Flanged end steel, semi-steel, or ductile iron gate, plug, and check valves listed for use with petroleum products. 4. Culverts - Galvanized steel corrugated metal pipe or minimum schedule 40 black or galvanized steel pipe. 5. Piping Supports - Treated wood timbers, steel, or concrete. Il. INSTALLATION: 1. General - To the greatest extent possible, install pipelines above grade. Support piping above grade at 10’ on center. Where burial is necessary for road crossings, install in culverts. Pitch piping to drain to one end. Minimize low-point traps. 2. Routing - To the greatest extent possible, install along route of existing pipelines. Where new alignment is necessary, utilize existing easements/right-of-ways to the maximum extent possible. 3. Flex Connectors - Provide flex connectors at connections to tanks or manifolds, road crossings, branch pipeline connections, and other locations subject to potential differential movement. 4. Fill Point Connection - Provide female camlock coupling, gate valve, and check valve at the fill point connection. Install secondary containment device (bucket or barrel) below fill point connection. Bulk Fuel Emergency Repair Standards Page 2 of 2 Ae TESTING/CLOSE OUT: Testing - Prior to use of lines, pressure test with minimum 50 PSIG air and visually inspect joints and flanged connections using a foaming soapy water solution. Do not air test lines containing residual petroleum products. Where manifolds are tested against existing isolation valves, 10 PSIG air may be used. Documentation - Prepare as-built sketches of project in sufficient detail and clarity to allow preparation of final as-built drawings by others. Sketches to include plan view of entire installation with locations of flex connections, flanged joints, valves, road crossings, etc. and a schedule of materials used including valve manufacturers and models. Provide color photographs of the entire completed installation along with as-built sketches. Box 305 Bethel, AK 99559 Re: Toksook Bay and Kongiganak Bulk Fuel Repair Projects Dear Mr. Kohl: We have reviewed your proposals for the above referenced projects and are very enthusiastic about the opportunity to work with the school district. The proposals are acceptable with the following considerations as discussed in our telephone conversations: TOKSOOK BAY 1. Flex connectors will need to be provided where the piping enters and exits the tank farm. 25 Some form of pressure relief will need to be provided for the distribution piping. Since the tank valves are not being replaced as part of this project, the best solution would probably be to install a relief line from the 1-1/2" distribution line up the side of one of the adjacent tanks and make a tee connection into the tank vent. This will require extension of the vent cap at least 2’ above the tee. 36 Where threaded pipe is being installed, threaded flanges should be utilized instead of unions. 4. A check valve will need to be provided at the fill point connection in addition to the gate valve. To assist in draining the lines after delivery, the check valve should be installed on the fill point side of the gate valve. Then a blind flange with a tapping for hose connection could be used for draining the line. Also, the fill point should be elevated sufficiently to allow installation of some means of secondary containment such as a bucket or barrel. KONGIGANAK i Flex connectors will need to be provided where the —piping enters and exits the tank farm. 26 Some form of pressure relief will need to be provided for the distribution piping. Since the broken valve on tank #6 is being replaced as part of this project, the best solution would probably be to install a pressure relief valve across the gate valve. An installation detail can be provided if required. The valve will need to be of steel or ductile iron construction and we can obtain a manufacturer/model for this if required. If the manifold arrangement will not allow installation of the pressure relief valve, a similar arrangement to Toksook Bay may be used. < Where threaded pipe is being installed, threaded flanges should be utilized instead of unions. 4. A check valve will need to be provided at the fill point connection in addition to the gate valve. See comments for Toksook Bay. We have made inquiries to the Department of Labor regarding applicability of Title 36 wage rates for similar projects with other school districts. The determination we received indicated that if the work is being performed on school district facilities by school district employees, Title 36 does not apply and "force account" labor can be paid at normal rates. We will make specific inquiry regarding these projects, but feel it is safe to assume that you can pay your staff at their normal rate. The grant agreements have been sent to Sue Hare for approval and signature. Copies are enclosed for your information. I have enclosed additional drawing (free hand) to better depict existing conditions and proposed installation methods. In reviewing my material takeoff, I made a mistake in the quantity of 3" black iron wrapped pipe needed, I included the 51 pieces in 3" black iron pipe. I also corrected the weight on the 2 3° x 3/4* black iron tee's. By increasing the quantity of 3" black iron wrapped pipe the materials price has jumped considerably. We are very close to the total cost of the first submission. I have decreased the price of the welder to reflect the current cost, and deleted the 10% contingency. We will install the system to the standards required by Alaska Energy Authority, as per my letter dated July 10, 1991. Are there any other requirements to be met utilizing the Alaska Energy Authority funding, such as Davis Bacon Wages, Buy American, Grant Audit Requirements, etc.? The Elementary School was built by the Bureau of Indian Affairs in the 1960's, the fuel lines at the site are a mixture of thread and coupled and victaulic joints. The piping is not protected from the elements, nor is it blocked up off the ground in a number of places. I estimate the piping is 20 plus years old in parts of the system. The piping runs below grade in a number of places, mainly at road crossings. As you are aware, we had a fuel leak early last winter, the leak happened under the maintenance building, the pipe rotted out and when fuel was transferred from the bulk tanks to the day tanks, it leaked. The valve on a bulk tank was left open and it drained the tank down by gravity, loosing about 5000 gallons of fuel. We have repaired the system temporarily, and instituted changes in the fuel transfer procedures at the site. We are in the process of cleaning up the water system in Toksook Bay. We are planning on replacing the fuel piping at the elementary school this summer/fall. We would appreciate consideration for funding under this program to replace our fuel lines. The enclosed material and labor estimates are based on using welded pipe with swing and flexible joints throughout the system. The material is priced from Alaska Pipe and Supply in Anchorage, the freight prices are for air transport. I have included the cost of a portable welder also, as we do not have one. I feel that the estimates are fair and fairly close to actual time required to do the job. We will meet all of the bulk fuel emergency repair standards dated May 9, 1991, Revision 1.0. He said that the project in Kong was complete except for wrapping some of the pipe and installing some of the supports and they intend to complete that after breakup. I told him that if he sends us the required as-built info and a letter indicating the extent of minor punchlist work and a target date for completion that we may be able to approve final payment (I'll talk to you in greater detail when I receive dGocumentation). All materials are on-site in Toksook Bay but they were unable to start the project this winter. They will start right after breakup. I will need to amend the grant to extend the completion date. He would like to do 2 more sites next summer and will try to have proposals in by late June or early July. He said they ran into a combination of a manpower shortage and internal (office) problems and did not get started on any of the repair projects and it is too cold and dark now. He said he wants to get going on all 4 projects first thing next spring and indicated that there might be one other project he would like to add. The contract that the 4 work orders was issued under expires December 31, 1991. Rather than extend this arrangement, I think it would be better to cancel the work orders and issue new grants directly to the school district to secure the funding for next years work. Hopefully with an earlier start they will be able to get these done. I spoke with Jim Kohl of LKSD this morning. The materials are in Bethel and being staged for shipment to Toksook Bay and Kongiganak this week. He intends to start as soon as the materials are on site and to run both projects simultaneously. The piping from the beach to the bulk fuel storage tanks and from them to the day tanks was completely replaced during the summer of 1992. The Alaska Energy Authority funded this project at $50,000, with an initial payment of 50% at the start of the project. Attached are the closeout documents for this project and an invoice for the remaining 50%. All of the fuel lines were replaced using schedule 40 black iron pipe that was welded at all of the joints. This pipe was then primed and wrapped with 40 mill tape. The lines were blocked up off of the ground, ran through culverts at road crossing and protected as much as possible where they could be. All tank connections are flanged as are the expansion joints. Expansion joints were installed at all tanks and dike crossings. There are two safety relief valves in the lines. One is on the beach fill line and it discharges in to a bulk storage tank. The other safety is located at a day tank in the distribution system.
