CALL TO ORDER Chair Dick called the meeting of the Alaska Energy Authority to order on June 23, 2016 at 12:03 pm. A full quorum was established. 2. ROLL CALL: BOARD MEMBERS Members present: Chair Russell Dick (Public Member); Vice-Chair Dana Pruhs (Public Member); Fred Parady (Deputy Commissioner, Department of Commerce, Community and Economic Development (DCCED) (phone)); Elaine Brown (Public Member); Jerry Burnett (Deputy Commissioner, Department of Revenue); Gary Wilken (Public Member); and Dan Kennedy (Public Member). 3. ROLL CALL: STAFF, PUBLIC Staff present: Sara Fisher-Goad (AEA Executive Director), Michael Lamb, Emily Ford, Jennifer Haldane, Sean Skaling, Kirk Warren, Teri Webster (AEA); Krin Kemppainen (phone), Sherrie Siverson (AIDEA), and Brian Bjorkquist (Department of Law). Others present: Debra Mack (Accu-Type Depositions (phone)); and Eugene Carl Haberman. 4. AGENDA APPROVAL Vice-Chair Pruhs requested to remove Item 7B. Executive Session from the agenda. The agenda was approved as amended, with the removal of Item 7B. 5. PRIOR MINUTES - May 19, 2016 MOTION: A motion was made by Vice-Chair Pruhs to adopt the minutes of May 19, 2016. Mr. Kennedy seconded the motion. Motion passed. 6. PUBLIC COMMENTS Eugene Carl Haberman, resident of Matanuska-Susitna (Mat-Su) Valley, commented the decisions made by the governing body are more likely to be in the public interest if the appropriate process is used for public meetings. Mr. Haberman does not believe a reasonable opportunity is given for the public to be heard because public comments are after approval of the AEA Board Meeting Minutes June 23, 2016 2 minutes on the agenda for this meeting and for the AIDEA meeting, the public comments are before the approval of the minutes on the agenda. Mr. Haberman requested his comments from the AIDEA meeting be included in the record of this AEA meeting. Mr. Haberman noted he attends Matanuska Electric Association (MEA) Board meetings and believes MEA is the least transparent operation in the Mat-Su and Municipality of Anchorage. He expressed the MEA agenda on the website is not the real agenda used at meetings. Mr. Haberman reported MEA distributes packets only to Board members and not to members of the public. He stated the public comment section of the MEA meetings is at the beginning, but the public has no prior access to the information or decisions being discussed. Mr. Haberman cautioned the AEA Board members in their dealings with MEA because of lack of transparency. Mr. Haberman commented he has addressed this issue for some time. Mr. Haberman reported the Alaska Public Offices Commission's (APOC) last meeting was posted on the APOC website, but not posted on the State website. Mr. Haberman stated the Knik Arm Bridge & Toll Authority (KABATA) provides a meeting agenda immediately before the meeting begins. He believes the process is wrong. 7. NEW BUSINESS 7A. Resolution 2016-03 - Appointment of Interim Executive Director & Interim Assistant Secretary - Treasurer MOTION: Vice-Chair Pruhs made a motion to adopt Resolution 2016-03. Motion seconded by Mr. Kennedy. Ms. Fisher-Goad informed Resolution 2016-03 appoints Michael Lamb as the Interim Executive Director. She commented on the constructive transition meetings that have occurred regarding current AEA issues. Ms. Fisher-Goad is confident in Mr. Lamb's leadership and the current management team. A roll call was taken, and the motion passed unanimously. Chair Dick expressed his appreciation in working with Ms. Fisher-Goad. He commented on her outstanding expertise, passion, and commitment to the State and AEA. Chair Dick presented Ms. Fisher-Goad with two gifts made by Alaskan artists. 8. DIRECTOR COMMENTS Ms. Fisher-Goad commented AEA has continually been committed to the challenges of deploying new projects and programs in the state. She expressed appreciation to Board members for their work and focus on the issues. Ms. Fisher-Goad expressed appreciation to Ms. Webster for her dedication and organization. She believes AEA will continue to serve the State of Alaska very well. 8A. Project Fact Sheets 8B. Next regularly scheduled meeting Wednesday, August 10, 2016.
