RESOLUTION NO. 2016-04
RESOLUTION OF THE ALASKA ENERGY AUTHORITY RELATING TO THE
APPOINTMENT OF VARIOUS OFFICERS OF THE AUTHORITY
WHEREAS, Article II, Section 5 of the Bylaws of the Authority provides that the
Executive Director of the Authority is the Secretary-Treasurer of the Authority, and sets out the
duties and responsibilities of the Executive Director, Secretary, and Treasurer of the Authority;
WHEREAS, Article II, Section 5(e) of the Bylaws provides that the Board of D irectors of
the Authority may assign , or authorize the Executive Director to delegate, all or part of such
duties to some other person or persons and give to such person or persons an appropriate title,
including that of Assistant Secretary;
WHEREAS, Article II, Section 10 of the Bylaws provides that officers of the Authority
shall perform such other duties and functions as may from time to time be required by the
Authority or the Bylaws or Regulations of the Authority;
WHEREAS, the Authority reorganized departments and positions by changing "Chief
Operating Officer and Director-Project Implementation" to Chief Operating Officer and
realigning the "Director-Policy and Programs" position to fill gaps created through attrition of
other staff, renaming the position "Assistant Executive Director & Energy Policy Director";
WHEREAS , the board appointed Kirk Warren Interim Chief Operating Officer and
Director-Project Implementation and an Assistant Secretary of the Authority in January
2016 ;
WHERAS, Mr. Warren has demonstrated his ability as Chief Operating Officer, and the
board desires to appoint Mr. Warren to become the permanent Chief Operating Officer;
WHEREAS, the board re-affirmed the appointment of Sean Skaling as Director-Policy
and Programs in January 2016 , and desires to appoint Sean Skaling to become Assistant
Executive Director & Energy Policy Director;
WHEREAS, it is therefore in the public interest to now appoint certain officers of the
Authority .
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY AUTHORITY AS
FOLLOWS:
Section 1 . Kirk Warren is hereby appointed as Chief Operating Officer and an
Assistant Secretary of the Authority.
Section 2 . Sean Skaling is hereby appointed Assistant Executive Director &
Energy Poli cy Director and an Assistant Sec retary of the Au thority .
This Resolution shall become effective immediately upon its passage and approval.
