RESOLUTION NO. 2016-03
RESOLUTION RELATING TO THE APPOINTMENT OF AN INTERIM
EXECUTIVE DIRECTOR AND AN
INTERIM ASSISTANT SECRETARY-TREASURER
WHEREAS, Section 5 of the Bylaws of the Alaska Energy Authority (“Authority”)
provides inter alia, that the Authority shall appoint an Executive Director;
WHEREAS, the Bylaws of the Authority further provide that the Executive Director of the
Authority is the Secretary-Treasurer of the Authority;
WHEREAS, the current Executive Director of the Authority resigned that position
effective July 2, 2016;
WHEREAS, the Board of Directors of the Authority has determined that it is not
appropriate at this time to appoint a new, permanent Executive Director of the Authority; and
WHEREAS, it is in the public interest and in the best interests of the Authority that
Michael Lamb be appointed Interim Executive Director and Interim Secretary-Treasurer of the
Authority; and
WHEREAS, it is in the public interest and in the best interests of the Authority that
during the time Michael Lamb serves as Interim Executive Director and Interim Secretary-
Treasurer of the Authority, that he continue to serve as Chief Financial Officer of the Authority,
but that he not also serve as the Assistant Secretary-Treasurer of the Authority; and
WHEREAS, it is in the public interest and in the best interests of the Authority that Amy
Adler be appointed Interim Assistant Secretary-Treasurer of the Authority to fill the position now
held by Michael Lamb.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY AUTHORITY AS
FOLLOWS:
Section 1. Effective as of July 2, 2016, Michael Lamb, is appointed Interim
Executive Director and Secretary-Treasurer of the Authority. Michael Lamb shall continue to
hold his current appointed position of Chief Financial Officer of the Authority, but shall not
continue to hold his current appointed position of Assistant Secretary-Treasurer of the
Authority.
Section 2 . From time to time , as may be required on a temporary basis, when the
Interim Executive Director is unavailable, the Interim Executive Director may designate any
Assistant Secretary of the Authority to act on h is behalf. The person so designated shall have
all the duties and powers of the Interim Executive Director of the Authority during the period the
Interim Executive Director is unavailable.
Section 3. The Interim Executive Director of the Authority or any Authority staff
member designated by her/him is hereby authorized to sign, on behalf of the Authority, all
contracts, deeds and other instruments made by the Authority, and related documents.
Section 4 . Effective as of July 2 , 2016 , Amy Adler, is appointed Interim Assistant
Secretary-Treasurer of the Authority.
