RESOLUTION NO. 2016-01
RESOLUTION OF THE ALASKA ENERGY AUTHORITY RELATING TO THE
APPOINTMENT AND REAFFIRMATION OF VARIOUS OFFICERS OF THE
AUTHORITY
WHEREAS, Section 5(e) of the By-Laws of the Authority set out the duties and
responsibilities of the Executive Director, Secretary, and Treasurer of the Authority, provide
that the Board of Directors of the Authority may assign, or authorize the Executive Director to
delegate, all or part of such duties to some other person or persons and give to such person or
persons an appropriate title, including that of Assistant Secretary, and that officers of the
Authority shall perform such other duties and functions as may from time to time be required by
the Authority or the By-Laws or Regulations of the Authority;
WHEREAS, Sandra Moller has resigned from her positions with the Authority as Chief
Operating Officer (COO) and Director – Project Implementation, effective December 11,
2015; and
WHEREAS, the Authority requires significant management oversight of rural projects
and programs to provide the important public benefits to Alaska;
WHEREAS, the Executive Director has recommended that Kirk Warren be appointed
as Interim Director to succeed Ms. Moller, and the Board finds it in the best interest of the
Authority to appoint Mr. Warren to the position of Interim COO and Director – Project
Implementation and Assistant Secretary of the Authority,
WHEREAS, the Authority updated titles by changing Deputy Directors to Directors and
changing the title of the Director of Finance to Chief Financial Officer,
WHEREAS, the Authority combined the department of Energy Policy & Outreach with
the Program Development & Project Evaluation department and has eliminated one directors
position.
WHEREAS, it is therefore in the public interest to now appoint, remove or re-affirm
the appointment of, certain officers of the Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY AUTHORITY AS
FOLLOWS:
Section 1. Kirk Warren is hereby appointed as Interim COO and Director – Project
Implementation and Assistant Secretary of the Authority.
Section 2. Michael E. Lamb's appointment as Chief Financial Officer and Assistant
Secretary-Treasurer of the Authority is re-affirmed .
Section 5. Sean Skaling 's appointment as Director-Policy and Programs and
Assistant Secretary of the Authority is re-affirmed .
Section 3 . Gene Therriault is hereby removed as Director-Energy Policy & Outreach
and Assistant Secretary of the Authority.
Section 6.

This Resolution shall become effective immediately upon its passage
