RESOLUTION NO. 2019-01
RESOLUTION OF THE ALASKA ENERGY AUTHORITY APPOINTING KIRK
WARREN AS INTERIM EXECUTIVE DIRECTOR AND CURTIS THAYER AS THE
EXECUTIVE DIRECTOR OF THE AUTHORITY
WHEREAS, the Bylaws of the Alaska Energy Authority ("Authority') provides inter alia,
that the Authority shall appoint an Executive Director, who also serves as the Secretary -
Treasurer of the Authority;
WHEREAS, the last Executive Director of the Authority resigned her position effective
January 11, 2019;
WHEREAS, it is in the public interest and in the best interests of the Authority that Kirk
Warren be appointed Interim Executive Director and Interim Secretary -Treasurer of the
Authority;
WHEREAS, it is in the public interest and in the best interests of the Authority that during
the time Kirk Warren serves as Interim Executive Director and Interim Secretary- Treasurer
of the Authority, that he continue to serve as Director, Railbelt Energy, but that he not also serve
as the Assistant Secretary -Treasurer of the Authority;
WHEREAS, the Board of Directors of the Authority has selected Curtis Thayer to
become Executive Director of the Authority as of a date to be mutually agreed, and has
determined that the employment of Curtis Thayer as Executive Director of the Authority is
necessary to exercise the Authority's powers, duties and functions prescribed by AS 42.45, AS
44.83, and all other applicable laws of the State of Alaska;
WHEREAS, it is in the public interest and in the best interests of the Authority that Curtis
Thayer be appointed Executive Director of the Authority; and
WHEREAS, the Board of Directors of the Authority has negotiated and determined the
compensation of Curtis Thayer as Executive Director of the Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY AUTHORITY AS
FOLLOWS:
Section 1. Kirk Warren is appointed Interim Executive Director and Secretary -Treasurer of
the Authority until Curtis Thayer assumes the role of Executive Director. While acting in this
capacity, Kirk Warren shall continue to hold his current appointed position of Director, Railbelt
AEA Resolution No. 2019-01 Appointment of Interim Executive Director and Executive Director
Energy, but shall not continue to hold his current appointed position of Assistant Secretary -
Treasurer of the Authority.
Section 2. Effective as of a date to be mutually agreed, Curtis Thayer is appointed
Executive Director and Secretary -Treasurer of the Authority.
Section 3. The Board of Directors of the Authority determines that the employment of Curtis
Thayer as Executive Director of the Authority is necessary to exercise the Authority's powers,
duties and functions prescribed by AS 42.45, AS 44.83, and all other applicable laws of the
State of Alaska.
Section 4. The Executive Director of the Authority is authorized and instructed to enter into
a contract with AIDEA providing for reimbursement of costs associated with employment by
AIDEA of the Executive Director of the Authority.
Section 5. From time to time, as may be required on a temporary basis, when the Interim
Executive Director or Executive Director is unavailable, he may designate any Assistant
Secretary of the Authority to act on his behalf. The person so designated shall have all the
assigned duties and powers of the Interim Executive Director or Executive Director of the
Authority, as applicable, subject to any limitations of authority imposed by the Interim Executive
Director or Executive Director, as applicable, during the period of absence.
