RESOLUTION NO. 2019-02
RESOLUTION OF THE ALASKA ENERGY AUTHORITY
RELATING TO AMENDING THE BYLAWS OF THE
ALASKA ENERGY AUTHORITY RESPECTING THE
APPOINTMENT OF THE CHAIR AND VICE -CHAIR OF
THE BOARD OF DIRECTORS AND RELATED MATTERS
WHEREAS, AS 44.83.080 provides, inter alia, that the Authority has the power to make
and alter bylaws for its organization and internal management;
WHEREAS, the bylaws of the Authority provide that the members of the Authority may
amend the bylaws at a regular or special meeting;
WHEREAS, the Authority has previously adopted and amended its bylaws, the most
recent revision was made July 25, 2013;
WHEREAS, AS 44.83.040(a) provides that the chair and vice -chair of the Alaska
Industrial Development and Export Authority ("AIDEA") shall serve as the officers of the
Authority;
WHEREAS, the officers on the board of directors of the Authority are the chair and
vice -chair;
WHEREAS, Article II, Section 1 of the bylaws appoints the chair of AIDEA to be the
vice -chair of the Authority, and further appoints the vice -chair of AIDEA to be the chair of the
Authority;
WHEREAS, it is in the best interests of the Authority and administrative efficiencies of
the board of directors to permit the chair and vice -chair of AIDEA to determine which individual
will act as the chair and vice -chair of the Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY
AUTHORITY AS FOLLOWS:
Section 1. The Authority repeals and readopts Article II, Section 1 of the Bylaws of
the Authority to read as follows:
Section 1. Board of Directors. AS 44.83.030 establishes that the Directors of the
Authority are the members of the Alaska Industrial Development and Export Authority
(AIDEA).
Section 2, This Resolution shall become effective immediately upon its passage and
approval.
