RESOLUTION NO. 2018-01
RESOLUTION OF THE ALASKA ENERGY AUTHORITY RELATING TO THE
AMENDING THE POSITION TITLE OF DEPUTY DIRECTOR KIRK WARREN
FROM CHIEF OPERATING OFFICER TO RAILBELT ENERGY PROJECTS
DIRECTOR, AND CONFIRMING KIRK WARREN’S APPOINTMENT AS
ASSISTANT SECRETARY OF THE AUTHORITY, AND APPOINTING CHIEF
ECONOMIST CADY LISTER TO BECOME AN ASSISTANT SECRETARY OF THE
AUTHORITY, AND RELATED MATTERS
WHEREAS, the By-laws of the Alaska Energy Authority (the “Authority”) provide that the
Executive Director of the Authority is the Secretary-Treasurer of the Authority, and set out the
duties and responsibilities of the Executive Director, Secretary, and the Treasurer of the Authority;
WHEREAS, the By-Laws of the Authority provide that the Board of Directors of the
Authority may by resolution give persons appropriate titles, including that of Deputy Director,
Assistant Secretary, or Assistant Secretary-Treasurer of the Authority:
WHEREAS, a person given an appropriate title by the Board of Directors may be assigned
by the Board all or part of the duties and responsibilities of the Executive Director or Secretary-
Treasurer of the Authority, or may be authorized by the Board to be delegated those duties and
responsibilities by the Executive Director, or may be required by the Board or the By-Laws,
Regulations or policies and procedures of the Authority to perform those duties and
responsibilities;
WHEREAS, the Board of Directors has determined it is in the best interests of the
Authority, and desirable and proper, to change the appropriate title of Kirk Warren from Chief
Operating Officer to Railbelt Energy Projects Director and that Mr. Warren retain the title of
Assistant Secretary of the Authority, and be assigned certain duties, functions, and responsibilities
as may from time to time be delegated by the Executive Director, or as may be required by the
Board or the By-Laws, Regulations or policies and procedures of the Authority;
WHEREAS, the Board of Directors has determined it is in the best interests of the
Authority, and desirable and proper, to appoint and give Chief Economist Cady Lister the title of
Assistant Secretary of the Authority, and be assigned certain duties, functions, and responsibilities
as may from time to time be delegated by the Executive Director, or as may be required by the
Board or the By-Laws, Regulations or policies and procedures of the Authority;
