RESOLUTION NO. 2013-03
RESOLUTION OF THE ALASKA ENERGY AUTHORITY
RELATING TO THE APPOINTMENT OF MICHAEL E. LAMB AS
DEPUTY DIRECTOR-FINANCE, AND ASSISTANT SECRETARY-
TREASURER OF THE AUTHORITY
WHEREAS, Section 5(e) of the By-Laws of the Authority set out the duties and
responsibilities of the Executive Director, Secretary, and Treasurer of the Authority,
provide that the Board of Directors of the Authority may assign, or authorize the Executive
Director to delegate, all or part of such duties to some other person or persons and give to
such person or persons an appropriate title, including that of Assistant Secretary –
Treasurer, and that officers of the Authority shall perform such other duties and functions
as may from time to time be required by the Authority or the By-Laws or Regulations of the
Authority;
WHEREAS, the Authority requires significant administrative support and services
in areas of finance in order for the Authority to fulfill its statutory purposes;
WHEREAS, Valorie Walker is retiring from her positions with the Authority as
Deputy Director – Finance and Assistant Secretary – Treasurer, effective as of the close
of business on May 31, 2013; and
WHEREAS, the Executive Director has recommended that Michael E. Lamb be
appointed to succeed Ms. Walker, and the Board finds it in the best interest of the
Authority to appoint Mr. Lamb to the positions of Deputy Director – Finance and Assistant
Secretary – Treasurer.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASK A
ENERGYAUTHORITY AS FOLLOWS:
Section 1. Michael E. Lamb is hereby appointed as Deputy Director – Finance
of the Authority, with such duties as the Executive Director or the Board may assign to him
from time to time.
Section 2. Michael E. Lamb is hereby appointed as Assistant Secretary –
Treasurer of the Authority, and in that position Mr. Lamb shall perform the duties of the
Secretary of the Authority in the absence of the Secretary, and the duties of Treasurer of
the Authority in the absence of the Treasurer, as well as such other duties as the Executive
Director or the Board may assign to him from time to time .
Section 3 . This Resolution shall become effective immediately upon its
passage and approval.
