Amendment of Bylaws respecting Appointment of Board Chair and Vice-chair.
The attached Resolution No. 2013-04 (Resolution), if adopted , will amend the Bylaws of the
Alaska Energy Authority (AEA) respecting the appointment ofthe Board ofDirectors ' chair and
vice-chair.
AS 44.83.040(a) provides that the chair and vice-chair of the Alaska Industrial Development and
Export Authority ("AIDEA") are the officers of AEA. Current bylaws implement this statute by
appointing the chair of AIDEA to be the chair of the AEA's board of directors, and by
appointing the vice-chair of AIDEA to be the vice-chair of AEA's board of directors .
The resolution 2013-04 proposes to amend this provision by appointing the Chair of A IDEA to
be the Vice-Chair of AEA and the Vice-Chair of AIDEA to be the Chair of AEA.
The burdens placed upon the chair of AIDEA and AEA continue to grow as the scope of
programs and projects for each public corporation expand. Dividing the responsibilities ofbeing
chair of the two corporations between two individuals will help serve administrative efficiency,
and serve the best interests of AIDEA, AEA, and the State of Alaska.
Staff recommends approval ofResolution No. 2013-04.

RESOLUTION NO. 2013-04
RESOLUTION OF THE ALASKA ENERGY AUTHORITY RELATING TO
AMENDING, THE BYLAWS OF THE ALASKA ENERGY AUTHORITY
RESPECTING THE APPOINTMENT OF THE CHAIR AND VICE-CHAIR OF
THE BOARD OF DIRECTORS, AND RELATED MATTERS
WHEREAS, AS 44.83.080 provides, inter alia, that the Authority has the power
to make and alter bylaws for its organization and internal management;
WHEREAS, the bylaws of the Authority provide that the members of the
Authority may amend the bylaws at a regular or special meeting;
WHEREAS, the Authority has previously adopted and amended its bylaws, the
most recent revision made February 29, 2012;
WHEREAS, AS 44.83.040(a) provides that the chair and vice-chair of the Alaska
Industrial Development and Export Authority (“AIDEA”) shall serve as the officers of
the Authority;
WHEREAS, the officers on the board of directors of the Authority are the chair
and vice-chair;
WHEREAS, Article II, Section 1 of the bylaws appoints the chair of AIDEA to
be the chair of the Authority, and further appoints the vice-chair of AIDEA to be the
vice-chair of the Authority;
WHEREAS, it is in the best interests of the Authority and administrative
efficiencies of the board of directors to separate between two individuals the
responsibilities of being chair of AIDEA and of being chair of the Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY
AUTHORITY AS FOLLOWS:
Section 1. The Authority repeals and readopts Article II, Section 1 of the
Bylaws of the Authority to read as follows:
Section 1. Board of Directors. AS 44.83.030 establishes that the
Directors of the Authority are the members of the Alaska Industrial Development
and Export Authority (AIDEA). The vice-chair of AIDEA shall serve as chair of
the board of directors of the Authority. The chair of AIDEA shall serve as the vice
chair of the board of directors of the Authority.
Section 2, This Resolution shall become effective immediately upon its
passage and approval.
