RESOLUTION NO. 2011-01
RESOLUTION OF THE ALASKA ENERGY AUTHORITY RELATING TO THE
APPOINTMENT BY THE AUTHORITY OF AN EXECUTIVE DIRECTOR
WHEREAS , the By-Laws of the Alaska Energy Authority (the "Authority") allow the
Board of Directors of the Authority to appoint an Executive Director of the Authority ;
WHEREAS , the By-Laws of the Authority further provide that the Executive Director of
the Authority is the Secretary-Treasurer of the Authority ;
WHEREAS , it is in the public interest and in the best interests of the Authority that Sara
Fisher-Goad be appointed E xecutive Director of the Authority ;
WHEREAS , it is in the best interest of the Authority that Michael Harper be re-appointed
to continue his duties as Deputy Director-Rural Energy and Assistant Secretary of the Authority;
WHEREAS , the By-Laws of the Alaska Industrial Development and Export Authority
("AIDEA") provide for the hiring of the Executive Director of the Authority , as follows :
The members of [AIDEA] may from time to time , employ an Executive Director
for the Alaska Energy Authority , as the Board of Directors of the Alaska Energy
Authority deems necessary to exercise their powers , duties and functions
prescribed by AS 42.45 , AS 44 .83 , and all other applicable laws of the State of
A laska . [AIDEA] and the Alaska Energy Authority shall enter into a contract
providing for reimbursement of costs associated with employment of the
Executive Director. The selection and compensation of the Executive Director of
the Alaska Energy Authority shall be determined by the Board of Directors of the
Alaska Energy Authority .
WHEREAS , the Board of Directors of the Authority has selected Sara Fisher-Goad to be
Executive Director of the Authority, and has determined that the employment of Sara Fisher-
Goad as Executive Director of the Authority is necessary to exercise the Authority's powers ,
duties and functions pres cribed by AS 42.45 , AS 44 .83 , and all other applicable laws of the
State of Alaska ; and
WHEREAS , the Board of Directors of the Authority has negotiated and determined the
compensation of Sara Fisher-Goad as Executive Dire ctor of the Authority .
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY AUTHORITY AS
FOLLOWS:
Se ction 1. Effect ive as of Febr uary 1, 2011 , Sara Fishe r-Goa d is appointed
Executive Director and Se cretary-Treasurer of the Authority .
Section 2. The Board of Directors of the Authority ratifies its selection of Sara
Fisher-Goad to be Executive Director of the Authority , and further ratifies its determination that
the employment of Sara Fisher-Goad as Executive Director of the Authority is necessary to
exercise the Authority's powers , duties and functions prescribed by AS 42.45 , AS 44 .83 , and all
other applicable laws of the State of Alaska .
Section 3. The Executive Director of the Authority is authorized and in structed to
enter into a contract with AIDEA providing for reimbursement of costs associated with
employment by AIDEA of the Executive Director of the Authority.
Section 4 . Effective as of February 1, 2011 , Michael Harper's appointment as Acting
Executive Director and Secretary-Treasurer of the Authority is terminated , and the continuation
of Michael Harper's appointment as Deputy Director-Rural Energy and Assistant Secretary of
the Authority is confirmed .
Section 5. Effective as of February 1, 2011 , Sara Fisher-Goad 's appointment as
Deputy Director -Operations and Assistant Secretary of the Authority is terminated .
Section 6. The Executive Director of the Authority , or any Authority staff member
designated by her, is hereby authorized to sign , on behalf of the Authority , all contracts , deeds
and other instruments made by the Authority , and related documents .
Section 7 . From t ime to time , as may be required on a temporary basis , when the
Executive Director is unavailable , the Executive Director may designate any Assistant Secretary
of the Authority to act on her behalf. The person so designated shall have all the assigned
duties and powers of the Executive Director of the Authority , subject to any limitations imposed
by the Executive Director in the designation of authority , during the time period designated by
the Executive Director.
Section 8 . Actions taken by the Executive Director and Secretary-Treasurer of the
Authority , or any Authority staff member des ignated by her on or from February 1, 2011 , to the
effective date of this resolution , are co nfirmed and ratified .
Section 9. This resolution takes effect immediately .

RESOLUTION OF THE ALASKA INDUSTRIAL DEVELOPMENT AND EXPORT
AUTHORITY RELATING TO THE EMPLOYMENT BY THE AUTHORITY OF AN
EXECUTIVE DIRECTOR OF THE ALASKA ENERGY AUTHORITY
WHEREAS , the By-Laws of the Alaska Industrial Development and Export Authority (the
"Au thority ") provide for the members of the Authority to hire an Executive Director of the Alaska
Energy Authority ("AEA"), as follows :
The members of the Authority may frqm time to time , employ an Executive
Director for the Alaska Energy. Authority , as the Board of Directors of the Alaska
Energy Authority deems necessary to exercise their powers , duties and functions
prescribed by AS 42.45 , AS 44 .83, and all other applicable laws of the State of
Alaska. The Authority and the Alaska Energy Authority shall enter into a contract
providing for reimbursement of costs associated with employment of the
Executive Director. The selection and compensation of the Executive Di rec tor of
the Alaska Energy Authority shall be determined by the Board of Dire ctors of the
Alaska Energy Authority.
WHEREAS , the Board of Directors of the Authority emp lo yed Michael Harp er to be
Acti ng Executive Director of AEA, effective November 1, 20 11 , pending the searc h and
selectio n of a permanent Executive Director of AEA ;
WHEREAS , the Board of Directors of AEA under AEA Resolution No . 2011-0 1 has
determined that the emp lo yme nt of Sara Fisher-Goad as Executive Director of the Authority is
necessary to exe rcise AEA's powers , duties and functions prescribed by AS 42.45 , AS 44.83 ,
and all other app licabl e laws of the State of A la ska ;
WHEREAS , the Board of Directors of AEA under AEA Resolution No . 2011-01 has
selected Sara Fisher-Goad to be Executive Director of AEA;
WHEREAS , the Board of Directors of AEA has negotiated and determined the
compensat ion of Sara Fisher-Goad as Executive Director of AEA;
WHEREAS , the Board of Directors of AEA under AEA Resolution No . 2011-01 has
authorized and instructed the Executive Director of AEA to ente r in to a contract with the
Authority providing for reimbursement of costs associated with employment by the Authority of
the Executive Director of AEA ;
WHEREAS , it is in the public interest and in the best in terests of the Authority and A EA
that Sara Fisher-Goad be employed as Executive Director of AEA; and

WHEREAS , it is in the public interest and in the best interests of the Authority and AEA
that the employment of Michael Harper as Acting Execut ive Director of AEA be terminated , with
the understanding that Michael Harper will continue to be employed by the Authority as a
Deputy Director of both the Authority and AEA.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA INDUSTRIAL
DEVELOPMENT AND EXPORT AUTHORITY AS FOLLOWS:
Section 1. Effective as of February 1, 2011 , Sara Fisher-Goad is hired as Executive
Director of the Alaska Energy Authority .
Section 2. The Executive Director of the Authority is authorized and instructed to
enter into a contract with AEA providing for reimbursement of costs associated with
employment by the Authority of the Execu tive Director of AEA.
Section 3. Effective as of February 1, 2011, the employment of Michael Harper as
Acting Exec utive Director of the Alaska Energy Authority is terminated, with understanding that
Michael Harper will continue to be employed by the Authority as a Deputy Director of both the
Authority and AEA.
Section 4 . Effective as of February 1, 2011 , Sara Fisher-Goad 's appointment as
Deputy Director -Operations and Assistant Secretary of the Authority is terminated .
