RESOLUTION NO. 1996-05
RESOLUTION OF THE ALASKA ENERGY AUTHORITY
RELATING TO THE APPOINTMENT OF AN ACTING
EXECUTIVE DIRECTOR
WHEREAS, the By-Laws of the Alaska Energy Authority (the "Authority") provide
that the Executive Director of the Authority is the Secretary-Treasurer of the Authority;
WHEREAS, the By-Laws further provide that the Executive Director of the
Authority is charged with the administration of all of the Authority's business affairs subject to
the discretion of the Board;
WHEREAS, William R. Snell became the Executive Director of the Authority on
August 12, 1993 and pursuant to the By-Laws of the Authority on that date the designated
Secretary-Treasurer of the Authority;
WHEREAS, William R. Snell has tendered his resignation as Executive Director
of the Authority, such resignation to be effective November 1, 1996; and
WHEREAS, it is in the public interest and in the best interests of the Authority
that, D. Randy Simmons, Development and Finance Manager for the Authority, be named
Acting Executive Director of the Authority and Acting Secretary-Treasurer of the Authority
effective November 1, 1996.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY
AUTHORITY AS FOLLOWS:
Section 1. The resignation of William R. Snell as Executive Director of the
Authority is hereby reluctantly accepted by the Authority, such resignation to be effective
November 1, 1996.
Section 2. D. Randy Simmons is hereby appointed Acting Executive Director
of the Authority and Acting Secretary-Treasurer of the Authority, such appointments to be
effective November 1, 1996. The Acting Executive Director shall have all the duties and powers
of the Executive Director of the Authority.
Section 3. From time to time, as may be required on a temporary basis,
when the Acting Executive Director is unavailable, the Acting Executive Director may designate
any Assistant Secretary of the Authority to act on his behalf. The person so designated shall
have all the duties and powers of the Executive Director of the Authority during the period the
Acting Executive Director is unavailable.
Section 4. The Acting Executive Director of the Authority or any Assistant
Secretary designated by him is hereby authorized to sign, on behalf of the Authority, all
contracts, deeds and other instruments made by the Authority and related documents.
