ALASKA ENERGY AUTHORITY
RESOLUTION NO. 1995-03
RESOLUTION OF THE ALASKA ENERGY AUTHORITY RELATING TO THE
APPOINTMENT OF OFFICERS OF THE AUTHORITY; AND RELATED MATTERS
WHEREAS, the By-Laws of the Alaska Energy Authority (the "Authority") provide
that the Executive Director of the Authority is the Secretary-Treasurer of the Authority;
and
WHEREAS, the By-Laws of the Authority also set out the duties and responsibil-
ities of the Secretary and the Treasurer of the Authority, provide that the members of
the Authority may assign all or part of such duties to some other parson and give to
such person an appropriate title, including that of Assistant Secretary-Treasurer, and
that officers of the Authority shall perform such other duties and functions as may from
time to time be required by the Authority or the By-Laws or policies and procedures
of the Authority; and
WHEREAS, William R. Snell became the Executive Director of the Authority on
August 12, 1993, and, pursuant to the By-Laws of the Authority, on that date the
designated Secretary-Treasurer of the Authority; and
WHEREAS, Valorie F. Walker became the Assistant Secretary of the Authority
on August 12, 1993, and on March 16, 1994, the Assistant Treasurer and Deputy
Director-Fimmce; and
WHEREAS, Dennis V. McCrol1an was appointed Assistant Secretary-Treasurer

and Deputy Director-Energy of the Authority effective February 7, 1994; and

WHEREAS, four of the five members of the Alaska Industrial Development and
Export Authority, which is also the Board of Directors of the Authority, have recently
been appointed and on the date hereof have met to elect a new Chairman and Vice
Chairman of the Alaska Industrial Development and Export Authority who are also.
pursuant to AS 44.83.040, said officers of the Authority; and
WHEREAS. it is, therefore, fitting and proper, and in the public interest to now
reconfirm the appointment of the Executive Director, Deputy Directors and Assistant
Secretary-Treasurers of the Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE ALASKA ENERGY AUTHORITY
AS FOLLOWS:
S8!:;tiQn 1. The previous appointment of William R. Snell as Executive Director
and Secretary-Treasurer of the Authority is hereby reconfirmed.
Section 2. The previous appointment as Assistant Secretary-Treasurer and
Deputy Director,Finance of the Authority of Valerie F. Walker is hereby reconfirmed.
Section 3. The previous appointment as Assistant Secretary,Treasurer and
Deputy Director,Energy of the Authority of Dennis V. McCrohan Is hereby reconfirmed.
Section 4. The Assistant Secretary-Treasurers shall perform any and all duties
of the Secretary, Treasurer as shall from time to time be assigned by the Secretary,
Treasurer.
section 5. The Executive Director of the Authority, and any Assistant Secretary
as designated by him, is hereby authorized to sign on behalf of the Authority all
contracts, deeds and other instruments made by the Authority and related documents.

Section 6. This Resolution shall become effective Immediately upon its pas::;age
and approval.
