APPROVAL OF MEETING MINUTES - March 5, 2002 Minutes for the March 5, 2002, meeting will be consolidated from verbatim minutes into action items only, and will be presented at the next meeting. Discussion ensued as to whether the meeting tapes and corresponding documents should be destroyed after final minutes are prepared. At the time the qualifications closed, they had received one reply that was noh-compliant from GE Global Services. We have contacted a number of vendors and the we have are GE.Global Services. ABB declined to submit qualifications because they don’t believe it fits in their current business structure. Voight Siemens had a similar response; VA Hydro responded and provided qualifications that were compliant with the request. We also received an unsolicited request from L&S Electric in Wisconsin. They are a group that Terry Bowman works for and he is the person who designed the original governor back in 1990. 7Ahey aren't qualified for the entire project, but are interested in working on the control scheme./ In addition, Mr. Hickey found that Alstom made no reply and that ABB Hydro has been sold to Alstom and is ‘currently trying to reach them in Denver. Lr 5S Electric Mr. Hickey’s recommendation is that even though GE was non-compliant in their Qualification submittal, that we provide them with the functional specification as well as VA Hydro, and if ABB Hydro (now Alstom) is interested, we can provide them with a functional specification as well. Mr. Hickey should be able to come back to the BPMC with a recommendation on a vendor within 30 to 45 days. Mr. Hickey also noted that they are re-running the 1990 load acceptance study, utilizing the governor model that was built a couple years ago to benchmark the existing plant, so that when we build the new controller we can identify before installation what the advantages and disadvantages will be. The O&D Subcommittee will meet and bring a formal recommendation to the PMC. B. Update on Needle Repair Project Don Stead Mr. Stead reported that the RFP is out for review to seven vendors. There will be a mandatory pre-bid on April 22, 2002, and bids will be due at HEA on April 30, 2002 for evaluation. After evaluation, they will meet with the O&D Committee for review and approval. The pre-bid will be at the plant. There will be an outage starting on April 15", so one unit will be open for vendors to inspect. Page 2 of 3 C. Update on Turbine Runner Repair Don Stead Mr. Stead noted that they have received the calibration block. One of the issues was that the testing lab could not determine the actual crack depth. A testing lab in Anchorage is going to be at the Bradley plant and will re-test the runner in attempt to determine the crack depth and from that, develop a repair plan. D. Finance Committee Insurance Review Mike Cunningham Mr. Cunningham stated that the Budget Subcommittee met to try and frame the questions to ask the consultants. We decided on referring the issue out to Chugach’s risk management consultant, Warren, McVeigh.& Griffin, and to Glen Smith at the Municipality. The Master Agreement and the O&M Agreement along with copies of the insurance policies to the consultants forreview. Overview of the Governor Repair Project Hickey Mr. Hickey reported that they have gone out for RFQs for vendors to provide digital control system and the power system stabilizer. April 9, 2002 TO: Bradley Lake Project Management Committee FROM: Bradley Lake Budget Subcommittee SUBJECT: Risk Assessment The Bradley Lake Budget Subcommittee was tasked to review the adequacy of project and Project Management Committee (BPMC) insurance in light of work being performed by contractors and participant’s in the Bradley Lake Hydroelectric project. The subcommittee decided to present the following question(s) to two risk management consultants: In light of the terms and conditions contained in both the ’Operations and Maintenance Agreement between Homer Electric Association, Inc. and The Alaska Energy Authority” (1994) and the “Bradley Lake Hydroelectric Project Master Maintenance and Operating Agreement”, please evaluate the following: (a) A project participant’s and non- participant’s liability under those Agreements; (b) The BPMC’s liability under those Agreements; (c) Identify any additional insurance coverage that should be required of each of the above named parties, or a contractor utilized under the Master Maintenance and Operating Agreement; (d) To what extent, if any, does the BPMC’s liability vary depending on whether it elects to have work performed under the Operations and Maintenance Agreement with Homer Electric Association, Inc. as compared to a contractor retained under the Master Maintenance and Operating Agreement? During discussion of the topic, the Budget Subcommittee agreed to consult with two risk management experts — Warren, McVeigh and Griffin, Chugach Electric Association, Inc.’s retained consultant and Glenn C. Smith, Municipality of Anchorage’s Risk Manager. The committee forwarded the questions and copies of the agreements and insurance policies to the consultants. Input was requested to allow for committee discussion prior to the April 11, 2002 Bradley Lake BPMC teleconference. Following are points raised by both consultants that the Budget Subcommittee feels the PMC may want to consider: From the Warren, McVeigh and Griffin report: Le If a Purchaser acts as a subcontractor to Homer Electric, such purchaser would have the same liability as a non- Purchaser that also acts as a subcontractor to Homer Electric- all under the O&M Agreement between Homer and AEA. A non- Purchaser’s liability in acting as a subcontractor to Homer would be no different than that of a Purchaser acting as a subcontractor to Homer. Under the master Agreement, there appears to be no difference in indemnity and insurance requirements for a contractor or subcontractor that is a Purchaser or non- Purchaser. Negligent errors or omissions in the approval of O&M agreements could expose the BPMC and its members to liability for damages arising out of such negligence. The setting of “acceptable” amounts of insurance under the master M&O agreement is an example of an area where BPMC’s judgement could result in inadequate insurance for a large loss arising out of a specific construction or maintenance contract. This example is perhaps somewhat less likely under the O&M Agreement with Homer because the insurance requirements are spelled out in considerable detail and are broader in scope under this Agreement. It is possible that other BPMC acts, errors, or omissions could result in legal expenses and damages for which the committee and its members may be responsible. We don’t know enough about BPMC to be sure about the adequacy of $1 million directors and officer’s coverage. The limit of liability, however, seems low. (In Exhibit 2, they suggest $3 - $5 million limit may be more prudent.) There are considerable differences between the insurance requirements Of the two agreements. We recommend these insurance requirements be brought into alignment so they are essentially the same. Under the Master M&O Agreement the amounts of insurance are not shown — only the wording: “In amounts acceptable to the Authority”. Also, there are no references to Employers Liability or Federal Acts, non-owned aircraft and watercraft, additional insured status, waiver of subrogation, or professional liability. We recommend these deficiencies be corrected. Minimum amounts of insurance should be established, while leaving the Authority the ability to require higher amounts for specified projects. a Under the O&M Agreement between Homer and AEA: - Consider increasing the amounts of insurance which currently seem low in the currently high litigious social climate. This applies to both Operator and Subcontractors. - Under workers’ compensation and employers liability, rights of subrogation against the State are waived. The waiver should also apply to the BPMC. - We don’t know why professional liability is required for Homer’s subcontractors but not for Homer. - We don’t know whether the BPMC has any employment practices liability exposure or is exposed to any crime risk. This needs to be investigated. Warren, McVeigh and Griffin attached several exhibits detailing their analysis of the various insurance policies and also made recommendation for increasing various limits of liability for those coverages. A complete report of their findings can be faxed to BPMC members upon their request. All Budget Subcommittee members have a copy of the complete report. Mr. Smith of the Municipality also reviewed the coverages and had the following suggestions: 6 . He made several wording change suggestions designed to tighten the policies. He suggested increasing the limits of liability for the Commercial General Liability insurance to $2,000,000 from $300,000. He suggested changing the Commercial Auto Liability to $5,000,000 Combined single limit to include all owned, hired and non- owned vehicles. He suggested under each Professional exposure there should be Individual review and would recommend $1,000,000 in limits to extend one year after termination of the contract. He suggested that agreement be reached as to each member’s share of uninsured losses. . He suggested item D be reviewed by legal counsel. The Budget Subcommittee recommends to the BPMC that each consultants various recommendation be reviewed by the insurance broker for the BPMC and effort made by the broker to change policies limits and wording as suggested.
