AMENDATORY AGREEMENT NO. 1
TO
AGREEMENT FOR THE SALE AND PURCHASE OF ELECTRIC POWER
("POWER SALES AGREEMENT")

The MUNICIPALITY OF ANCHORAGE d/b/a MUNICIPAL LIGHT AND POWER,
The CITY OF SEWARD d/b/a SEWARD ELECTRIC SYSTEM,

The ALASKA ELECTRIC GENERATION & TRANSMISSION COOPERATIVE, INC.,

BRADLEY LAKE HYDROELECTRIC PROJECT
AMENDATORY AGREEMENT NO. 1
The Authority has designed and is financing and construct-
ing the Bradley Lake Hydroelectric Project ("Project") and has
sold the electric capability of the Project to the Purchasers
after the Date of Commercial Operation under the Bradley Lake
Hydroelectric Project Agreement for the Sale and Purchase of
Electric Power dated December 8, 1987, as amended, between the
Authority, CEA, GVEA, ML&P, Seward, AEG&T, HEA, and MEA ("Primary
Agreement"); and
In consideration of each Purchaser's obligations to pay its
Percentage Share of Annual Project Costs under the Primary
Agreement, the Authority and the Purchasers have agreed upon the
delivery of energy produced by the Project prior to the Date of
Commercial Operation to each Purchaser without further charge in
accordance with the terms of this Agreement;
NOW, THEREFORE, the parties agree as follows:
Section 1. Effective Date of Amendment. This Amendatory
Agreement shall be effective when executed by all of the parties
to the Primary Agreement.
Section 2. Amendment to Primary Agreement. The Primary
Agreement is amended as follows:
(a) Section 1 is amended by adding the following new
subsections (kk), (11), (mm), (nn) and (00) as follows:

"(kk) Test Energy means electric energy generated by the Project prior to the Date of Commercial Operation which is delivered to
the Delivery Point.
(11) Test Period means the period begin-
ning on the date the Project is intercon-
nected with HEA's transmission system at the
Delivery Point and ending on the Date of
Commercial Operation.
(mm) Operational Test Period means the ROS

Date of Commercial Operation.
(nn) Services Agreement means the
Bradley Lake Hydroelectric Project Agreement
for the Wheeling of Electric Power and
Related Services, as amended, dated
December 8, 1987, between CEA, HEA, GVEA,
MEA, ML&P, Seward and AEG&T.
(00) Transmission Services Agreement
means the Amendment to the Bradley Lake
Hydroelectric Project Agreement for Sale of
Transmission Capability dated March 7, 1989,
between HEA, CEA, GVEA, ML&P and AEG&T."
(b) Section 4 is amended by adding new subsections (e)
and (f) as follows:
"(e) The Authority shall use its best
efforts to complete the Operational Test Joy
Period on or about September 1, 1991, but if we yo

and delivery of electric power and energy to
the Purchasers in accordance with the above
subsection (b).
The Operational Test Period shall be
used to gain experience in scheduling the
Project with the Purchasers, to develop
integrated system operating procedures for

testing individual unit operation, for on
line unit testing and for coordinated unit
testing.
(£) Scheduling and Delivery of Test
Energy. To the extent reasonably practica-
ble, the Authority will schedule and deliver
Test Energy without further charge to each
Purchaser in advance consistent with the
terms of this Agreement. CEA and HEA shall
provide services under the Services Agreement
and the Transmission Services Agreement as
appropriate to deliver power to the parties
to such Agreements. The Project Management
Committee shall develop initial scheduling
procedures for the delivery of Test Energy
prior to the date the Project is
interconnected with HEA's system and shall
use the Test Period to refine and develop
scheduling procedures for application by the
Project Management Committee. Amounts
scheduled shall be deemed to be delivered.
Any deviations from amounts scheduled shall
be corrected in the ensuing day or days by
increasing or decreasing the amount scheduled
to each Purchaser as appropriate."
IN WITNESS WHEREOF, the parties have executed this
Amendatory Agreement in several counterparts.
