This Memorandum of Agreement ("MOA") is effective as of February_, 2014 (the
"Effective Date"), and is by and among the City of Seward, Alaska, ("Seward"), and
Chugach Electric Association, Inc. ("Chugach").
RECITALS
A. The City of Seward has a wholesale electric power purchase agreement with
Chugach.
B. Chugach is the largest public electric utility in Alaska.
C. Both Seward and Chugach are interested in the developing renewable energy
resources, increasing reliability and minimizing the cost of electric service to their
customers.
D. Fourth of July Creek, located on land owned by Seward, may be suitable for
development as a hydroelectric energy resource.
E. Chugach has the technical and financial resources to evaluate Fourth of July
Creek's suitability for development as a hydroelectric resource.
F. Seward is interested in supporting Chugach's efforts to develop Fourth of July
Creek, to add Fourth of July Creek to Chugach's inventory of generation
resources, and to be a consumer of the hydroelectric energy if the project is
developed.
G. Financial assistance for this effort may be available via grant funding from the
Alaska Energy Authority renewable energy fund and other sources.
NOW THEREFORE, in consideration of the foregoing, and the covenants herein set
forth, the parties agree as follows:
A. The parties will work cooperatively to evaluate the feasibility of a hydroelectric
facility at Fourth of July Creek.
B. The parties will designate individuals to participate in the effort, including a lead
representative for each party.
C. Chugach will lead the effort and provide the resources to evaluate the technical
and economic viability of Fourth of July Creek as a hydroelectric resource.
D. Seward will permit Chugach access to its land for project development and will
lead the effort to secure local support for the project.
E. Seward will support Chugach's efforts to secure grant funding for the project.
F. Chugach and Seward will work on this project exclusively and communications
between the parties will be confidential other than when public disclosure is
required.
G. Notices will be directed to the lead representative for the other party:

H. This MOA can be terminated at any time with 30 day notice by one party to the
other.
