OF
BLUE ENERGY CANADA INC.
(the “Company”)
THE UNDERSIGNED, being a Director of BLUE ENERGY CANADA INC., a Canadian Company, duly
incorporated and validly existing under the laws of the Province of Alberta and extra -
provincially registered and validly existing under the laws of the Province of British Columbia, ,
DOES HEREBY adopt the following Resolutions:
1. That Martin J. Burger is the sole Director of the Company and is authorized to commit
the Company to the obligations under the AEA Grant and to carry out the transactions
contemplated therein;
2. That the Company is qualified to carry on business;
3. That the Company appoints both Martin J. Burger, Chief Executive Officer and Dan
Fraser, Chief Technical Officer, as the points of contact to represent the applicant for the
purposes of the AEA Grant Application;
4. That the Company is in compliance with applicable federal, state and local laws
including existing credit and federal tax obligations;
5. That there are no actions, suits, investigations or proceedings before any court,
arbitrator, administrative agency or other governmental authority whether current,
pending or threatened, which directly or indirectly would affect the Company’s ability to
carry out the transactions contemplated in the AEA Grant Proposal.
