ICELAND AMERICA ENERGY, INC.
TO AUTHORIZE THE
ANCHORAGE DISTRICT HEATING PROJECT IN ALASKA
At a meeting of the Board of Directors ("Directors") of Iceland America Energy, Inc., a
California corporation (the "Company"), on the 21 st day of October 2009, the following resolutions
were adopted:
WHEREAS, the Board has determined that it is in the best interests of the Company to
develop and construct a district heating geothermal resource development project ("Project") for the
benefit of the City of Anchorage, in the State of Alaska; and
WHEREAS, the Board has determined that, in furtherance of developing the Project, the
Company shall submit an application ("Grant Application") in response to the Request for Grant
Applications that was released by the Alaska Energy Authority on October 7, 2009 pursuant to the
Renewable Energy Fund Grant Recommendation Program - Round III ("Request for Grant
Applications"); and
WHEREAS, the undersigned certifies that the Company is in compliance with applicable
Federal, state and local laws including existing credit and Federal tax obligations.
NOW, THEREFORE, BE IT RESOLVED that, in order to carry out the
Project, the Directors hereby approve the actions of the Company and
its Officers and Directors in submitting the Grant Application;
BE IT FURTHER RESOLVED that the Company shall provide the
matching resources for the Project at the match amounts which shall be
indicated in the Grant Application; and
BE IT FURTHER RESOLVED that the Chief Executive Officer of the
Company is hereby authorized to execute the Grant Application, and
that the Chief Executive Officer is further authorized to commit the
Company to the obligations set forth in the Request for Grant
Applications, and to act as a point of contact to represent the Company
for purposes of the Grant Application.
