Ocean Renewable Power Company, LLC
WHEREAS, ORPC Alaska, LLC, a wholly owned subsidiary of Ocean Renewable Power Company, LLC is
making application to the Alaska Energy Authority for assistance in funding the Cook Inlet Tidal Project
in an amount of up to $2.5 million; and
WHEREAS, the Request for Application requires the Board of Managers of the applying company, and or
its parent company to pass a resolution authorizing an officer or officers of the Company to make
certain representations, commitments and certifications;
The Board of Managers of Ocean Renewable Power Company, LLC and ORPC Alaska, LLC hereby agree to
the following resolutions:
RESOLVED, that Christopher Sauer, President and CEO, John R. Cooper, Senior Vice President and CFO
or Ernest Hauser, Vice President, Development of ORPC Alaska, LLC and Ocean Renewable Power
Company, LLC are authorized to submit the application to the Alaska Energy Authority and to make the
following representations, commitments and certifications as part of that application:
1) ORPC Alaska, LLC and its parent company Ocean Renewable Power Company, LLC are
hereby authorized to make application to the Alaska Energy Authority for up to $2.5
million of funding for the Cook Inlet Tidal Project
2) The Company is hereby authorized to commit matching funding of up to 25% of the
amount committed and funded by the Alaska Energy Authority
3) D. Douglas Johnson, under the direction of Ernest K. Hauser, is authorized as the point
of contact to represent ORPC Alaska for the application.
4) ORPC Alaska, LLC and Ocean Renewable Power Company, LLC, as of the date of this
resolution and application know of no violations of any federal, state or local laws, Nor
of any credit agreements, and are in full compliance with all federal tax obligations.
This resolution is hereby passed by unanimous email written consent as of November 7, 2008.
