MEMORANDUM OF AGREEMENT
Between
Central Council of the Tlingit and Haida Indian Tribes of Alaska
And
AlaskaSmart.
Parties to the Agreement
This agreement is between the Central Council of the Tlingit and Haida Indian Tribes of
Alaska (Central Council) and Jeff Hastings and Anthony Distefano, dba, AlaskaSmart,
LLC. It is intended to establish a pre and post grant relationship between two parties
which desire to deliver more affordable heating energy to tribal members and other low
income persons residing in Southeast Alaska. The Central Council has formed an energy
department whose mission is to deliver more economic, non-polluting, and affordable
energy to low income people residing in Southeast Alaska. AlaskaSmart is principally
owned by a CCTHITA Tribal member, which is seeking to delivery lower cost,
environmentally beneign bio-diesel to low income tribal and non-tribal Southeast Alaska
residents.
Purpose of Agreement
The purpose of this agreement is to create a beneficial business relationship between
CCTHITA and AlaskaSmart so that lower income residents may receive more affordable
and cleaner heating oil. CCTHITA will own all biofuel production equipment purchased
with any local, state or federal grant funds. AlaskaSmart will be responsible for the
insuring, maintenance, renewal and replacement of all the biomass facilities and
appurtences. AlaskaSmart will manage and operate the bio-fuel facility with financial
oversight by CCTHITA.
CCTHITA will administer any received federal and state grant funds for the proposed
bio-fuel manufacturing plant and its operations. CCTHITA will provide businesss advice
to AlaskaSmart for planning, design and operations of the bio-diesel plant.
CCTHITA may also provide real estate for the staging and operation of the bio-fuel plant
in Juneau and other locations as may possible.
Term of Agreement
This agreement is effective on the date it is signed by duly authorized representatives of
both organizations and will remain in effect until terminated under the conditions listed
below.

1. CCTHITA agrees to allow Energy Department to :
- Monitor AlaskaSmarts’ progress
- Administer grant funds
- Provide energy expertise
- Provide financial management
- Tracking time spent in providing support AlaskaSmart

Termination Clause
This agreement may be terminated with 30 days written notice from either party.
