THE RURAL ARCTIC -READY ENERGY SOLUTIONS
The undersigned, being Managing Members of Alaska Green Energy, LLC (AGE), after due
consideration and pursuant to the Operation Agreement, do hereby adopt the following
resolution as of the 3`d day of October, 2008:
RECITALS
WHEREAS, Alaska Green Energy is actively pursuing the development of Arctic Ready
Energy Solutions; and
WHEREAS, the Alaska Energy Authority, with Fowler Oil & Gas as a sub -contractor for
Alaska Green Energy, LLC, is offering grants in support of cost effective alternative energy
projects in Alaska; and
WHEREAS, Alaska Green Energy is applying for grant funding to support; construction
of a Rural Arctic Ready combining Heat and Power Plant, and Coring, Testing, Drilling and
completion of a Coal Bead Methane Well; and Village Coal Bed Methane Assessment, and
Implement a Rural Community Coal Bed Methane Assessment; and
NOW, THEREFORE, BE IT RESOLVED, that Alaska Green Energy is authorized to secure
up to $ 19,401,411 in grants from the Alaska Energy Authority for this project; and
FURTHER RESOLVED, that Bob Gross, VP Operations, is authorized to represent the
applicant for purposes of this application; and
FURTHER RESOLVED, that Alaska Green Energy, is in good standing with respects to its
existing credit and federal tax obligations.
IN WITNESS WHEREOF, the undersigned, being that all of the members of Alaska
Green Energy have hereto signed their names effective as of the date set forth above.
