RESOLUTION AUTHORIZING SUB CONTRACT AGREEMENT WITH AGE FOR
THE ARCTIC -READY CHP PROJECT
The undersigned, being the Managing Member of the Board of Fowler Oil & Gas
(Alaska) LLC, after due consideration and pursuant to the Operating Agreement, do
herby adopt the following resolution as of the 3'd day of October, 2008:
RECITALS
WHEREAS, Fowler Oil & Gas (Alaska) LLC is actively pursuing the
development of a Coal Bed Methane Well near Palmer, Alaska; and
WHEREAS, the Alaska Energy Authority is offering grants in support of cost
effective alternative energy projects in Alaska; and
WHEREAS, Alaska Green Energy LLC who is applying for grant funding to
support the construction phase including the drilling, coring, testing & completion of the
Kircher Coal Bed Methane well; and
NOW, THEREFORE, BE IT RESOLVED, that Fowler Oil & Gas (Alaska)
LLC is authorized to enter into a subcontractor agreement with Alaska Green Energy
LLC for drilling and completion of the Kircher Coal Bed Methane Well, and where in
Alaska Green Energy will provide grant funding totaling $6.7 million to complete the
project.
FURTHER RESOLVED, that Robert Fowler, CEO, is authorized to enter into
the subcontract agreement for purposes of this application; and
FURTHER RESOLVED, that Fowler Oil & Gas is in good standing with
respects to its existing credit and federal tax obligations.
IN WITNESS WHEREOF, the undersigned, being that Robert Fowler has
hereto signed his name effective as of the date set forth above.
