Wl IFRFAS, the members of South Fork Ilvdro, LI.0 (SFI1) desire assistance in fundin<,!
the development and construction of the South Fork Hydroelectric Project, and
WHEREAS, the Alaska Energy Authority (.AEA) is accepting applications for Fiscal Year
2009 Alternative Energy Grants (Grants) due on October 8, 2008, and
W!lERE S, CFI -I is in compliance with all federal, stag and local laws, pnc lllrding cyxistinti
credit and federal tax obligations,
WHEREAS, SFH qualifies to receive funding from the Grants
NOW THEREFORE, the members of SFH agree and affirm the following:

SFH shall apply for the Grants, and
SFH hereby authorizes Earle V. Ausman to make such application and to
represent and act on behalf of SFH for all matters relating to the Grants, and
SFH will, should they accept the Grants, abide by all terms and conditions
imposed by AEA as part of receiving any such Grants.
