Executive Summary
TDX Power is an accomplished energy services provider for electric generation,
transmission, and distribution systems in Alaska and owns and operates both
electric utilities and fuel companies in remote portions of Alaska. TDX Power
provides critical, must-run generation service to over 1,000 industrial,
commercial, government, and residential customers, using diesel, natural gas,
and wind power. TDX Power also designs, finances, builds, owns and operates
power plants in sizes ranging from 100kw to 350 MW using diverse
technologies.
TDX Power is a wholly owned subsidiary of TDX Corporation, an Alaska Native
Village Corporation for the village of Saint Paul Island, Alaska. TDX Corporation
was created under the Alaska Claims Settlement Act (ANCSA) passed by the US
Congress in 1971. TDX Corporation was established in 1973. TDX Power was
formed as an independent subsidiary in 1999. TDX Power is certified as a Small
Disadvantaged Business under the US Small Business Administration 8(a)
program. TDX Power is Hub Zone certified and has 8(a) qualifications in 7
different NAICS Codes all related to power generation equipment and
operations.
TDX Power was founded after the successful completion of a state of the art
power plant on St. Paul Island. TDX Power financed and constructed a new,
nonregulated electric facility on Saint Paul Island and has since financed,
purchased, and extensively retrofitted and modernized two regulated Alaskan
electric utilities, located in Sand Point in the Aleutian Islands and on the North
Slope at Prudhoe Bay. Through these and other projects, TDX Power offers
experience and proven results in the evaluation, design, finance, construction
and operation of advanced-technology, high-reliability power generation plants.
TDX Power also supplies custom mobile and stationary power equipment
packages to the U.S. military, and provides design, construction, and operations
consulting services to Alaska institutions, such as the Alaska Energy Authority,
in addition to large industrial energy users in Prudhoe Bay and across the
United States.

Project Experience
TDX Power was established in 1999 with the creation of a power plant project
on St. Paul Island, Alaska, in the Bering Sea. TDX Power has financed and
constructed a new, nonregulated electric utility in Alaska, located on this
remote island in the middle of the Bearing Sea half way between Alaska and
Russia.
Seeking relief from rapidly escalating diesel fuel based energy costs on Saint
Paul, in the mid 1990’s Tanadgusix began planning to deploy the emerging
new wind/diesel technology being supported by the National Renewable Energy
Lab. Tanadgusix engaged an energy project consultant to conceive then
manage the design and installation of a wind/diesel system capable of
supplying load-following electric and thermal energy for an 80,000 square foot,
Tanadgusix owned commercial building.
TDX Power designed, developed, constructed and now operates one of the
country’s largest and most reliable high-penetration wind/diesel power plants.
Providing 100 percent availability in 2004 through 2007, this unique plant
boasts an average capacity factor of over 40 percent and has reduced liquid
fuel consumption at this remote industrial complex by over 45 percent.
Before the new plant was built, Tanadgusix Corp., TDX Power’s parent
corporation, was purchasing electricity from the local municipality whose
current rate is approximately 45 cents per kWh. Tanadgusix Corp. hired Bruce
Levy, an experienced power expert, and now President of TDX Power, to study
the feasibility of using wind power to supplement the diesel energy power
plant, thus reducing the cost of energy.
The ensuing project resulted in the development of a hybrid wind diesel
combined heat and power system that has reduced the cost of electricity from
45 cents per kWh to 17 cents and has operated with 100 percent reliability in a
harsh, arctic, corrosive sea environment.

Electric Utility Acquisition and Upgrade, Deadhorse, Alaska
• Value: $10 million

TDX Power acquired, owns, and operates the regulated natural gas and diesel
fuel fired power generation plant and electric distribution system in Deadhorse,
Alaska (formerly owned by Arctic Utilities, Inc.) that serves Prudhoe Bay oil
service companies.
Arctic Utilities was a distressed utility, and TDX Power acquired this asset with
the knowledge that customers had been leaving the grid because of daily
outages and escalating prices. At the time of acquisition, the Deadhorse electric
power plant was one of the more inefficient and out-of-compliance plants in
Alaska. Today, TDX Power operates the plant with increased efficiency and
lower prices, and improvements have convinced former customers to return to
the system.
TDX Power invested over $5 million in improvements, upgrades and retrofits.
Investments included emissions control equipment, new gas-fired generating
capacity, cooling system upgrades, and replacement of over 70 percent of the
underground electrical distribution system and utilidor.
Forensic analysis performed by TDX Power demonstrated that new technology
would be required to increase efficiency, safety, and reliability. Additionally, the
entire distribution system was aging in a harsh, arctic permafrost environment
and needed to be replaced. The business analysis determined that the existing
tariff would be reasonable to support capital upgrades. TDX Power then
determined that former customers would return, once convinced of better
service and lower cost.
Among the most extensive upgrades that TDX Power completed was the aging
transmission and distribution system. TDX Power designed, installed and now

maintains a state-of-the-art, arctic-grade, medium-voltage distribution system
that interacts seamlessly with adjacent telecommunications and natural gas
distribution systems in the same utilidor. TDX Power replaced over 10 miles of
the conventionally insulated distribution with armor-clad conductor, and
upgraded the control and monitoring switchgear.
TDX Power’s North Slope investments have resulted in significantly enhanced
system reliability and a COPA-driven tariff decrease of approximately 33%. This
cost reduction has attracted many major, self-generating customers back to the
utility grid. The resulting increased customer load base has expanded the
utility’s annual kilowatt hour sales by approximately 40% over the past two
years.

Project Experience
Acquisition of Utility in Sand Point, Alaska

TDX Power acquired, owns, and operates the regulated electric utility in Sand
Point, Alaska. The company provides all the electrical requirements for this
large commercial fishing community in the Aleutian Chain through a fully
automated, highly efficient diesel fuel-based power plant. TDX Power also
maintains both above ground and buried electrical distribution systems here in
one of the most severe, wind-dominated environments in the world.
TDX Power purchased these Sand Point operations in 2001 and has
subsequently invested over $2 million in powerhouse and distribution system
upgrades, including fully automatic distribution controls and powerhouse
switchgear. Of particular note, and resulting from these upgrades, TDX Power is
one of the few utility owner/operators to seek RCA approval for a rate decrease.
The RCA approved TDXSPG’s rate reduction application in 2004, which resulted
in an approximate 20% tariff reduction for the large commercial customer class
in Sand Point.
Serving over 1,000 customers, this power plant is recognized as one of the
most efficient and well-run systems in the region. At the time of the utility
purchase in 2000, the average cost of electricity was approximately 39 cents
per kilowatt (kW). After new operations and upgrades implemented by TDX
Power, rates have dropped and reliability has substantially increased.
TDX Power’s attention to environmental issues and wildlife protection is also
evident in Sand Point. When the U.S. Fish and Wildlife Service expressed
concerns involving the distribution system’s potential to harm Bald Eagles, TDX
Power installed a state-of-the-art avian system to prevent electrical shock to
Eagles that come into contact with energized conductors.

TDX Power believes further cost reductions will be difficult through engineering
as the operations are now as efficient as possible. The real impediment to
further cost reductions is the cost of fuel. Current fuel prices in Sand Point are
approaching $5.00 per gallon and the resulting cost of power is three to four
times the price in Alaska’s urban rail belt grid. TDX Power believes the answer
lies in wind power development that will allow the utility to decrease the
amount of fuel required to generate electricity in Sand Point.
Based on the model of the existing wind/diesel hybrid power station on Saint
Paul Island, TDX Power proposes to incorporate high penetration wind power
into the existing diesel based power plant in Sand Point. The new, high
efficiency power plant will be designed to provide further cost reductions for
the community.
The second significant benefit of the project will come from the district heating
loop. As in St. Paul, a critical component of the project will include using excess
electricity from the wind turbine to provide heat energy to a number of large
community buildings such as the new health clinic, the school, and the
community multipurpose building. Utilizing excess electricity to provide free
heating to the community buildings will provide significant heating fuel savings
to the community as well.
As in St. Paul, TDX Power will train and employ local residents to operate and
maintain the system on a full time basis. As wind power projects increase in
rural Alaska, the demand for well trained operators from rural communities will
increase, and TDX Power fully expects to provide well trained individuals to
meet this need.
TDX Power projects a further reduction in power rates of 20% once the wind
power project is complete.

Emergency Generation, Elmendorf AFB

TDX Power was awarded the sole-source contract by the USACE District, Alaska,
to provide the capability to continue operations during power outages for the
District’s main office and annex. The scope of work involved modifying the
existing 400 kW standby power for the Main District and District Annex
buildings located at the north center of the building on Elmendorf AFB. As part
of this project, TDX Power has added new 1,200-amp bypass/isolation
switchgear to the existing power supply to the district building.
TDX Power provided all materials and work required to accomplish the
installation, including but not limited to earthwork, excavation, compaction and
backfill, concrete work, electrical conduits, and conductors. This work was
performed under the constraints of limited interruptions of existing power to
the facility, and TDX Power scheduled work on weekends to minimize impact to
facility operations.

U.S. Army Corps of Engineers District, Alaska;
Installation and Testing for Standby Power Plant

The USACE District, Alaska, awarded a sole-source contract to TDX Power to
provide a standby power generation module. Components include a Caterpillar
Diesel Electric Generator and associated balance of plant requirements. TDX
Power acquired the equipment and spare parts, and created maintenance and
operations manuals and successfully installed the equipment. This included the
construction of sound attenuation enclosure and automatic transfer switches.
TDX Power performed the site construction services from design and
construction of a concrete foundation for the power module and ensured that
anchor bolts were designed and installed to withstand seismic forces. TDX
Power coordinated with client engineers and staff to accomplish this task on
time and within budget constraints.

US Air Force 611th CES

The USAF operates a long range radar station in Tin City, Alaska which currently
uses multiple diesel fueled engine generators to supply all required electric
power as well as engine heat recovery derived facility heating. With fuel and fuel
handling cost now at historically high levels, the USAF seeks technology
alternatives to provide long term fuel-savings impact. As wind/diesel
technology has been proven viable in a variety of remote applications in Alaska
and internationally, the USAF has allocated resources to determine if a wind
retrofit at Tin City can provide a meaningful, cost effective benefit.
The centerpiece of the TDX development for Tin City is the 250 kilowatt Vestas
V27 wind turbine. TDX owns an inventory of these machines and one is
currently available for immediate deployment. Originally manufactured in
Denmark, the 27 meter rotor diameter turbine has been extensively re-
manufactured in the United States under TDX Power’s direction with all-new,
American made major components and fully modified for Arctic conditions. At
minimum, the proposed turbine will be warranted and guaranteed to new
production equipment standards. For a variety of reasons, TDX considers a
single 250 kilowatt turbine to be the ideal configuration and capacity for Tin
City’s conditions and load specifications. With literally thousands of V27’s
currently operating around the world, including Saint Paul Island, the machine
is extremely familiar to TDX. The V27 is a proven performer with an extensive
sub arctic Alaska operational record. It has superior parts availability and a vast,
US based service network.

TDX developed its own wind/diesel modeling and simulation software program.
TDX used its proprietary program to calculate the operations and resulting fuel
savings of the wind power addition to Tin City’s existing diesel generating plant
and heating system.
Following are the summary results of TDX’s Tin City analysis and simulation.
The situational assumptions used were: 1) deployment of one Vestas Wind
Turbine V27, 2) hourly wind speeds at Tin City, as documented by the Alaska
Energy Authority, and 3) one Cummins unit always running, with minimum set-
point loading of 75 KW.
• Annual turbine production = 858,000 kilowatt hours
• Annual turbine run time = 7,644 hours (87.3% of year)
• Annual average turbine output = 112.2 kilowatts
• Average annual turbine loading = 32.2%
• Annual “excess” turbine production for heating use = 183,100 kilowatt
hours
• Annual after retrofit engine generator facility fuel consumption =
125,677 gallons 1
• Annual after retrofit engine generator production = 1,412,300 kilowatt
hours
• Annual after retrofit fuel savings = 68,558 gallons
• Assuming a fuel price of $3.00/gallon, total annual fuel savings would
be $214,041

The project is in the final construction phase this summer season. It is
anticipated to be fully operational in October 2008.

TDX personnel previously performed extensive load testing on the Cummins KTA 1150 engine
in an effort to better understand fuel efficiency. Based on this test, TDX believes the 75 kw set
point should be established as the minimum load on this engine.

The Boeing Company, in support of Missile Defense Agency (MDA)
Future Power Plant (FFP), Ft. Greely, AK

TDX Power was selected by The Boeing Company to assist with the design,
construction and operations of a specialty power plant for the support of the
Missile Defense Agency. The project includes the design participation with
Black & Veatch with input on the power island, switch gear, and SCADA
systems, and construction through commissioning of this 8 MW power plant.
The power plant must meet force protection requirements including hardened
shielding from Electronic Magnetic Pulse (EMP) for security reasons.
The project is located in a remote sub-arctic environment with snow loads of
approximately 10 feet, high winds and extreme temperature changes
(frequently in the 30 to 50 below zero F) and an overall harsh environment.
Process requirements include being compliant with Defense Contractor
Management Agency (DCMA); Defense Contractor Audit Agency (DCAA) and
providing program management using Earned Value Management Systems
(EVMS) compliant processes. TDX Power has also invested in becoming ISO
9000 Compliant, and has hired a quality assurance and quality control team of
experts.

Nikolski, Aleutian Pribloff Island Association (APIA)

900 miles south west of Anchorage, towards the end of the Aleutian chain, the
tiny community of Nikolski has been continuously inhabited for over 4,000
years. Logistics are extremely difficult in this community as there is no harbor
and a small airstrip frequently inhabited by wild horses and reindeer.
In 2007, TDX Power was hired to integrate a wind turbine into a relatively new
diesel based power plant. TDX Power performed extensive analysis of the plant
and community requirements and deployed a refurbished Vestas V15 wind
turbine. TDX Power designed and implemented a new, state of the art tilt up
tower procedure
TDX Power is in the process of retrofitting and adding to the plant’s original
control and switchgear lineup with plans to integrate the turbine and complete
the project in 2008. Once complete, this project will reduce power costs by 50%
and provide free thermal energy to two community facilities.

Chakachamna Hydro Project

TDX Power has been granted a Federal Electric Regulator Commission (FERC)
preliminary license to begin the development of the Chakachamna hydropower
project. The project location is approximately 85 miles west of Anchorage and
only 42 miles from the Chugach Electric Association (CEA) Beluga substation
that feeds power to the “railbelt” grid system of South Central Alaska.
The power potential of Chakachamna has been investigated for more than 60
years with the first studies conducted by the U.S. Geological Survey (USGS) in
1948 and published in a report entitled Report on Reconnaissance of Lake
Chakachamna. Additional studies were carried out initially by the U.S. Bureau
of Reclamation and later by the U.S. Army Corps of Engineers (USACE). Power
potential from Chakachamna, depending on various development scenarios,
ranges between 300 and 400 megawatts (MW) based on a 50% plant factor.
More recently, TDX Power has been granted a preliminary permit by the FERC to
evaluate the Chakachamna project. The total energy demand in the railbelt is
approximately 5 billion kilowatt hours (KWH) annually. The market is served by
six utilities, each with their own protected service territories that are regulated
by the Regulatory Commission of Alaska (RCA). Four of the utilities are
cooperatives, and two are municipally owned.
The preponderance of electricity comes from natural gas-fired generation, but
hydropower comprises approximately 20 percent of the total with coal and oil-
fired generation providing the balance. The availability of natural gas as a
feedstock for home heating and power generation is beginning to wane. Of the
approximately 9 trillion cubic feet (TCF) of natural gas reserves found in the
Cook Inlet area since the mid-1960s, less than 2 TCF remains, and most of that

has been committed. While this natural gas was previously priced below world
market rates, it is now nearing Henry Hub levels.
While Cook Inlet has historically been an exporter of liquefied natural gas (LNG),
it is anticipated that it will become an LNG importer in the near future. Because
of this chronic natural gas shortage, the electric utilities in the railbelt are
looking for alternative sources of power generation. Some are pursuing coal-
fired power plants while others are hoping for new discoveries of natural gas or
an eventual in-state pipeline from the mammoth North Slope gas fields.
Whether coal or natural gas; the future cost of electricity is expected to rise
dramatically.
Most of the utilities are looking to bring on new generation in the 2015 time
frame, the approximate horizon in which Chakachamna could come on line.
In addition to the existing utility load in the railbelt, future industrial loads may
materialize as well. The largest such load could be that of the Pebble mining
project on the west side of Cook Inlet. Although still in the feasibility stage,
this large project is estimated to require as much as 400 MW of base load
power alone, and perhaps another 200 MW for backup.
The basic concept that appears to best balance economic and environmental
considerations entails the interbasin transfer of water from Chakachamna Lake
by way of a 10-mile hard-rock tunnel to an underground powerhouse that would
discharge to the McArthur River. A small diversion dam, inlet structure, and
fish passage facility would be located at the outlet of Lake Chakachamna.
The total head would be approximately 1,000 feet, and the powerhouse
elevation would be near sea level. It is estimated that the project could produce
roughly 1.6 gigawatt hours (GWH) average annual energy from an installed
capacity of 330 MW.
Chakachamna Lake is roughly 15 miles long and is a result of deposits from the
advance of the Barrier Glacier that flows down the southwest slope of Mount
Spurr. There is presently no road access to either of the construction sites, and
most of the land is owned by the State of Alaska. The project sits on the
backside of Mount Spur, in an area that has gained recent attention for its
geothermal potential.
The streams of both the Chakachamna and McArthur drainage basins support
five species of salmon as well as other resident freshwater fish. Bear, moose,
wolves, lynx, coyote, and other furbearers and avian wildlife inhabit the area.
Tyonek is the nearest community to the site and is located 38 miles distant on
the west Cook Inlet coast. Extensive sub bituminous coal deposits in the
general Beluga area are being actively considered for export.

Chakachamna hydropower is a major renewable resource that represents a
significant opportunity for railbelt utilities or perhaps a large industrial
customer. It is located on state land just 42 miles from an existing power
substation that feeds 70 percent of the state’s population. Early
reconnaissance grade studies by the Alaska Power Authority found the project
to be economically feasible, but a more-detailed analysis needs to be performed
to confirm these findings in today’s market and environment.

TDX Power is providing a turnkey, state of the art fuel supply and storage
facility for critical search and rescue deployment on St. Paul Island.
Based in the middle of the Bearing Sea fishing grounds, the US Coast Guard’s
St. Paul Island Loran Station is home to the nation’s most extreme search and
rescue team. US Coast Guard swimmers regularly brave the harsh, frozen
waters of the Bering Sea while rescuing distressed fishing vessels from the crab
and Pollock fleets.
Fuel supply for the search and rescue helicopters is a critical requirement as the
next nearest source is often several hours away. At the same time, maintaining
high fuel quality standards in this remote location can be difficult given the fuel
supply challenges. TDX Power is working with the USCG to design a state-of-the
art fuel storage and supply station with comprehensive electronic quality and
dispensing controls, overfill alarm functions and leak detection capabilities,
specifically designed for St. Paul Island’s harsh sub-arctic, maritime
environment.
Facility installation will be complete in the summer of 2008, at which time the
USCG will possess increased search rescue capabilities with expanded flight
time capabilities for their helicopters. Included in this project are a
comprehensive Operations and Procedures Manual as well as complete Spill
Protection and Containment Plans.

Wind Power Pioneers Award, St. Paul Wind Diesel Power Plant
TDX Power was recently awarded the Wind Power Pioneers award from the DOE
through the National Renewable Energy Lab in Golden, Colorado. TDX was
recognized for demonstrating leadership and excellence in the design and
development of the world’s largest high penetration wind diesel plant. TDX was
also commended for developing this remote project without grants or
subsidies, demonstrating the commercial advancements of remote wind power
generation.

provides the Company’s strategic direction. Bruce focuses primarily on new
business development, acquisitions and acquisition finance.
Nick Goodman, CEO, is a highly regarded energy industry professional with a
well established track record in traditional and renewable power systems design
and development. Nick leads all of the daily activities of TDX Power. His primary
focus is business development, customer relations, state and federal regulatory
compliance, banking relationships, operations and maintenance.
Frank Wright, Col. (ret.) Frank Wright is a West Point graduate with a BS in
Engineering and PhD from the University of Colorado. He is a retired Air Force
colonel who flew over 400 combat sorties in Vietnam. Wright has had an
accomplished, post-military career in the government and energy sectors. After
serving on the policy staff of the Secretary of Defense and heading the
International Negotiations Office of the Joint Chiefs of Staff, Wright was a

member of Pennsylvania governor Dick Thornburg’s cabinet as head of Policy
and Planning. Wright was also a member of the faculty at both West Point and
the Air Force Academy. Entering the energy field in the late 1980’s after
directing the construction of a billion dollar convention center in Philadelphia,
Frank Wright was responsible for the Engineering and Construction division of
O’Brien Energy Systems, one of the first publicly owned independent power
companies in the U.S. He managed the design, construction and operations of
18 O’Brien domestic and international energy plants. Wright later became the
COO of Target Energy and Planergy, both major subsidiaries of Houston based
Falcon Seaboard. He then, in 2001, became President of Amp Resources; a
leader in renewable energy production which was recently acquired by Enel SpA,
the world’s third largest utility. During his tenure with Amp, Wright managed
the development, design and construction of four geothermal plants in the
western United States, ranging in size from 16 to 40 MW.
Paul Wiltse, Chief Financial Officer, is a seasoned veteran of the government
contracting arena and the associated financial components. Prior to joining
TDX, Paul spent many years with Lockheed Martin and L-3 Communications,
overseeing financial management and acquisitions. Paul is the chief architect of
TDX Corp.'s shared services model and is responsible for all accounting and
financial functions for the company.
Robert Guarini, PE, has over 30 years experience in the design, construction
and operation of utility scale power plants. Widely recognized as an industry
leader in the design of electrical systems and controls, Mr. Guarini oversees all
equipment design and installation functions for TDX Power.
