This agreement is entered into this day1,a

between the State of Alaska, Department of Cowmerce and Economic Development,
hereinafter referred to as the "Department of Commerce" by and through its
Commissioner, Loren H. Lounsbusy and the Napakiak Ircinraq Power con-pany,
hereinafter referred to as "Napakiak Corrpany", by and through is President,
ALB-ERT KERNAK
1. PURPOSE.
The purpose of this Agreement is to transfer all right, title and in-
terest of the Bethel-Napakiak Transmission Line, spare parts inventory,
and rights of way, hereinafter referred to as "the facility", from the
Department of CcnTrerce to the Napakiak Company.
The facility is described in detail in Attachment "A" to this agreement
which, by this reference, is made a part of this Agreement.
2. AUTHORITY:
A. The Commissioner of the Department of Coamrce has been granted the
authority to transfer the facility to Napakiak Company under the
authority held by the Depart-ent of Administration, Division of
General Services and Supply, and delegated to the Department of
Conmerce. This "restricted delegation of authority" is attached
hereto as Attachment "B" and by this reference made pact of this
Agreement..
B. Napakiak Company, acting through its Board of Directors, has been
authorized to accept the facility by resolution of its Board of
Directors, attached hereto as Attachment "C" and by this reference
I Trade a part of this Agreement.
3. TRANSFER.
The Department of Commerce hereby transfers to Napakiak Company all the
Department's right, title and interest in the facility.
4. CONSIDERATION.
Napakiak, iak company, in consideration of the receipt of the facility, agrees
to be responsible for all maintenance, operation, replacement, repair,
alteration, addition or any other cost or liability which may arise, be
associated with or be related to Napakiak Conpany's control over the
facility after the effective date of this Agreement.
5. HOED HA14-UMS .
Napakiak Company agrees to indemnify and hold harmless the Department of
Camierce, its agents, employees, officials, directors, successors, and
assigns from any and all claims, demands, suits or action brought by
Napakiak Company employees, contractors, subcontractors, agents, succes-
sors, assigns or any third party who may seek to recover from the
Department of Commerce for damages to person or property arising out of
the maintenance, operation, repair, replacement, alteration or addition
to the facility undertaken by or on the behalf of Napakiak Company after
the effective date of this Agreement.
6. RELEASE.
Napakiak Coipany represents that it has inspected the facility and is
familiar with the design and duality of construction utilized in the
construction of the facility. Based on its inspection, Napakiak Co pany
releases the Department of Commrce from any and all claims for damages
to its employees, property, customers and their property which may arise
out of Napakiak Company's maintenance, operation, or any other use of the
facility where the claims or suits arise from defects in the design or
construction of the facility.

7. ENTIP.E AGP.
This Agreement represents the entire Agreement between the parties
concerning the ownership of the facility. There are no other ownership

agreements between parties either written, oral, express, or implied.
The effective date of this Agreement shall be the date when the Commis-
sioner of the Department of Ccsmmrce signs this Agreement.

TRANSMISSION LINE
The Seigle Wire Ground Return transmission line delivers single phase
electrical energy, using the earth as a return conductor. Its operating
voltage is 14.4 kV line to ground. The Single Wire Ground Return transmission
line connect Bethel Utilities in Bethel and the Napakiak Ircinraq Power
Company in the community of Napakiak. The line extends 8.5 miles between the
two com ninities. It is supported by gravity -stabilized "A" frame structures.

Modifications Required on the SWGR Line
Structure #9, 26' 10' Rt. Angle, Double Deadend with two
service anchors strung at 30' from horizontal.
Problem: The two service anchors are 6" 8 way expanding type
installed vertically to a depth of 8'. The anchor
rods have crept up from their footings approximately
12" to 16" and are bending over "key logs" used to
stabilize the anchor. The anchor failures are
causing the structure to tip up at one end
approximately 12". Additionally, the rebar anchors
used to secure the pole end to the earth are pulling
due to their inadequate length. They appear to be a
stabilizing force but need to pass through the
active permafrost for adequate strength.
Repairs: Install a new anchor bisecting the exterior angle at
the conductor. Replace the existing anchors, all
with two foot plate anchors installed to eight feet.
Cut off the existing rebar passing through eye -bolts
at the structure legs and replace with 8' vertical
lengths bent over the eye -bolt.
Galvinized 3 bolt clamps are used to jump the
corner. These should be replaced with a H-tap.
Structure #20, 190 30' Lt. Angle, Double Deadend w/2 service
anchors strung at 30' from horizontal.
Problem: One service anchor is failing, the other may be but
was submerged in ice.
Repairs: Replace the failing anchor. Tighten or replace the
second anchor as needed. Replace the rebar anchor
rods with 8' section.
Structure #39, 6° 15' Rt. Angle, Outside leg guyed to an
Anchor Assembly.
Problem: The single anchor is incorrectly positioned and guy
is loose.
Repair: Install a new anchor bisecting the exterior angle
with a new guy attached. The anchor should be a
minimum of twenty feet from the pole.
Structure #44, 9° 45; Lt, Outside Leg Guyed. (Service Anchor
Missing)
Problem: The guy is not attached to a service anchor.
Repair: Identical to Structure #39.

5. Structure #59, 32' 00' Lt, Double Deadend w/2 Service Anchors.
Problem: One guy requires tightening as the anchor head was
under ice during inspection. The second guy was
adjusted.
Repair: Tighten guy.
6. Structure #64, 80' 30' Lt, Double Deadend w/2 Service Anchors.
Problem: Both anchor heads were covered over by ice
preventing inspection. The structure was leaning
severely and requires guy tensioning. If the
anchors are pulling they will require replacement.
Repair: Tighten guys or replace Service anchors as needed.
7. Vibration Dampeners
Problem: Numerous spans of line either lacked dampeners or
had them improperly installed. The dampeners are
Stockbridge type, installed one per span, 28 inches
from the center of the insulator conductor clamp.
Repair: Install new damperners where needed. Adjust
improperly installed dampeners to hang downward.
8. Rebar Anchoring
Problem: 5' sections of rebar were driven into the ground
through eye bolts set in the poles. In some cases the rebar
is jacking out of the ground, probably due to the short length
of rebar not passing through the active layer of permafrost.
The rebar serves as an anchor to the poles, preventing tipping
under high wind conditions.
Repair: Where rebar anchors are observed to be jacking, the
anchor should be replaced with 8' sections of rebar,
jack -hammed to maximum depth with the rebar bent
over the tops of the eyebolts.
9. The Water Crossing at the Airstrip
Problem: The PVC covered cable crosses the water on logs and
has now been covered over with "quick -pipe" for
added protection. This way only a temporary repair.
For a permanent safe modification the cable should
be buried.
Repair: DOT is suppose to be performing modifications on the
airstrip this summer through Knik Construction. If
heavy equipment was at the site, the pond could be

partially filled and the- cable buried. The contact
for DOT is Bill Christovitz in Bethel.
Cost Estimate for SWGR Modifications
Estimates from V. McClelland at the P.E. Company indicate that
two plate anchor replacements and two rebar replacements will
require four men for ten hours (two linemen, two local hire)
at $1670 per day. That may be high for Bethel Utilities doing
the job, but about right if we need to send Anchorage people
out.

RIGHT-OF-WAY AGREEMENT
SINGLE WIRE GROUND RETUR14 DEI•Y)NSTRATION PROJECT
WHEREAS the State of Alaska, Department of Commerce and Economic
Development, Division of Energy and Power Development is in the process
of implementing a Single Wire Ground Return Demonstration Project in the
Bethel, Alaska area, and
WHEREAS it is expected to be of immediate benefit to the people of
Napakiak that such a project be constructed, and
WHEREAS it may be of future benefit to the peoples of Oscarville,
Atmautlauk and numerous other communities which could receive electrical
power fron an extension of this transmission line, and
Whereas it may be of benefit for facilities constructed adjacent or
near to the line, and
WHEREAS. the power transmission line for such a project will travel
across a portion of the lands encompassed by, the withdrawal and
selection area of this Corporation, therefore:
For the sum of one dollar and other good and valuable consideration
the Bethel Native Corporation (BNC) its successors, heirs or assignees
�rants to the State of Alaska, Division of Energy and Power Development
DEPO) its successors, heirs or assignees, a 100 foot wide transmission/
distribution line corridor between the city of Bethel and the city of
Napakiak across lands selected or withdrawn by BNC subject to the
following provisions:
1. The corr,,idor will follow approximately the path shown on
attached "Exhibirt A".
2. This agreement will expire ten years fron the date of
signature by the parties or at any time it is legally determined that
the line has ceased to function as an electric transmission/distribution
line.
3. BNC, its members or designees served from the line will be
assessed no connection charge for any costs attributed to the
transmission/distribution line constructed within the corridor, however,
participation may be required for charges for line extensions, grounding
points or terminations.` �
4. This agreement in no way infringes on BNC's use and ownership
of the land except that BNC agrees to permit DEPO the right of ingress
and egress along the corridor for activities required for construction,
operations and maintanence of the line and agrees not to construct or
use or cause to be constructed or used anything which would affect the
safety and integrity of the line or prevent DEPD's ingress and egress.
No other interest or use of the land ;s implied nor conveyed.
S. OEPO agrees to effect removal of the line within 120 days of
the expiration of this agreement.
6. DEPO has budgeted for and anticipates being responsible for
the operation of the line for approximately one year following
construction. At that time an effort will be made to determine how best
to devote any remaining value of the line to the public interest. DEPD
recognizes BNC's interest in the line and will consider BNC an
interested party in any negotations or transfer of ownership in the
line.

WHEREAS the State of Alaska, Department of Commerce and Economic
Development, Division of Energy and Power Development is in the

Per the June 5, 1985, request (attached) of Mr. Jim Gurke, Development
Specialist, the Department of Administration hereby delegates to the Office of
Energy, Department of Commerce, this limited authority to act as agent for
this department in transferring state ownership of the Bethel-Nagakiak Single
Wire Ground Return Transmission Line to the Mapakiak Ircinraq Power Company.
It is understood the documentation implementing this transfer has been drafted
and/or approved by the Office of the Attorney General, and holds the State

at interest to sell electricity at the minumum
cost,and,
Whereas,The electricity purchase from Bethel Uti-
lities is cheaper thehthe village generation of
electricity,and,
Whereas,The Napakiak Ircinraq Power Company have
interest in owning the SWGR line at no cost now
available from the state,
NOW THERFORE BE IT RESOLVED,the state transfer the
ownership of the Bethel/Napakiak SWGR line to
Napakiak Ircinraq Power Company.
