The company's mammoth 1,000-foot container ships,which are already plying trade routes be-tween Long Beach,Calif.,and Hong Kong,will pick up seafood products being shipped to Japan from Dutch Harbor's fish processors.The port is located a few miles from the halfway point of a well-traveled arc along the shortest sea route be- tween the West Coast of the United States and bustling Pacific ports in Asia. "We're planning this as a hub for the interna- tional seafood market,”said Dan Ramsay,a Sea- Land spokesman in Seattle.He said seafood fromKodiak,Cordova and other Alaska fishing centers bound for Asia will soon be passing through Dutch Harbor. Sea-Land's fleet of 700-foot D-7 vessels,used to shuttle goods between Tacoma,Wash.,and Anchorage,also travel weekly to Dutch Harbor. The first 1,000-foot ship is expected to dock Jan. 28. The Iselin,N.J.-based Sea-Land,a subsidiary of CSX Corp.of Richmond,Va.,operates about 70 vessels. Dutch Harbor's new 730-foot city dock is scheduled to be completed in late January. Harbor master R.W.Poeschel said other shipping companies also have inquired about using the dock. A major Alaska fishing community,Dutch Harbor has about 30 fish processors and is rated as the nation's No.1 fishing port in the country in fish caught and the No.2 port in dollar value of catch. City leaders have pursued making the port an international cargo center where vessels from various countries could drop off containers to be picked up by other ships. Poeschel said Sea-Land's expanded service will be a step toward increasing his Dutch Harbor prominence in Pacific shipping business. The Facility construction will be financed by tax exempt bonds issued by the AEA.An OESI subsidiary will construct the Facility for the AEA under a Date Certain/Fixed Price Construction Agreement. OESI will develop the Wellfield on an equity basis,and subsequently sell Geothermal Fluid for the operation of the Facilities to the AEA for a "Fluid Fee". The Fluid Fee calculated in cents/kWh on the basis of actual energy sold from the plant, as paid to OESI,will include both a component representing the equity return,as well as a component dedicated to pay third party expenses. An OESI affiliate will operate the Project,consisting of the Facilities and the Wellfield, under a Cost Plus Fixed Fee Agreement with the Alaska Energy Authority. During construction the City of Unalaska's electrical distribution system will be upgraded utilizing funds allocated for this purpose from the bond financing. The Alaska Energy Authority will sell the Energy produced from the Project to the City of Unalaska under a long term "Take-or-Pay type contract.The City in turn will contract to sell the bulk of the purchased Energy to the Dutch Harbor industrial users under compatible long term "Take-or-Pay”contracts. Project Description Based on the study performed most recently by R.W.Beck it appears that the energy which can be utilized from the Plant will be approximately 75,000,000 kWh/yr,beginning in 1994. Power Plant Description a.The power plant will be constructed on the South Fox Canyon Plateau in the vicinity of the ST-1 Discovery Well.The plant will utilize approximately 1,350,000 Ibs per hour of geothermal fluid at 380°F to be separated into | 150,000 Ibs/hr of steam and 1,200,000 lbs/hr of fluid,all at 290°F for the five module case.For the four module case the plant output will be optimized with approximately 1,200,000 per hour in total flow,to produce the power indicated in Figure I-3.The geothermal fluid and condensed steam is to be totally reinjected at a temperature of 180°F after being utilized by the plant. Following the close of financing,anticipated in April of 1992,detailed engineering,contract execution,and mobilization of sub-contractors will begin. The initial site activity will be the construction of the road and dock,from Nateekin Bay through the Makushin Valley up to the South Fox Canyon Plateau. Drilling will commence in mid 1992 with at least one production well to be completed and tested by late 1992. Full scale on-site construction activity should begin in spring 1992 with the facilities and field substantially complete in the fall of 1993 and commercial operation by the end of 1993. Project Economics 1.Capital Cost a.Facilities Because of the uncertainties int he on-site activities,especially the road construction,the direct cost estimates vary by as much as a total of $3,200,000, for the 4 dual OEC configuration plant as described earlier. OESI has accepted this variable cost risk and is proposing to construct the facilities for a date certain/fixed price of $53,200,000. Page 3 December 11,1991 b.Field Development The current drilling and field development budget,which represents OESI'sequityinvestmentis$9,500,000. 2.Revenue Projections a.The project economic model was conceptualized based on conservative current energy requirements within the constraints of project costs.The resulting rate structure is to be such that the price to the industrial user in 1991 dollars (with 4.5%assumed annual escalation)and with the City's administrative fee added was not to exceed 12.5 cents/kWh. b.A revenue projection meeting all these requirements has been accomplished by utilizing a future fluid (fuel)prepayment by the ASA. c.The proposed revenue model assumes the following: Facilities Construction Price $53,200,000 Fluid Fee (fuel)Prepayment 7,200,000 Capitalized Operating and Contingency Reserve 3,000,000 Capitalized Contingency and Renewal Fund Reserve 3,000,000 Capitalized "Soft Cost"including interest during construction and transaction costs 8.600.000 TOTAL BOND ISSUE $75,000,000 (Not including the loan to the AEA for the Debt Service Reserve.) The fluid fee pre-payment proposed results in a 2.66 cents/kWh reduction in energy rate during the first five years and a 1.33 cents/kWh reduction during years 6 thought 10. The result is a net every for sale rate,including the administrative fee,in 1995 of approximately 14.7 cents/kWh (12.25 in 1991 dollars).The 1991 "equivalent rate”is actually then reduced in later Cr 2 WHEREAS,Owner and AMOR 10 have entered into that certain Unalaska Project Agreement for Engineering,Procurement and Construction Agreement dated as of (the "Con- struction Agreement")which provides for the construction of a MW (net)geothermal power generation facility as more fully defined herein (the "Facility");and WHEREAS,Owner and Makushin Geothermal Partnership,a Delaware partnership ("Makushin")have entered into a Fluid Sales Agreement,dated as of ,the ("Fluid Sales Agreement")which provides for the utilization by Owner of Geothermal Resources in the Makushin Known Geothermal Resource Area of Unalaska Island,Alaska;and WHEREAS,Owner and the City of Unalaska,a corporation ("City"),have entered into a Power Sales Agreement (the "Power Agreement"),concerning the sale to the City of electric energy generated by the Facility;and WHEREAS,Owner wishes to retain Operator to perform certain operation and maintenance services (the "Services",as hereinaf- ter further defined)for the Facility;and WHEREAS,Operator agrees to provide such Services on the terms and conditions set forth in this Agreement; NOW,THEREFORE,in consideration of the agreements herein contained and other good and valuable consideration,the parties hereby agree as follows: 1.0 THE AGREEMENT 1.1 Purpose.The purpose of this Agreement is to define the terms under which the Operator shall operate and maintain the Facility for Owner. 1.2 Relationship of the Parties.The Operator shall perform the Services hereunder as an independent contractor. Affiliate.Affiliate shall mean,with respect to an entity,an entity that controls,is controlled by,or is under common control with such entity or any successor thereto. Capital Equipment.Capital Equipment shall mean all equipment integral to the operation of the Facility and having an estimated useful life of more than one year.Capital Equipment shall not include normal major and minor overhaul supplies, consumables,or items having an estimated useful life of one year or less.Capital Equipment also shall not include office furniture,office equipment and tools with an aggregate cost of $20,000 or less. Capital Improvements.Capital Improvements shall mean the replacement or addition of structural components of the Facility having a value in excess of $5,000 and a useful life greater than one year. Fees.Fees shall have the meaning set forth in Section 6.2 hereof. Field.Field shall mean that real property leased by Makushin under the Geothermal Lease and all below ground installations thereon (to the outlet flange of the well head shut-off valve),including all geothermal production and reinjection wells;but Field shall exclude well head equipment beyond the flange of the well head shut-off valve,pumping equipment,piping,instrumentation and the geothermal gathering system. Field Manager.Field Manager shall mean an individual appionted by Makushin authorized to act on behalf of Makushin in matters involving the operation and maintenance of the Field. Fluid.Fluid shall mean (i)the products of geothermal processes,embracing indigenous steam,hot water and hot brines;(ii)steam and other gases,hot water and hot brines resulting from water,gas,or other fluids artifically introduced into subsurface formations;(iii)heat or other associated energy found beneath the surface of the earth;and (iv)water from geopressured zones. Fluid Sales Agreement.Fluid Sales Agreement shall have the meaning set forth in the Recitals hereto. Force Majeure.Force Majeure shall mean acts,events or occurrences beyond the reasonable control of Operator or Owner which delay or otherwise prevent Operator or Owner from timely performing its respective obligations under this Agreement (other than an obligation to pay money),including,without limitation, fires;floods;epidemics;lightning;earthquakes;quarantine; blockade;governmental acts,orders or injunctions;war; insurrection or civil strife;strikes or labor disputes; sabotage;unusual delays in transportation;explosion;and any other similar events,but only to the extent such events are beyond the reasonable control of Operator or Owner despite its reasonable efforts to prevent,avoid,delay or mitigate such acts,events or occurrences. Operating Fund.Operating Fund shall mean the fund established and maintained by Owner in accordance with the provisions of the Indenture which shall include therein an operating reserve account to hold the Operating Reserve Account Requirement. Qperating Procedures.Operating Procedures shall mean the rules,regulations,permit requirements,schedules,and procedures to which the Operator shall adhere in the performance of the Services,to be established in accordance with Exhibit A hereto. Operating Reserve Account Requirement.Operating Reserve Account Requirement shall mean an amount equal to 20 6 percent of the Operating Expense (as such term is defined in the Indenture)component of the Annual Budget (as such term is defined in the Indenture),or such other amount as may bedeterminedpursuanttothePowerAgreement. Qperator.Operator shall have the meaning set forth in the Preamble hereto. Owner.Owner shall have the meaning set forth in the Preamble hereto. Power Agreement.Power Agreement shall have the meaning set forth in the Recitals hereto. Project Year.A Project Year shall be a calendar year. Renewal_and Contingency Reserve Fund.Renewal and Contingency Reserve Fund shall mean the fund established and maintained by Owner in accordance with the provisions of the Indenture in an amount at least equal to the Capital Reserve Requirement. Renewal and Contingency Reserve Requirement.Renewal and Contigency Reserve Requirement shall mean an amount equal to $. Services.Services shall mean the services provided by the Operator pursuant to the terms of this Agreement as more specifically set forth on Exhibit A hereto. Short Project Year.A Short Project Year shall mean any Project Year consisting of less than 12 months. Site.Site shall mean the real property located in Unalaska Island,Alaska on which the Facility is located,as more particularly described in the site map attached hereto as Exhibit B,and all real property appurtenant therto. Spare Parts.Spare Parts shall mean the spare parts which a prudent operator would hold in order to operate the Facility in a good,workmanlike,and commercially reasonable manner. Trustee.Trustee shall have the meaning assigend to such term in the Indenture. 3.0 SPONSIB ES OF OP {@) 3.1 Services.During the term of this Agreement, Operator shall provide to Owner the Facility Services set forth in Exhibit A hereto. 3.2 Manner of Performance.Operator shall perform theServiceshereunderinagood,workmanlike,and commercially reasonable manner with the standard of diligence and care normally employed by duly qualified persons in the performance of comparable work.Operator shall in all material respects performtheServicesinaccordancewith(i)the Operating Procedures (including any operation and maintenance manuals included therein)and the Administrative Procedures,(ii)all applicable laws,regulations,codes,permits,licenses,and standards,(iii)the Indenture,and (iv)this Agreement. 3.3 Facility Manager.No later than ten (10)days after the Commencement Date of this Agreement,Operator shall designate a Facility Manager and notify Owner of the identity thereof.The appointment of the Facility Manager,and any successor thereto,shall be subject to Owner's reasonable approval.The Facility Manager shall have direct operational control of the Facility on a day-to-day basis. 3.4 Local Hire.{In performance of all work required by this Agreement,Operator will employ or contract with persons that are residents of the City and its environs to the extent such persons are,in the reasonable opinion of Operator, qualified to perform required work and it is commerciallypracticableforOperatortohiresuchpersons.] 3.5 Operations and Maintenance Manuals.Owner shall deliver to Operator copies of any and all Facility operating and maintenance manuals received from Contractor under the Construction Agreement including,but not limited to,drawings, record books,vendor manuals,and operations and maintenance manuals. 3.6 Emergency.In the event of any emergency involving the Facility endangering life or property,Operator shall take such action as may be reasonable and necessary to prevent,avoid,or mitigate injury,damage,or loss,and shall, as soon as practical,report any such injury,damage or loss, including Operator's response thereto,to Owner. 3.7 Limitations.Notwithstanding any other provision in this Agreement,Operator may not,without the prior written consent of Owner: (i)Make any expenditures for materials,equipment, services,or supplies in excess of amounts provided for such items in the operating plan and budget for that Project Year,unless that failure to make such an expenditure would create an abnormal risk of personal injury or significant damage to the Facility and Owner is notified promptly of such expenditure; (ii)Modify,amend,terminate,supplement,or take any other material contractual action with respect to the Indenture or any of the Indenture Documents; (iii)Take any action in respect of the Facility,or make any expenditure on behalf of Owner,other than in the ordinary course of performing the Services. 4.0 RESPONSTBILITIES OF OWNER In addition to any Owner obligations specified elsewhere in this Agreement,during the term of this Agreement Owner shall be responsible for the following: 4.1 Access.Owner shall provide Operator with access to the Facility and the Site as may be necessary for performance of the Services hereunder. 4.2 Budgets and Plans.Owner shall give timely review and approval of the budgets and plans submitted by Operator as set forth in Exhibit A hereto. 4.3 Payments.Owner shall make payments to Operator in accordance with this Agreement. 4.4 Fluid.Owner shall provide to Operator,at the wellhead flange,Fluid in quality and quantity sufficient to operate the Facility at all times at MW (net)capacity as required by the Power Agreement.[Fluid specs?] 4.5 Cooperation.Owner shall cooperate with Operator as may be reasonably necessary in the performance of Operator's Services hereunder. 4.6 Permits.Owner shall procure and maintain all permits,licenses and regulatory approvals necessary to construct or create the right to operate the Facility. 5.0 FORCE MAJEURE Neither party shall be considered in default in the performance of its obligations under this Agreement to the extent that the performance of any such obligation is prevented or delayed by any Force Majeure,provided that such party gives the other party prompt notice thereof and uses reasonable efforts to mitigate the effect of the Force Majeure.' 6.0 OPERATOR'S COMPENSATION AND REIMBURSEMENT 6.1 Reimbursement of Direct Expenses.Owner shallreimburseOperatorforalldirectcostsandexpensesactuallyincurredorpaidbyOperatorintheperformanceoftheServices hereunder.Such reimbursable direct costs and expenses include, but are not limited to,the items set forth on Exhibit C hereto and shall hereinafter be referred to as the "Cost of the Work". 6.2 General and Administrative Expenses.In addition to reimbursement of the Cost of the Work,Owner shall reimburse Operator for General and Administrative Expenses incurred in connection with providing support to the Operator, whether such support is provided at the Site or elsewhere and whether such support is provided by Operator or an Affiliate of Operator.Such General and Administrative Expenses shall include,but are not limited to,the items set forth on Exhibit D hereto.All such expenses and costs shall hereinafter be referred to as the "G &A Expenses". 6.3 Fees and Incentive Payments.In consideration of the due and timely performance by Operator of the Services hereunder,Owner shall pay Operator,from and after the effective date of this Agreement,a fixed fee (the "Fee")and,if earned, an incentive payment (the "Incentive Payment")both of which are calculated and earned on a monthly basis in accordance with this Paragraph. [TO BE DISCUSSED] 6.4 Manner and Time of Payment.On or as soon as practical after the first day of each calendar month,Operator shall prepare and submit to Owner an invoice covering the Cost of the Work and the G &A Expenses incurred during the preceding calendar month and the Fee and Incentive Payment earned.Within ten (10)days after receipt of the invoice,Owner shall pay to Operator the Cost of the Work and applicable Fees shown to be due under the invoice.Any amounts paid to Operator by Owner as reimbursement for costs incurred but not paid shall be disbursed by Operator to the appropriate party within sixty (60)days after such amounts are received by Operator,and any amounts not so disbursed shall be placed by Operator in a general reserve account.Operator shall notify Owner of any amounts not disbursed.Owner may direct disbursement of such amounts; provided,however,Operator does not have to disburse amounts which have not been paid due to a good faith dispute so long asOperatorisholdingreasonablyadequatereserveswithrespect thereto.Provided Operator is not materially in default of its obligations hereunder,amounts owed by Owner to Operator hereunder more than ten (10)days after receipt of the invoices prepared in accordance with this Section 6.3 shall accrue interest each day such is not paid after such time at the lesser 10 of (i)a rate equal to two percent (2%)above the prime lendingratequotedtosubstantialandresponsiblecommercialborrowers by Chase Manhattan Bank,each day such interest accrues,or (ii) the maximum rate permitted by applicable law.Any dispute hereunder shall be resolved in accordance with Article 17. [ADVANCE AND SECURITY PROVISIONS TO BE DISCUSSED] 7.0 INSPECTIONS,BOO AND_RECORDS AUD . 7.1 Inspections.Owner shall have full right of access to the Facility (including meters),and Operator agrees to cooperate with inspections of the Facility by Owner.Such inspections may occur at any time upon reasonable notice to Operator,provided such inspection does not,in Operator's reasonable judgment, materially interfere with its timely performance of the Services under this Agreement.Operator acknowledges that the City may have certain rights to inspect the Facility pursuant to the Power Agreement,and Operator agrees to cooperate with such inspections. 7.2 Books and Records.Owner shall have the right to inspect Operator's books and records (including meter records) relating to the operation of the Facility,and Operator shall retain all such information for a minimum of three years,or for such longer period as Owner may,in writing,reasonably request. 7.3 Audit by Owner.Owner,at Owner's expense,may conduct audits of Operator's performance of the Services,provided that at least two weeks'notice of each such audit shall be given to Operator. 8.0 TERM 8.1 Term of this Agreement.The initial term of this Agreement shall terminate three (3)years after the Commencement Date. 8.2 Extensions.The term may be extended,at the option of Operator exercised by notice given to the Owner not later than ninety (90)days before the expiration of the initial term,for an additional three (3)year term on the same terms and conditions as set forth in this Agreement,with such changes therein as may be agreed by the parties. 9.0 TERMINATION 9.1 Transfer of Operations Upon Expiration or Termination. Upon expiration or termination of this Agreement for any reason, 11 Operator shall cooperate with Owner in the transfer of the operations of the Facility to Owner or a new operator of the Facility designated by Owner.Without limiting the foregoing, Operator shall train personnel of Owner or the new operator to operate the Facility and provide Owner and the new operator with information and data necessary for the safe and efficient operation and maintenance of the Facility.Operator shall be compensated separately for such training at a rate for such training equal to Operator's costs plus 20%.Operator shall leave the Facility in good operating condition,normal wear and tear excepted.Operator shall maintain insurance in accordance with the terms of this Agreement until the date Operator vacates the Facility;provided,however,Operator shall not terminate or cancel any such insurance without providing thirty (30)days advance notice of such termination or cancellation to Owner. 9.2 Suspension of Services.Owner by written notice may require Operator to suspend all or a portion of Operator's Services for a specified period of time.In the event Operator's Services are suspended by Owner or by an event of Force Majeure, Operator shall be relieved of any obligations hereunder,to the extent such obligations are affected by such suspension.During the period of any suspension or event of Force Majeure,Operator shall continue to be entitled to payment for Services in accordance with Article 6,including without limitation,the costs of mobilization,demobilization and waiting time,as may be appropriate. 9.3 Optional Termination.Owner shall have the right to terminate this Agreement:(a)upon thirty days'written notice without further liability of Owner (provided,however,Operator shall use its reasonable efforts to transfer operations under Section 9.1 prior to the expiration of such thirty days),in the event (i)Owner sells,transfers,conveys,or otherwise disposes of the Facility,(ii)the Power Agreement is terminated,(iii) the Facility does not achieve Commercial Operation by . In the event of a termination under this Section 9.3,Owner shall pay Operator's reasonable costs incurred in the termination of the performance of the Services hereunder. 9.4 Termination for Failure to Perform.Owner may terminate this Agreement upon five days'prior notice if Operator (1)generally does not pay its debts as they become due or admitsinwritingitsinabilitytopayitsdebtswhendueormakesageneralassignmentforthebenefitofcreditors;or (2)commences any case,proceeding or other action seeking reorganization, arrangement,adjustment,liquidation,dissolution or composition of it or its debts under any debtor relief law;or (3)in any involuntary case,proceeding or other action commenced against it which seeks to have an order for relief (injunctive or otherwise) entered against it,as debtor,or seeks reorganization, arrangement,adjustment,liquidation,dissolution or composition 12 of it or its debts under any debtor relief law,(i)fails to obtain a stay or dismissal of such case,proceeding or other action within forty-five (45)days of its commencement,or (ii) converts the case from one chapter of the Federal Bankruptcy Code to another chapter,or (iii)is the subject of an order for relief;or (4)conceals,removes or permits to be concealed or removed,all or any substantial part of its property,with actual intent to hinder,delay or defraud its creditors or any of then, or suffers or permits while insolvent,any creditor to obtain a lien upon all or any substantial part of its property through legal proceedings which is not vacated within thirty (30)days from the date thereof;or (5)has a trustee,receiver,custodian or other official appointed for or take possession of all or any substantial part of its property or has any court take jurisdiction of all or any substantial part of its property, which action remains undismissed for a period of forty-five (45) Gays;or (6)fails to make prompt payment to subcontractors or for equipment,supplies,or labor,disregards applicable laws,or otherwise violates or breaches a material provision of this Agreement (and if the Operator shall fail to cure such default within thirty days of receipt of notice thereof from Owner). 9.5 Owner's Rights.Upon termination or expiration of this Agreement,Operator shall (i)deliver to Owner all books, records,accounts,manuals,Operating Procedures,and ° Administrative Procedures developed or maintained by Operator pursuant to this Agreement and (ii)subject to the provisions of Article 19.0,provide Owner with the non-exclusive right to continue to use any and all patented and/or proprietary information of Operator that Owner deems necessary to perform the Services.Furthermore,Owner shall have the right to take possession of all of the equipment,fuel,and supplies located at the Facility for the purposes of performing the Services and may employ any other person,firm,or corporation to perform the Services by whatever method provided herein. 9.6 Operator's Rights.Operator shall have the right to terminate this Agreement upon ninety (90)days'written notice without further liability if an Event of Default,as defined in the Indenture,has occurred and Owner fails to pay the sums due Operator under this Agreement or to provide adequate assurance as to continued payment within ten (10)days after notice to Owner of its intention to terminate.Upon termination or expiration of this Agreement,Operator shall not be entitled to receive any further payments under this Agreement other than payments for Services performed prior to termination or expiration and,in the event of a termination under Section 9.3,the costs provided for in Section 9.3. 9.7 General Obligations.Upon termination or expiration of this Agreement,Operator shall,at Owner's request and at Owner's expense,charged by Operator at the same rates provided herein, 13 perform the following Services: (i)assist Owner in preparing an inventory of all material,equipment,Spare Parts,fuel,supplies and in use or in storage at the Facility; (ii)assign to Owner all subcontracts and other contractual agreements as may be designated by Owner; and (iii)remove from the Site all such equipment, supplies and rubbish as Owner may request. 10.0 INSURANC 10.1 (i)Liability Insurance to Be Provided by Operator.During the term of this Agreement,Operator shall maintain in effect the following insurance in the following amounts: Worker's Compensation Statutory Employer's Liability $1,000,000 Commercial General $2,000,000 combined Liability including:Single limit per Contractual Liability occurrence Product/Completed Operation Liability Independent Contractor Liability XCU Hazards Liability Comprehensive Automobile Liability $2,000,000 combined Covering Owner,Leased limit per or Rented Vehicles occurrence (ii)Property Damage.During the term of this Agreement, Owner shall provide and maintain primary property insurance covering all risks of physical loss or damage to the property of the Facility from any external cause to the full replacement value and subject to normal policy exclusions,limitations,and qualifications. (iii)Business Interruption Insurance.During the term of this Agreement,Owner shall provide business interruption insurance in such amounts each policy term equal to the reasonably expected gross revenues for such term less reasonably expected non-continuing expenses for such term and subject to normal policy exclusion,limitations and qualifications. 14 10.2 Certificates.Operator shall furnish certificates of insurance to Owner evidencing the insurance required pursuant to Article 10.0 Each certificate shall provide that thirty dayspriorwrittennoticeshallbegiventoallnamedinsuredsin events of cancellation or termination in the policies initiated the issuer or underwriter of such insurance. 10.3 Proof of Loss.Operator,on its own behalf or on behalf of Owner,as the case may be,shall make all proofs of loss under all insurance policies required to be carried by Operator under Sections 10.1 (i)and take all other action reasonably required to collect from insurers for any loss under any such insurance policy.Operator shall cooperate with and assist Owner in making all proofs of loss under any insurance policies required to be carried by Owner under Sections 10.1 (ii) and 10.1 (iii)of this Agreement. 10.4 Repair and Restoration.Subject to the provisions of the Indenture,if any damage shall occur to the Facility,or any part thereof,the proceeds of the insurance carried by Operator pursuant to section 10.1 shall be applied as specified in the Indenture.It being understood that Owner may instruct Operator not to repair any particular damage to the Facility. 10.5 Revisions and Deductibles.None of the policies required to be carried under this Agreement shall be materially revised or cancelled without the prior written consent of Owner, which consent shall not be unreasonably withheld.Any repairs made by Operator not reimbursable from the insurance proceeds by reason of the deductible provisions of the applicable policy shall be reimbursed by Owner unless the loss was caused by the failure of the Operator to perform the Services in accordance with Section 3.2. 10.6 Form and Content.All policies,binders,or interim insurance contracts with respect to insurance maintained by Operator pursuant to this Article 10 shall: (i)be placed with insurance companies acceptable to Owner; (ii)designate Operator and Owner,as additional insureds or loss payees,as the case may be (except for Worker's Compensation and Employer's Liability insurance coverage);such insurance will be primary and not excess or contributing as respects any other insurance available to Operator,Owner,or the additional insureds; (iii)provide that no insured shall have recourse . against any insured other than Operator and Owner for . premiums or commitments or (if such policies provide i5 for the payment thereof)additional premiums or assessments;and (iv)waive any right of subrogation of the insurers thereunder against Owner and Operator,and the other additional insureds,and any right of the insurers to any setoff or counterclaim or any other deduction, whether by attachment or otherwise,in respect of anyliabilityofanysuchpersoninsuredundersuchpolicy. 10.7 Owner May Obtain Insurance.In the event Operator fails to maintain the policies of insurance required tobemaintainedunderthisArticle10,Owner may,at its option,provide such insurance;provided,however,such action by Owner shall not release Operator of its obligations to maintain such insurance. 11.0 DEFAULTS,REMEDIES AND WAIVERS 11.1 Defaults.{TO BE DISCUSSED] 11.2 Remedies.{TO BE DISCUSSED] 11.3 Waivers.Waiver by either party of any right under this Agreement shall not be deemed a waiver by such partyofanyotherrightshereunder.The rights herein provided are cumulative and not exclusive of any right or remedies provided by law. 12.0 GOVERNING LAWS This Agreement shall be governed by and construed in accordance with the laws of the State of Alaska. 13.0 SEVERABIL Every provision in this Agreement is intended to be severable such that if any term or provision hereof is illegal or invalid for any reason whatsoever,such provision shall be severed from this Agreement and shall not affect the validity of the remainder of this Agreement. 14.0 EN GREEMENT This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes and replaces all prior agreements and understandings,whether written or oral,and sets forth all the representations, 16 covenants,and warranties upon which either party is relying in entering into this Agreement.Reference in this Agreement to the Indenture or any other agreement entered into by or on behalf of Owner or Operator shall not modify or amend any responsibility, liability,or obligation on the part of Owner or Operator under such agreement or document. 15.0 NOTICES Notices,communications and correspondence between the parties shall be in writing and shall be deemed to be validly given if delivered in person or three business days after mailing thereof,postpaid,registered or certified mail return receipt requested,to the other party at the address indicated below or at such address as either party may designate by notice to the other party as herein required. Operator c/o Alaska Geothermal Power Corporation LFC Power Systems Corporation 4000 Kruse Way Place Building One,Suite 255 Lake Oswego,OR 97035 Attn:President Owner Alaska Energy Authority 701 East Tudor Road Anchorage,Alaska 99519 Attn:Executive Director 16.0 ASSIGNMENT AND SUBCONTRACTING 16.1 Assignment.Except as set forth in Section 16.2 below,this Agreement shall not be assigned in whole or in part by Owner or Operator without the prior written consent of the other.Operator hereby consents to the assignment of this Agreement to the Trustee as security for Owners obligations under the Indenture,provided Owner gives advance notice to Operator in writing setting forth the effective date of the assignment. 16.2 Subcontractors.Operator shall have the right to have any of the Services performed by subcontractors pursuant to written subcontracts between Operator and such subcontractors with respect to the Services to be performed hereunder. Notwithstanding the foregoing,Operator shall not subcontract the day to day control of the operation or maintenance of the Facility without the prior written consent of Owner.No subcontractor is intended to be nor shall be deemed a third- party beneficiary of this Agreement.The Operator shall cause to 17 be assignable to Owner all subcontracts entered into by theOperatorwithsubcontractorsthatobligatetheOperatorto make aggregate expenditures in respect thereof in excess of $ in any calendar year.Operator guarantees compliance by its subcontractors (except any subcontractors who are responsible forperformingwarrantyworkonequipmentusedintheFacility)withthetermsandconditionsofthisAgreementtothesameextentas if the services to be performed by such subcontractor were performed by Operator's own employees. 17.0 RESOLUTION OF DISPUTES [TO BE PROVIDED] 18.0 INDEMNIFICATION Operator hereby agrees to indemnify and hold harmless Owner,its Affiliates,their respective partners,directors, officers,agents and employees from any damage to property or injury to persons (including death)to the extent resulting from the negligence or willful misconduct of Operator or its subcontractors or their respective servants,agents,or employeeswhileengagedinactivitiesunderthisAgreementontheSite. Owner shall likewise indemnify and hold harmless Operator,its Affiliates,their respective partners,directors,officers, agents and employees from any damage to property or injury to persons (including death)to the extent resulting from the negligence or willful misconduct of Owner,its servants,agents or employees,while engaged in activities relating to this Agreement on the Site.In the event such damage or injury is caused by the joint or concurrent negligence or willful misconduct of Operator and Owner,the loss shall be borne by each party in proportion to their degree of negligence and willful misconduct. 19.0 CONFIDENTIALITY Throughout the term of this Agreement,Owner and Operator agree to keep confidential,and instruct their agents and representatives to keep confidential,any information disclosed by either party pursuant to the terms of this Agreement.A party's obligation to maintain confidentiality shall not apply to information which: (i)at the time of disclosure is in the pubic domain or which subsequently comes to be in the pubic domain other than solely as a result of acts by the party to whom disclosure has been 18 made; (ii)was in the possession of the party at the time of its disclosure by the other party;or (iii)is received by a party after its disclosure to them by the other party from any third person not acting on the other party's behalf in connection with this transaction. 20.0 NO THIRD-RIGH This Agreement shall not create in favor of,nor give to,any third party any claim or right of action against Owner or Operator,its subcontractors,or their respective affiliates (except in accordance with the terms of any assignment of this Agreement made in accordance with Section 16.1). 21.0 SURVIVA 22.0 IT.ON _OF LIABI Y¥ 22.1 Consequential Damages.Notwithstanding any other provision of this Agreement,neither party shall be liable for 'and each party does hereby release the other party from liabilityforconsequentialandindirectdamages,such as loss of profit, loss of use,loss of revenue,extra cost of producing profits,or any other special or incidental damages of any nature sustained in connection with or as a result of the work to be performed hereunder whether such damages are sought in contract,warranty, tort (including negligence,in whole or in part),strict liability,or otherwise. 22.2 Limitation on Operator's Liability.Operator's liability arising out of or in connection with all the Services shall be limited solely to reperforming at its expense any Services performed by Operator which are deficient because of a failure to perform such Services in accordance with the standards described in Section 3.2 and to repairing or replacing at its expense any materials or equipment which are damaged as a result of Operator's failure to perform such Services in accordance with the standards described in Section 3.2.No claim arising out of the performance or nonperformance of work and obligations in connection with the Services to be provided hereunder,whether based on contract,warranty,tort (including negligence,in whole or in part),strict liability,or otherwise,shall be asserted against Operator unless the injury,loss,or damage giving rise to the claim is sustained prior to the expiration of two years from the termination of this Agreement.Notwithstanding the 19 foregoing,in the event of a termination under Section 9.4, Operator shall reimburse Owner for its reasonable out-of-pocketexpensesincurredinthetransferofoperationsunderSection 9.1. 22.3 Effect on Other Contracts.Nothing contained inthisAgreementshall,in any way,limit,alter,negate,expand, or otherwise affect or create any warranty,guarantee,liquidated damages provision,or limitation of liability in any other agreement. 22.4 Extent of Limitations.Except to the extent prohibited by law,the limitations,releases from liability, indemnity,and hold harmless provisions in this Agreement shall apply even in the event of the fault,tort (including negligence, in whole or in part),strict liability,breach of contract, breach of warranty,or otherwise,of the party whose liability is released,limited,indemnified,or held harmless,and shall extend to its partners,officers,employees,and agents,to Affiliates,and to their respective officers,employees and agents. 22.5 Disclaimer.[TO BE PROVIDED] 23.0 ORIGINA N (e)ERPARTS This Agreement may be executed in two or more counterparts,each of which shall be deemed an original,for all purposes,but all of which shall constitute one and the same instrument. 24.0 REPRESEN I ND_W.TI OF OPE R_AND OWNER Each party represents and warrants to the other party hereunder that is has the power and authority to enter into this Agreement and that this Agreement has been duly authorized, executed and delivered by such party and constitutes the valid and binding obligation of such party enforceable in accordance with its terms. 25.0 HEADINGS The headings contained in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement. 20 IN WITNESS WHEREOF,the parties hereto have executed this Agreement as of the effective date first written above. OPERATOR OWNER Alaska Geothermal Power Corporation Alaska Energy Authority By:By: Its:Its: 21 Exhibit A Operator Services The Operator shall perform the following Services under this Agreement: 1.In accordance with operating plans and budgets, purchase or contract or materials,equipment,services,and supplies for the Facility.The Services which Operator shall render shall include bidder qualification and selection,bid solicitation,evaluation,and order placement as well as expediting after the award. 2.Within ten (10)days after the Commencement Date [at least sixty (60)days prior to the scheduled Date of Commercial Operation],deliver to Owner detailed Administrative Procedures,which shall in all material respects be (i)in compliance with all applicable laws,regulations,permits, licenses,and standards;(ii)consistent with this Agreement;and (iii)consistent with those requirements relating to accounting, reporting,and other administrative matters as shall be set forth in the Indenture.Owner shall have the right to approve the Administrative Procedures delivered by Operator,which approval shall not be unreasonably withheld,and if Owner does not approve such procedures,Owner and Operator shall mutually agree on a set of Administrative Procedures.Subject to Owner's reasonable approval,Operator shall prepare and deliver to Owner from time to time any amendment or modification to the Administrative Procedures that Operator may deem necessary in the performance of the Service. 3.Within ten (10)days after the Commencement Date [at least sixty (60)days prior to the scheduled Date of Commercial Operation],deliver to Owner detailed Operating Procedures,which shall in all material respects be (i)in .compliance with all applicable laws,regulations,codes,permits, licenses,and standards (including all safety,environmental,and security requirements);(ii)consistent with this Agreement and all manuals and instructions relating to the Facility and theequipmenttherein;and (iii)'consistent with those requirementsrelatingtotheoperationandmaintenanceoftheFacilityas shall be set forth in the Indenture and in any operation and maintenance manuals furnished by Contractor under the Construction Agreement.The Operating Procedures shall provide for preventive and ordinary maintenance of the Facility, inventory control and tracking of equipment history.Owner shall have the right to approve the Operating Procedures delivered by Operator,and,if Owner does not approve such procedures,Owner and Operator shall mutually agree on a set of Operating Procedures.Subject to Owner's reasonable approval,Operator 22 shall prepare and deliver to Owner from time to time any amendment or modification to the Operating Procedures that Operator may deem necessary in its performance of the Services. 4.Subject to the provisions of this Agreement,hire and maintain a Facility work force and administrative personnel as necessary for the smooth and efficient operation of the Facility. 5.Provide regular training for its employees as follows: (i)Regular Training.Within ten (10)days after the Commencement Date [at least sixty (60)days prior to the scheduled Date of Commercial Operation], establish a regular training program for its personnel designed to keep such personnel informed of existing Operating Procedures and any additions or modification thereto and provide such training for such personnel throughout the term of this Agreement. (ii)New Personnel.Subject to Section 3.4 of the Agreement,select and train all replacement and additional personnel employed by Operator at the Facility in accordance with Operator's regular training procedures. (iii)Employment of Licensed Personnel.Whenever required by applicable laws,regulation,codes,or standards,employ only licensed personnel to perform professional Services. 6.Assure that all obligations of Owner relating to the operation and maintenance of the Facility under any contract (including but not limited to the Indenture)that Owner delegates to Operator are complied with;provided,however,Owner and Operator agree that such delegation to Operator shall not relieveOwnerofitsobligationtoanythirdpartywithrespecttosuch contract,and,provided further,in no event shall Operator have any responsibility to make any payment due under the Indenture or any other Owner Agreements relating to the Facility. 7.Take all appropriate actions to preserve Owner's rights under equipment warranties and make all appropriatewarrantyclaimsonbehalfofOwnerinatimelymanner. 8.Prepare and file all reports to federal,state and local governmental agencies relating to the Facility. 9.Handle governmental relations and all permitting matters and assist owner in securing appropriate permits, 23 approvals and licenses and in the renewal and maintenance of all required permits,approvals,and licenses including,but not limited to,filing all reports and notices and disbursing funds for all payments in connection therewith. {10.Maintain full and accurate books,records,and accounts of the Facility and administer and be responsible for all cost accounting,cash management,purchasing,personnel,andpayrollfunctionsrelatingtotheperformanceoftheServices.] 11.Evaluate,select,and procure all electricity and other utilities as Operator may reasonably require for the safe and efficient operation and maintenance of the Facility and the comfort,safety and well-being of its employees. 12.Remove and dispose of waste generated at the Facility in accordance with all applicable laws. 13.Cooperate with an annual audit of the Facility's books that may be arranged by Owner. 14.Prepare status reports as follows: (i)Quarterly.Within fifteen (15)days after the end of each calendar quarter,deliver to Owner a report,in form and substance reasonably satisfactory to Owner,summarizing,in appropriate detail,the results of operations of the Facility during the preceding month. (ii)Annually.Within sixty (60)days after the end of each Project Year,deliver to Owner a report,in form and substance reasonably satisfactory to Owner, summarizing in appropriate detail,the result of operations of the Facility during the preceding Project Year., (iii)Additional Information.Provide such additional information,with respect to Operator's or its subcontractor's performance of Services hereunder as Owner may reasonably request or as required by applicable laws,regulations,permits. 15.Prepare annual proposed operating plans and budgets as follows:Not later than sixty (60)days before the beginning of each Project Year,propose an operating plan and budget for the forthcoming Project Year;provided,however,that the first operating plan and budget due under this Agreement shall be delivered to Owner within ten (10)days after the Commencement Date [at least sixty (60)days prior to the scheduled Date of Commercial Operation].As soon as practical,Owner shall notify the operator of any questions,comments,objections,or suggested 24 modifications which it may have with respect to the proposedoperatingplanandbudget,and the parties shall cooperate with each other in attempting to agree on a mutually acceptableoperatingplanandbudget.At least thirty (30)days before thebeginningofeachProjectYear,and in the case of the first operating plan and budget due under this Agreement within thirty (30)days of receipt by Owner of the proposed operating plan and budget,Owner shall approve the proposed operating plan and budget,or a modified operating plan and budget for the forthcoming Project Year.If Owner fails to take any action within the specified period,the proposed operating plan and budget shall be deemed to be approved,except that Operator may not purchase any Capital Equipment or make any capital improvements to be paid for by Owner without the prior written consent of Owner or until a capital budget has been approved by Owner. 16.Obtain and maintain the insurance to be provided by Operator under Article 10 of this Agreement and perform such other obligations with respect to the insurance as set forth in Article 10. 17.Pay all taxes,charges and assessments for the Facility and all income,payroll,unemployment,sales,use, excise,import duty,and gross receipt tax and corporate and professional business and fees incurred in or resulting from the performing of the Services. 18.Initiate and maintain reasonable security precautions and programs to protect against vandalism,theft,or other similar actions.; 19.Initiate and maintain reasonable safety precautions and programs necessary to comply with all applicable safety laws and other safety requirements to prevent injury to persons or damage to property on,about,or adjacent to the Site. 20.Erect and maintain safeguards reasonably necessary for the protection of workers and the public and use reasonable efforts to eliminate or abate safety hazards created or otherwise resulting from the performance of the Services. 21.Oversee and supervise any subcontractors or agents retained by Operator in the performance of the Services. 22.Operate and maintain the Facility in accordance with the terms of this Agreement and the operating and maintenance manuals for the Facility,including making all necessary repairs. 23.Maintain an inventoryof Spare Parts. 24.Perform those ordinary and routine operations and 25 maintenance obligations relating to the Field undertaken by Owner pursuant to Section of the Fluid Sales Agreement,provided that such services shall not include any work which requires the removal of wellhead equipment or entering into any wells. 25.Perform all other Services as may be necessary of appropriate in connection with the full and proper operation and maintenance of the Facility. 26 Exhibit C Reimbursable Direct Expenses The following costs and expenses incurred by Operator shall be reimbursable by Owner as Cost of the Work,all in accordance with Section 6.1 of this Agreement. 1.Costs and related expenses reasonably incurred by Operator in the operation and maintenance of the Facility and inaccordancewithitsestablishedpersonnelpolicies,including salaries and wages of the personnel engaged in the performance of or in support of the Services,and allowances for vacation,sick leave,holiday,employee insurance and social and retirement benefits,all payroll taxes,premiums for public liability and property damage liability insurance,workers'compensation and employer's liability insurance,and all other insurance premiums measured by payroll costs,and other contributions and benefits imposed by any applicable law or regulation. 2.All other direct costs at cost reasonably incurred in the performance of the Services,including,but not limited to, such costs as: (i)costs incurred for travel and subsistence of personnel engaged in performance of the Services; (ii)costs of all materials,supplies,equipment, temporary facilities and hand tools not owned by the workers,used or consumed in the performance of the Services and remaining the property of Operator; (iii)costs of all materials,supplies,and equipment incorporated and utilized in the Facility; (iv)reproduction costs and the cost of computer time, including related operator time,and use of standard programs at standard rates (all other computer programming or outside computer related services to be provided at actual cost); (v)minor expenses such as telegrams,long distance telephone calls,telephone service,and similar petty cash items; (vi)rental of office space,as may be necessary; (vii)sales,use or similar taxes related to the Facility of the performance of the obligations 27 hereunder imposed by any governmental authority; Status Report Dated November 4,1991 As discussed I will recommend to the City Council that they not execute any PSA until after receipt of the final R.W.Beck and Geothermax bond opinions.The new schedule which incorporates the processor PSA's,indicates execution will not occur until 9 months after the City/AEA Agreement.Binding commitments from the processors should be in hand prior to the City/AEA Contract being executed, General Structure Memo Comments From review of the structure documents it appears evident that a general intent of Ormat has been to shed as much risk as possible to others.It will be important for our attorneys to determine what effect the subsidiary companies have with respect to corporate shell risk. Construction Agreement lc -Dry hole risk becomes city's after 25 day performance test. ld -Fixed price appears like it would have an open addition for any permit associated requirements not anticipated at document execution. le(vii)-The effect of this is to agree to a lump sum price 2 -3 months before receipt of a report from R.W.Beck that costs are reasonable, 2c(i)-Quality standards have to be agreed for in advance and the requirements for OESI to comply with them must be included. 2£-Ormat should provide a warranty in excess of a year for their production units. 5f£-Liquidated damages should be tied to true costs. O&M Agreement lb(i)-My understanding was the fluid line to the plant was to beOrmats.Why not have them assume ownership (and any potential environmental liability). 2c -Components of the mobilization fee should be clearly defined to avoid shifting of construction costs. 3a -Has snow moving equipment been budgeted?What maintenance equipment will be turned over to AEA at conclusion of the operating agreement. 3a(iv)+(v)-Additional risk shedding has occurred regarding repair of the transmission line.Where is repair budgeted? 3b -Costs don't align with spreadsheet.The payment scheme is complex enough that it would warrant a schedule of all the components having funding requirements. Fluid Fee Agreement 2c -How will this clause work with bondholders?A significant infrastructure investment would have been made at this point. 2e -Elaboration of this clause is critical to minimizing future project costs. 4a4 -Taxability of the project should be reviewed. 4a6 -OESI has stated that the modified royalty payment does not change the Ormat/Battle Mountain Agreement.The ratio of payments is not consistent however.A sensitivity analysis should be done to see how OESI benefits from the change. 4b -The clause "Energy Delivered For Sale"is in our interest and should be maintained.The energy point should be defined as the city bus. 4c OESI originally justified the high IRR on the project due to the degree of risk they assumed.The risk they have shed should result in a corresponding reduction in their IRR. 6£-This clause shifts permitting responsibility to AEA forconstruction.What liability does this create if there is an unforeseen permitting related fatal flaw. 6j -Attorneys need to review transfer to affiliates without consent.
