TIT. ADOPTION OF PRIOR MINUTES A. B. Burke Wick will resend the April Meeting Minutes for approval. July meeting minutes were approved with corrections. APPROVAL/MODIFICATION OF AGENDA A.Jim Strandburg mentioned Doyon Utilities were not included as guests at this meeting and would need to be informed of future meetings as discussed at the July15"meeting.Burke Wick suggested discussing during General Discussion.Motion approved to adopt agenda as written. COMMITTEE REPORTS AND CORRESPONDENCE ane)Dispatch Subcommittee -Subcommittee has not met. Reliability Subcommittee -Meeting regularly.A Table Top Exercise was held with the city of Anchorage being in charge.The exercise went well with some changes that Doug Hall and Burke Wick said that they would like to see on it.Those changes were sent to Enstar representative Kevin Spillers who was in charge of the Exercise. Protection Subcommittee -Subcommittee has not met. Machine Ratings Subcommittee -Subcommittee has not met. SCADA/Metering/Communications Subcommittee -Doug Hall stated that the OSI representatives were here for updates in October.They went through the list of items that were to be addressed and were able to accomplish most of them.However the Outage Reports were still not coming through on SCADA.Doug Hall stated that he would see that that issue be addressed the next time that OSI was here for updates. Maintenance Subcommittee -Subcommittee has not met. Budget Subcommittee -Subcommittee has not met.Henry Dale has received a phone call from Tom Lovas asking to see the budget for IOC.Henry asked if it was something that would be o.k.to give out.No one objected. System Studies Subcommittee -Dr Jim Cote was here for four days of training.It was a very informative training.EPS on budget VI. I.Intertie Status Report -Doug Hall -The OSI team was here in October to do updates and did not get to the Reports.It is on their list and Doug said that he would see that the team took care of it during the next time they were here.The document that they would be using would be modeled after the ISO's.Due to time constraints it would be after the first of the year.There will be historical documents at that time. J.Communications Received -Henry Dale stated that he had received notice from Joe Kelly that Jim Cross is the new Cantwell Supervisor. VISITOR'S COMMENTS MADE ON AGNENDA None RECESS No recess taken. WORK SESSION A.Dispatch Subcommittee --Doug Hall gave an update on what is still being worked on in their system.Unit 5 is will be up soon,along with Unit 8 having single day outages.Burke Wick said that Chugach did not have any outages planned for the next month.The SVC at Dave's Creek will be switched out in January. B.Reliability/Protection Subcommittee -Henri Dale said that they are close at having a new relay in place on the .They are working on synchronizing it now. C.Machine Ratings Subcommittee --No work assigned. D.SCADA/Metering/Communications Subcommittee -Henry Dale received a letter requesting a new Divcom circuit to be run at Ship Creek.This would replace the current state ran communication connection.This system would phase out the state system in stages.Henri Dale said that it would save the company financially almost immediately.The two users of the line are Chugach Electric Association and Golden Valley Electric Association.Both users have agreed to the change over which should start taking place this following year.Official notice to the state has not been made. Henri Dale gave Jim Standberg the name of the contact at DivCom so that he could verify the time line of the change over.Henri asked for permission to notify Divcom in writing that the companies involved had approved the change over. E.Maintenance Subcommittee - i.Talkeetna crossing -Doug Hall stated that the initial drawings for the pole upgrade at the Telkeetna Crossing are going forward.He had contacted Dave Burligame for an estimate and was told it would be 4 -6 weeks.Once those drawings were made,Doug would then contact Dryden &LaRue for the bid process.Dryden &LaRue stated that it did not have to be winter for them to work on the project.Jim Strandberg stated that the IOC wants informational briefings of progress of the Telkeetna River crossing upgrade. ii.SVS upgrades - iii.Talkeetna Storage Reels --Burke Wick stated that he had not heard from Bill ?.Burke expected to hear from him today and would forward any e-mail that was sent. F.Budget Subcommittee -Henri Dale stated that everyone should begin the process of setting up a 2011 Budget.It has to be approved by April.Shelly's replacement is Don Whalen,whom she did spend her last three months of work training in. VIL VII.moSystem Studies Subcommittee -No Comments Upgrade/Extension of Intertie to Teeland -Nothing is happening due to funding issues.There is an issue getting the 300'ROW purchased from the Fish and Game along with Alaska Railroad.IOC wants to work alone and not with other entities if possible.There was a discussion as to the line from Hollywood to Douglas being at risk now with poles in need of repair.The Larraine to Douglas line is will tie the existing Hollywood Road to Douglas line. Intertie Insurance Review -Jim Standberg asked that the insurance committee look into the portion of insurance that covers the Soldotna to Quartz Creek line. General Discussion -the discussion on the Soldotna to Quartz Creek line covered the fact that all of the lines would be installed at 230KVA capabilities,but that the linewouldonlybeusedat115KVA.Only the update to the wire and replacing down poles is being looked at.The cost should be around 80 million total for the whole upgrade including updating the SVC at Douglas. The parties to this Agreement are: i.Chugach Electric Association,Inc.,a corporation organized and existing under the laws of the State of Alaska, hereinafter referred to as "CEA." 1.2 Municipal Light s Power,a department of a munici- pal corporation and political subdivision of the State of Alaska, hereinafter referred to as "ML&P." , 1.3 Matanuska Electric Association,Inc.,a corporation organized and existing under the laws of the State of Alaska, hereinafter referred to as "MEA," 1.4,Homer Electric Association,Inc.,a corporation organized and existing under the laws of the State of Alaska, .hereinafter referred to as "HEA." | 2.RECITALS. | |This Agreement is made with reference to the following facts,among others:, 2.1 The parties are all public utilities certified to provide electric utility service pursuant to AS 42.05;and 2.2 The parties each own electric power systems for the Sale and distribution of electric powerto customers located within their service areas;and. , .2.3 The parties wish to acquire a mobile substation complete with high side fuses and low side breakers,mounted on a lowboy trailer and capable of being transported and energized to restore electric service in the event of failure of the parties! various individual distribution substations;and 2.4 The parties wish to 4ointly participate in the ownership,administration,operation and maintenance of this mobile substation in accordance with the provisions of this Agreement;and 2.5 The purpose of this Agreement is to set forth the relative rights and obligations of the parties with respect to the ownership,administration,operation and maintenance of the mobile substation. 3.AGREEMENT. In consideration of the premises and the mutual cove- nants set forth herein,the parties agreeto the terms and con- ditions as'follow. 4.DEFINITIONS. The following terms,when used herein,whether in the singular or plural,shall have the meanings specified: 4.1 Accounting Practice.Generally accepted utility accounting principles and practices,in accordance with the -2- Federal Energy Regulatory Commission's 'prevailing Uniform SystemofAccountsPrescribedforPublicUtilities. 4.2 Acquisition Costs.The costs of acquiring the mobile substation,including but not:limited to,those costs incurred in connection with acquisition,engineering,planning,design,.licensing,contract preparation,legal services,accounting,completion or testing.| 4.3 Ownership Share.The percentage of undivided ownership of each party in the mobile substation,which percen- tages are as follows: A.CEA =25% Be ML&P =(258 C.MEA =25% D.HEA =25% 4.4 Liability.Liability of one or more of the parties for damages occurring after the effective date of this Agreement suffered by anyone other than a party,whether or not resulting from the negligence of a party,its directors,officers,- employees or any other person or entity whose negligence would be imputed to such party,resulting from: || A.the performance or non-performance of operating work;or , B.the use or ownership of the mobile substation; or Cc.the past or future performance or non= performance of the obligations of any party arising under this Agreement. 4.5 Management Committee."The Management Committee established pursuant to Section 6.1 of this Agreement. 4 2.|4.6 Operating and Maintenance Work.Work associated with:the operationand maintenance of the mobile substation, including but not limited to,the following activities: Engineering,purchasing,supervising,accounting,administration, ''repairing,providing renewals and replacements,expediting, inspection,legal services,and testing. )4.7 Party.A party to this Agreement and its suc- cessors pursuant to this Agreement.| | 4.8 Prudent Utility Practice.Any of the practices, -methods and acts which,in the exercise of reasonable judgment, in the light of the facts known at the time the decision was made,would have been expected to accomplish the desired result at the lowest reasonable cost consistent with reliability, safety,expedition and all applicable laws and governmental rules,regulations and orders.Such practices,methods and acts shall include but not be limited to the practices,methods,and acts engaged in or approved by a significant portion of the electrical utility industry prior to the time the decision was made.Prudent utility practice is not intended to be limited to the optimum practice,method or act to the exclusion of all. -4- ° others,but rather to be a number of possible practices,methods or acts.In applying the standard of prudent utility practice to any matter under this Agreement,equitable consideration should be given to the circumstances,requirements and obliga tions of each of the parties.| 4,9 Project.The project shall consist of a mobile substation.mdre fully described in Section 2.3 of this Agreement and identified in an appendix to this Agreement. 4.10 Insurance.Policies of insurance procured and insurance programs maintained by the parties for mobile sub- stations in accordance with Section 20 hereof. 5.OWNERSHIP.- . , 5.1 The parties shall own the mobile substation as tenants in common according to their ownership shares. 5.2 Notwithstanding any provision of this Agreement to the contrary,the parties:(i)are co-owners of the project; (ii)reserve the right to each use the project;and (iii)will not jointly sell use of the project;however,each party may delegate authority to sell use of the project for its account, but only for a minimum period when use is not contemplated by any party,and in no event for more than ten (10)days.The parties do not intend to create hereby any joint venture,partnership or association taxable as a corporation. 6..ADMINISTRATION.6.1 The parties shall form and maintain a ManagementCommitteewhichshallmeetattherequestofanypartyfor.the purpose of making decisions as to use and reviewing the manage- "ment and operation of the mobile'substation.Telephonic meetings of the Management Committee are specifically authorized in emergency situations where immediateuse is necessary.The. Management Committee shall consist of the operations manager,or his designee,from each of the parties. | | 6.2 The following decisions shall be implemented only with the unanimous consent of the Management Committee: A.Decisions,the intended effectof which is to modify or alter the project,with the exception of normal fuse sizes and relay settings,and except to the extent that any such modification or alteration is required by any Federal,State,or local law,rule or regulation or any decree or decision of any. court or regulatory body having jurisdiction in the premises;and |B.Any decision regarding termination of the Agreement with respect to the project,except as required by any Federal,State or local law applicable to the project or any decree or decision of any court or regulatory body having juris- diction over the project. ,| | 6.3 Except as otherwise provided,any action or deter- mination of the Management Committee shall require a majority vote of the parties,acting through their respective represen- tatives,each party casting one vote for each percentage point of entitlement share it has in the project.| ) 6.4 All significant actions or determinations made by. the Management Committee shall be reduced to writing and promptly disseminated among the parties.. |6.5 "Whenever any act is required to be performed under the terms of this Agreement and the manner in which such act is to be performed is not otherwise specifically detailed,then such act shall be performed in a diligent,timely manner in accordance with prudent utility practice. | 6.6 The Management Committee shall maintain separate books and records for the acquisition,operation and maintenance of the project.Such books and records shall be available to the parties for their inspection.Copies of such books and records shall be made available to any party upon request,provided such party reimburses the Management Committee for the reasonable cost. of reproducing or otherwise making available such books and records. 6.7 The parties shall have the right to audit the books and records of the Management Committee pertaining to the acquisition and operation of the project.The costs of an audit, including the cost of staff time and other costs incurred by and reasonably allocated to such audit by the Management Committee, shall be borne by the parties requesting the audit unless such -7- audit leads to a determination that the Management Committee has failed to perform its obligations under this Agreement,in which case the Management Committee shall pay all costs of the audit. 7.ACQUISITION. , 2 lL The Management Committee shall arrange for the design and acquisition of the Project,including any regulatoryapprovalsorpermitsnecessaryfortheProject,in accordancewithprudentutilitypractice,and shall use its best efforts to achieve delivery and commercial operation of the projectby 'October1,1984,but shall not be responsible for delays which are beyond its control. 8.OPERATIONAND USE. || 8.1 "The parties shall operate and maintain the project in accordance with prudent utility practice and in accordance with this Agreement.| 8.2 It is the intent of the parties that the projectwillbeusedbyanypartyprimarilywhereanemergencyorimpendingemergencyoccursinconnectionwithadistribution substation owned or operated by one of the parties.For purposes .of this section,an "emergency or impending emergency"means that a distribution substation owned or operated by one of the parties is out of electrical.service for reasons beyond the reasonablecontrolofthatparty,or is about to be out of electrical ser- vice,and no reasonable alternative exists to correct that "impending condition. 8.3°At the option of the Management Committee,the pro- ject may be used for substation maintenance operations conducted by a party.For the purposes of this section,"maintenance" means any use which can be scheduled,planned,or reasonably foreseen by the party,but shall not include use of the project. 'in connection with any activity which cannot'be terminated by the party within eight (8)hours after noticetothat party that the project is required for emergency or impending emergency use and the project made available and ready for transport for such emergency use.Planned,scheduled,or reasonably,foreseeable use which cannot be terminated and the project made ready for road transportation within eight (8)hours after notice to the party is specificallynot authorized by this Agreement and will consti- tute substantial breach of this Agreement by the party engaging in such use.The parties agree that the Management Committee shall have the right to reclaim possessionof the project at the - end.of the eight (8)hour period without regard to the status of the using party's activity or system.. . 8.4 The Management Committee shall make all decisions concerning use by a party,including priority of use as between two or more parties.The decision of the Management Committee will be final,and the parties specifically waive their right to appeal or arbitrate any such decision as to use or priority of use.The parties agree that neither the Management Committee nor the members thereof will be liable in any action brought by -9- either a party to this Agreement or some third party as a result of a decision made by the Management Committee as to use or priority of use. 8.5 Non-Party Use.Non-parties to this Agreement will normally not be allowed access to or use of the project.Inextremelyrarecircumstances,the Management Committee may,atitssoleoption,authorize use of the project by a.non-party but only under the following circumstances:A non-party's use shall be limited to emergencies as defined in this Agreement,and the "Management Committee may not authorize non-party maintenance use of the project.Emergency use by a party shall take priority over emergency use by a non-party,and any use by a non-party shall be immediately terminated upon notice that the project is needed for emergencyuse by a party.Use of the projectby a non--party shall be limited to those locations accessible by the Alaska State Highway System from Anchorage,excluding use of the Alaska Marine Highway System.The non-party's use shall be spe-cifically governed by the terms of this Agreement,including Sections 8.1,8.3,8.4,8.5,8.6,8.7,8.9,9.1,9.4 and 12.26 The non-party shall,before use of the project,obtain and con- tinue in full force and effect liability insurance in sufficient amount and coverage to eund that party's liability as set out in) this Agreement during that party's period of use of the project. 8.6 No party.may use.the project or remove the project from the designated storage area without first obtaining specific 210- authorization to do So from the Management Committee.The using party agrees to inspect the project before use and to begin or continue use only after that party has fully satisfied itself that the project is safe and serviceable. 8.7 The using party assumes all responsibility and liability for damages of any kind,including personal injury or property damage,occurring during the period of use by that party.The period of use begins upon loading and removal of the project from the designated storage area,and terminates upon return and replacement of the project in the designated storage area,To the maximum extent permitted by law,the using party agrees to and shall indemnify and defend the other parties to this Agreement,their officers,employees,and agents,for tort liability for all claims for damages and injuries of any character or nature whatsoever arising from the use of the pro- ject by the using party,its officers,employees,or agents.'The using party agrees to assume the defense of any such claims and to pay all expenses (including attorney's fees)connected> therewith.and all judgments which may be obtained against the parties to this Agreement._, 8.8 The parties shall obtain and continue in full force and effect liability insurance,in sufficient amount and coverage to fund that party's liability set out in the preceding | paragraph,during that party's period of use of the project. 8.9 The using party agrees to return the project to the -ll- designated storage area,after use,in a safe and serviceable condition and maintained in accordance with prudent utility prac tice.This obligation does not,however ,supersede,lessen,or replace the subsequent user's duty to inspect the project before said subsequent use,but rather,is intendedby the parties to ensure that the physical property constituting the project remains intact,and is not intended as a guaranty,warranty,or obligation toa subsequent user as to the condition,safety,or serviceability of the project. . | 9,PERIOD OF USE. 9.1 The period of use of the project by any party will be only.for the minimum time reasonably necessary under all of the circumstances existing at the time to remedy the condition existingin the user's electrical distribution system causing the need for use of the project.The project willbe returned to the :designated storage area by the using party at the earliest possible time after removal of the project from electrical ser- vice in the user's system.|. .9.2 In the case of emergency use,the using party must - reapply to the Management Committee to continue use beyond an initial thirty (30)day period.The Management Committee may | grantan additional use period not to exceed thirty (30)days. If the Management Committee grants such an additional use period, the using party will be assessed a use fee of One Thousand Dollars ($1,000.00)per day for each day or part thereof during |-L2- i, which the use peri is extended beyond the inacial thirty (30) day period. ) )9.3 In the case of maintenance use,the using partywillnormallynotbeauthorizedtoextendsuchusebeyondan ini-tial period of ten (10)working days.In any event,the using party must reapply to the Management Committee to continue main- tenance use beyond the initial ten (10)working days period.The Management Committee may grant an additional use period not to exceed ten (10)working days.If the Management Committee grants such an additional use period,the using party will be assessed a "use fee of Two Thousand Dollars ($2,000.00)for each day or part thereof during which the use period is extended beyond the ini- tial ten (10)working days period.| 9.4 In case of non-party emergency use,the using party must.reapply to the Management Committee to continue use beyond an initial ten (10)day period.The Management Committee may grant an additional use period not to exceed thirty (30)days. The using party will be assessed a use fee of Five Thousand Dollars ($5,000.00)per day for each.day,or part thereof,of the entire use period from its beginning. 7 9.5 In no case may the period of use within any con- Secutive twelve (12)month period expressed as a percentage of that twelve (12)month period exceed the percentage which thatparty's ownership share bears in relation to the total ownershipshareofalloftheparties. -13- 10.STORAGE, 10.1 When not in use,the project shall be stored at a placein Anchorage,Alaska designated by the Management Committee from time to time. ll.ACQUISITION COSTS. ) 11.1 Acquisition costs associated with the acquisition of the project shall be paid for in accordance with the invoicing and payment procedures set forth in Section 13 of this Agreement. 12.OTHER COSTS. 12.1 Operation and maintenance costs shall be shared and paid for by the parties in proportion to their ownership shares. 'Credits relating to operation and maintenance costs,including but not limited to payments under Sections 9.2,9.3 and 9.4, insurance proceeds and proceeds from the sale of the project, shall be allocated in proportion to the ownership shares. 12.2 Transportation costs shall be allocated to the party causing such costs and shall be the direct responsibility of that party. 13.ADVANCEMENT OF FUNDS.| .'13.1 Each party shall pay its share of acquisition costs and operation and maintenance costs.- 13.2 The Management Committee shall,at least annually, prepare and assess the parties to this Agreement in proportion to their ownership shares an assessment to cover the costs of opera- tion and maintenance of the project,insurance,storage, -14- compliance with environmental,safety,or other laws or regula- tions pertaining to the project,or other costs which,in the opinion of the Management Committee,are reasonably necessary to continue operation and maintenance of the project according to , prudent utility practice. 13.3 Payment of all such assessments shall be made by each party to the Management Committee within thirty (30)days of presentation of such an assessment. 14.CAPITAL ADDITIONS. 14.1 Any time a party shall determine that any capital addition,repair,improvement,or replacement is required or reasonably useful for efficient operation of the project,it shall prepare a cost estimate of such capital addition,repair, improvement,or replacement and promptly submit the estimate to the Management Committee.Subject to unanimous consent of the Management Committee,if required pursuant to Section 6.4 of this Agreement,the Management Committee may then proceed with the capital addition,repair;improvement,or replacement,the costs thereof to be paid in proportion to the parties"entitlement shares._ 15.TAXES. 15.1 The Management Committee shall supply all necessary information to enable any taxing authority imposing taxes or _assessments on the project,or any interests or rights therein, to assess and levy such taxes or assessments directly against each party in accordance with its entitlement share. -15- 15.2 All taxesor assessments applicable to a party or such party's interest in the project,or the revenues therefrom, without including limitation income,ad valorem,and sales taxes, shall be the sole responsibility of such party.Each party shall promptly pay when due all taxes or assessments levied with "respect to its interest in the project,subject to the right to réasonably protest or contest such tax or assessment either before or after payment thereof.In the event a party fails to pay any such tax or assessment finally determined to be due,the Management Committee may do so and include such payment in sums next due from such party. 16.CO-TENANCY AND NON-PARTITION. -The parties will own their interests in the project as tenants in common.Each party (i)waives any right which it may have to partition the project or any component thereof of this Agreement,whether by partition in-kind or by sale and division of the proceeds;(ii)waives any right which it may have to 'resort to any action in law'or in equity to partition the same; and (iii)further waives the benefits of all laws that may now or hereafter authorize such partition for a term (1)which shall be co-terminous with the term of this Agreement,or (2)which shall be for such lesser period as may be required under applicable law. |, 17.MORTGAGE AND TRANSFER OF INTERESTS. 17.1 Any party shall have the right at any time and from -16- time to time to mortgage,create or provide for a security interest in,or convey.in trust all or a part of its interest in 'the project,together with an equal interest in this Agreement, inder deeds of trust,mortgages,indentures,or security agreements,including mortgages to the United States Government, as security for its present or future bonds or other obligations or securities,without need for the consent of any other party, and without the mortgagee,trustee or secured party assuming or becoming in any respect obligated to perform any of the obliga- tions of the party prior to its taking possession of or | foreclosing upon the interest of such party. 17.2 Any mortgagee,trustee or secured party under pre- sent or future deeds of trust,mortgages,indentures,or security agreements of any party and any successor or assign thereof,and any receiver,referee,or trustee in bankruptcy or.reorganization of any party,and any successor by action of law or otherwise | pursuant to this Section,or any transferee of any thereof,may, without the prior written consent of any other party,succeed to and acquire all of the interest of such party in the project and this Agreement,and may take over possession of or foreclose upon said interest of such:party,and in such event shall assume and be obligated to fully perform and discharge all of the obliga- .tions hereunder of such party. 17.3 Any party shall have the right to transfer all,but not less than all,of its interest in the project to any of the -17- following entities without the consent of any other parties; )A.Any entity succeeding to all or substantially all of the property and system of such party;or B.Any entity merged or consolidated with such party;or , |Ce."Any entity which is wholly-owned or controlled by such party;oF | D.Any entity created by one or more of the par- ties to supply a party or parties with power and energy in bulk. 17.4 Except as otherwise provided in Sections 17.1 and 17.2 hereof,any successor to the interest of a party shall succeed to such interestin the project and shall assume and be 'obligated to fully perform and discharge all of the obligations under this Agreement of such party.Such successor shall notify the other parties in writing of its successionto the interest of such party and furnish to the other parties evidence of such transfer or merger. 17.5 A party shall not be relieved of any of its obliga-. tions under this Agreement by succession or transfer under thisSection17withouttheexpresspriorwrittenconsentof.the other parties,which consent will not be unreasonably withheld. 18.RIGHT OF FIRST REFUSAL.18.1 Except as provided.in Sectionuy,should any party desire to transfer its interest in the project,or any part thereof,to any person or entity,the other parties shall have -18- the right of first refusal to purchase such interest for the greater of the original cost of such interest,depreciated from the date of ownership transfer to the date of transfer,or the outstanding debt of the transferring party attributable to such interest.If the other parties do not elect to purchase such interest of the offering.party pursuant to this Section 18,the latter may proceed to transfer such interest to.any person or entity. , 18.2 Any transferof less than a party's entire interest which would have the effect of increasing the number of parties to this Agreement after the transfer is completed must receive the unanimous approval of the Management Committee. °18.3 At least one year prior to the date on which the intended transfer is to be consummated under this Section 18,the party desiring to transfer shall serve written notice of its intention to do so upon the other parties.Such notice shall 'contain the proposed date of transfer and the terms and con- ditions of the transfer,including the name and the bona fide written offer of the proposed transferee; . 18.4 The rightof first refusal described in Section 18.1 hereof shall include the right to purchase all of the interest to be transferred by the other party.In order to exer- cise such right of first refusal,the parties must serve written notice of their intention upon the party desiring to transfer within six (6)months after service of the written notice of -19- intention to transfer given pursuant to Section 18.3 hereof. 18.5 If the partiesfail to exercise their right of first refusal to purchase the entire interest to be transferred, then the party desiring to transfer shall serve written notice of this fact upon the other parties after the expiration of the six (6)month period referred to in Section18.4 hereof. 18.6 The purchase of the interest by the parties having elected to purchase the same shall be fully consummated within one (1)year following the date upon which the initial notice was given under Section 18.3 hereof,unless such parties are then diligently pursuing applications for required authorizations or 'approvals to effect such transfer,in which event the transfer shall be consummated and the buyer shall tender payment within six (6)months following the date upon which the approval is received. . . 18.7 If any party fails to exercise its right of first refusal to purchase its pro rata share of the interest to be transferred,the other remaining parties'right of first refusal shall be increasedon a pro rata basis to include the right of first refusal not exercised by that party. |18.8 A party transferring an interest pursuant to this Section shall remain liable and obligated for the performance of the terms and conditionsof this Agreement related to such interest arising from events occurring prior to the time of -20- transfer,but it shall not be liable or obligated for the perfor- _mance of the terms and conditions of this Agreement related to such interest arising from events occurring subsequent to the time of transfer as to the interest transferred, 18.9 Notwithstanding any other provision of this Agreement,any person or entity acquiring or succeeding to an .interest of any party shall take or acquire such interest subject to all the terms and conditions of this Agreement,and shall assume and be responsiblefor all of the outstanding obligations of its predecessor in interest,and shall also acquire all the 'rights of its predecessor in interest under this Agreement. 18.10 A party shall not be relieved of any of its obli- gations under this Agreement by transfer under this Section 18 without the express prior written consent of the other parties, which consent will not be unreasonably withheld.| 19.DESTRUCTION AND TERMINATION. 19.1 If the project should be destroyed or substantially damaged or if the parties are unable to reach agreement on the date of termination of this Agreement as provided for in Section 24 hereof,each party shall decide whether or not it desires to repair or reconstruct the project or continue the operation of the project.Any party,if it is willing to pay the costs of either repairing or reconstructing the project,or to continue such operation,shall have the right todoso.If the project is repaired or reconstructed or a party decides to continue operation of the project,the party which agrees to pay the 21- costsof such repair,reconstruction or continued operation shall,unless otherwise agreed between the parties,pay the costs thereof. 19.2 In the event less than all parties desire to repair or reconstruct the destroyed or substantially damaged substation or terminate operation as described in Section 19:1,then the party which does not agree to repair or reconstruct:the substa- tion or continue operation shall sell its interest in the substa- tion to the parties which desireto repair or reconstruct the substation or continue operation pro rata according to the 'purchasing parties'entitlement shares,and the purchasing par- ties shall purchase such interest pro rata for an amount equal totheproductofthesalvagevalueoftheprojectandthesellingparty's entitlement share. 20 -INSURANCE.a 20.1 Unless otherwise agreed by the parties,the. Management Committeeshallprocure and maintain in force,or cause to be procured and maintained in force,policies of prop- erty insurance,at least to the extent that similar insurance isusuallycarriedbyutilitiesconstructingandoperatingdistribu- tion substations and to the extent available at reasonable costs. 20.2 Each party shall be named an insured,as its .interests may appear,individually and jointly with the other parties,on all such property insurance policies.- -22- 20.3 Each party shall have the right to have any mortgagee,trustee or secured party named on all or any of the property insurance policies as loss payee,or where necessary to satisfy any legal or contractual obligations of a party,as an additional named insured as its interest may appear,by notice to the Management Committee given in writing,which notice shall specify the name or names of such mortgagee,trustee or secured party and such additional information as may be necessary or required to permit it to be included on the policies of property insurance. , | 20.4 Each party shall be furnished with certificates of insurance evidencing that insurance requirements have been met by the Management Committee.Each property insurance policy will be available for examination by any party at any reasonable time. 20.5 Each of the property insurance policies shall be endorsed so as to provide that all named insureds or loss payees shall be given the same advance notice of cancellation or material change as that required to be given to the Management Committee. 20.6 Any proceeds of property insurance received with respect to the project shall be paid to the parties in proportion to their entitlement shares. 21.COVENANTS REGARDING THIS AGREEMENT AND DEFAULTS. 21.1 Upon failure of a party to make any payment when -23- due to the Management Committee or to perform any other obliga- tion under this Agreement,the Management.Committee may make written demand upon such party to pay or otherwise perform.If the failure is not cured (a)within fifteen (15)days from the date of receipt of a demand for payment in the case of a failure to make payment to the Management Committee under this Agreement, or (b)within fifteen (15)days from the date of receipt of a demand for performance in the case of a failure to perform any obligation other than'pay money to the Management Committee under this Agreement,the failure shall constitute a default as of the expiration of the fifteen (15)day period. -.21.2 If a party disputes the amount of a payment deemed due under this Agreement,it shall nevertheless make such payment within the fifteen (15)day period provided in Section 21.1 under written protest directed to the other parties.To the extent any payment is not made when due,such payment shall bear interest at a rate of Ten Percent (10%)per annum. 21.3 A party in default for failure to make payment of acquisition costs due prior to the date of delivery shall,at the option of the remaining parties and upon thirty (30)days'notice to the defaulting party,lose that portion of its ownership share in-the project.Unless otherwise agreed among all of the non- defaulting parties,the defaulting party's entitlement share lost by operation of this Section 21.3 shall inure to and all costs -associated therewith shall be borneby the non-defaulting parties -24- in the ratio each such non-defaulting party's entitlement share bears to the total of all'non-defaulting parties'entitlement shares.Nothing in this Section 21.3 shall be construed to relieve a defaulting party of any liability for its default, except that its obligation to make payments associated with any lost ownership share shall be discharged to the extent that other parties have made such payments. 21.4 A partyin default for failure to make any payment under this Agreement shall have no right to use of the project until sixty (60)days after such time as all defaults are cured. Nothing in this section 21.4 shall be construed to relieve a , defaulting party of any liability for its default,including reimbursement to the non-de faulting parties for all payments made in respect to the defaulting party's obligation to make payments. 21.5 In addition to the rights granted in this Section 21,the parties may take any action in law or equity, including an action for specific performance,to enforce this Agreement in accordance with the terms thereof. 22.RESOLUTION OF DISPUTES. |22.1 If the parties are unable to reach agreement with respect to a matter herein specified to be approved,established, determined,or resolved by agreement of the parties,a party may call for submission of such matter or dispute to arbitration in the manner herein set forth,which call shall be binding upon the other parties to the dispute.The Management Committee shall. -25- é continue to do all things and make all expenditures necessary in. carrying out all duties and responsibilities provided for in this © Agreement pending final decision of the arbitrator. 22.2 The party calling for arbitration shall give notice to the other parties.Such notice shall,in adequate detail,set forth the nature of the dispute,the issuesto be arbitrated,and the.remedy sought by such arbitration proceedings.within twenty (20)days from receipt of such notice such other parties may,by notice to the first party,prepare their own statement of the nature of the dispute,the issues to be arbitrated,and the remedy sought by such arbitration proceedings.Thereafter,the party first submitting its statement of the matter at issue shall have ten (10)days within which to submit a rebuttal statement. to the other parties.The statements shall constitute the sub- mittal statement for arbitration. 22.3 Within ten (10)days following the submission of the rebuttal statements,the parties shall meet for the purpose of selecting one.arbitrator.In the event the parties shall fail to select such arbitrator as herein provided,then they shall request the American Arbitration Association (or a similar organization if the American Arbitration Association should not at that time exist)to provide a list of arbitrators,the number of which shall be one more than there are sides to the dispute. The arbitrator selected above,if any,and all arbitrators on such list shall be available to serve and shall be skilled and- =-26- experienced in the field which gives rise to the dispute and no person shall be eligible for appointment as an arbitrator who is an officer,employee,or consumer of any of the parties to the dispute or is otherwise interested in the matter to be arbitrated.Within thirty (30)days after the date of receipt of such list,the parties shall take turns striking names from said list.The last name remaining on said list shall be the selected 'arbitrator.Within ten (10)days after such selection,the par- ties shall submit to such arbitrator the written notices prepared pursuant to Section 22.2 hereof. 22.4 Except as otherwise provided in this Section 22, the arbitration shall be governed by the rules of the American -Arbitration Association (or a similar organization if the American Arbitration Association should not at that time exist) from time to time in force,except that,if such rules and prac- tices as herein modified shall conflict with the laws of the State of Alaska then in force,such laws shall govern.This sub- mission and agreement to arbitrate shall be specifically enforce- able.The findings,decision and award of the arbitrator upon "any question submitted to it hereunder shall be final and binding upon the parties to the extent and in the manner provided by the laws of the State of Alaska. 22.5 Included in the issues which may be submitted to arbitration pursuant to this Section is the issue of whether the -27- right to arbitrate a particular dispute is permitted under this Agreement. } 22.6 The arbitrator shall hear evidence submitted by the parties and may call for additional information.Such additional information shall be furnished by the party or parties having "such information.The arbitrator shall have no authority to call 'for additional information or determine issues not included in the submittal statement. 22.7 The award of the arbitrator shall contain findingswithrespecttotheissuesinvolvedinthedispute,including themeritsoftherespectivepositionsoftheparties,the . materiality of any default and the remedy or relief which shall be required to resolve the dispute.The arbitrator may not grant any remedy or relief which is inconsistent with this Agreement.The arbitrator shall also specify the time within which the party shall comply with the arbitrator's award.In no event shall the award of the arbitrator contain findings on issues not contained in,or grant a remedy beyond that sought in,the submittal state- ment. ,, 22.8 If the arbitrator determines that a default exists, the award of the arbitrator shall contain findings relative to the period within which the defaulting party must remedy the default (or commence remedial action),and the remedies which may be exercised by the non-defaulting parties in the event the default is not remedied within such period. f -28- 22.9 The fees and expenses of the arbitrator shall be shared equally among the parties involved in the arbitration, unless the decisionof the arbitrator shall specify some other apportionment of such fees and expenses.All other expenses and costs of the arbitration shall be borne by the party incurring the same.) 23.UNCONTROLLABLE FORCES. | A party shall not be considered to be in default in the performance of any of its obligations hereunder other than obli- gations of the party to pay monies under this Agreement if the failure of performance shall be due to uncontrollable forces. Project bids were received on September 2,2010 and the low bidder was City Electric Inc.City Electric began work in the yard on September 10,2010 and all tasks were completed by September 23,2010.The following is a summary of the work performed on this project. Task 1 -Tower layout Towers were organized according to their type.Tower types A,B,C,D,E,F,HA,SA,SB,SC, and SD were all present on site.Each tower was laid out to provide ease of assembly and ample room for large equipment to access it.Each tower type also used its own type of static arms.All static arms are located together and laid out according to their type.The attached as-built map titled "Alaska Intertie Yard,”provides the location for all types of towers and their specific pieces. Task2 -Scrap Removal Experienced linemen were used to determine what materials could be salvaged from the yard. Any items that were damaged or too weathered for future use were discarded.The remaining material was grouped together for placement in or around the Connex boxes. Task 3 -Connex and Assorted Materials Placement Two Connex boxes were placed on site to keep smaller materials shielded from weather. Connex 1 was filled with six fish totes containing suspensions insulators of various sizes. Connex 2 contains small galvanized items in four fish totes as well as other miscellaneous items. ..Mr.James S.Strandberg :December 28,2010 Page 2 Guy wire reels,tower ladder pieces,tower foundation templates,and larger tower accessory pieces were placed around the Connex location.A complete layout of all materials and an inventory list can be found attached to this letter.
