On behalf of all of us at the Firm,we are very pleased to have the opportunity to continue to act as BPMC's legal counsel.The purpose of this letter is to outline the terms of our professional relationship. 1.Nature of Engagement and Scope of Legal Services.BPMC will be the entity with whom the Firm has an attorney-client relationship.BPMC is retaining the Firm to provide energy and regulatory advice as directed.This engagement letter may also cover other matters as the BPMC may from time to time request and the Firm agrees to perform unless these matters are covered by a new engagement letter or an addendum to this letter. 2.Staffing/Compensation,Billing and Expenses.|,Kirk Gibson,will be principally responsible for this work,with assistance from our firm Associates where practicable.My current public power rate is $335/hour.Our associate rates range from $225/hour to $300/hour. In order to avoid conflicts of interest that would result in the inability of one or more BPMC utilities to utilize legal counsel of their choosing,it is necessary to avoid any relationship that would result in my being deemed to represent any of the utilities Individually as a result solely of this collective representation. In order to avoid an individual attorney-client relationship with each BPMC utility,the Firm proposes that It represent only an entity consisting of the BPMC utilities consistent with thearrangementtheBPMChadwithAterWynneLLP.In order to commence the desired representation,!propose that each member of the BPMC sign this letter indicating acceptance of the following terms: A.The utilities involved with the Bradley Lake hydroelectric facilityhavecreatedtheBPMCforthepurposesofadvancingtheircommoninterestsas members of the BPMC,and of securing legal and consulting services to advise and represent them on those matters of common interest. B.The Group retains the Firm only as to matters within the authority of the BPMC as that authority is defined in Section 13(c)of the Power Sales Agreement.In its representation of the Group,the Firm shall advise and represent the Group members only with respect to their duties as members of the BPMC,as those duties are defined in Section 13(c)of the Power Sales Agreement. C.No communication to the Firm by any utility member of the Group, as a result of the Firm's representation of the Group,shall be confidential from other members of the Group.The Parties will not disclose to the Firm any information that they are not willing to have used in this manner. D,For purposes of determining conflicts of interest and any resulting limitations on the Firm's ability to represent any individual member of the Group, the Firm is counsel to the Group and will undertake no representation of any other party that is in conflict with such representation. E,The Firm's representation of the Group does nat constitute representation of any individual member of the Group and shall not preclude the Firm from any representation adverse to an individual Group member,so long as such representation is not adverse to the interests of the Group as a whole. F.The Group designates the Chalrman of the Group for the purposes of assigning work to the Firm and of giving direction as to how their March 2,2010 Page 3 assigned work should be carried out. G.Billings for legal services will be sent to such entity or entities as the Chairman may direct from time to time. McDowell Rackner &Gibson PC Bradley Lake Project Management Committee Dated:Wlaythad 4 .ZENS BPMC Regular Meeting 9/25/2015 Agenda Item 4 ---HEA Objection to published Agenda items --- a.HEA objects to the inclusion of Item 7.B ("Resolution 14-11 -Mediation or dispute resolution process Kirk Gibson”)for discussion on the BPMC's agenda. Mr.Gibson has professional and ethical responsibilities owed to each individual member of the BPMC. This particular question of a "contractual agreed to dispute resolution”has been raised by the Protesting Utilities in the lawsuits. HEA does not consent to McDowell Rackner &Gibson's representation of the Group in connection with any matter in the lawsuit,particularly in providing an opinion on a matter that may be adverse to one or more members of the Group he claims to represent. b.HEA also objects to the inclusion of Item 8C ("Homer's Notice of Claims Kirk Gibson”) for discussion on the BPMC's agenda. This item appears to be a reference to a letter from HEA's lawyers to the attorneys for four utilities,ML&P,GVEA,MEA,and CEA.The letter was not sent to this committee.What the four utilities do,or don't do,in response to the notice is not a proper matter for this committee's action. 112347-0001/127982479.1 HEAs BPMC Regular Meeting 9/25/2015 Agenda Item 4 ---HEA's Objections to Additional Agenda Items proposed by MEA by email 9/7/15 1."An explanation by AEA of their 'new'position in the on-going litigation.” HEA objects to the inclusion of this item on the agenda.It is not appropriate for the BPMC to ask the AEA for "an explanation of its position in litigation.”Should the parties in the on-going Supreme Court matter have questions for AEA,they should ask them through their lawyers in the litigation. 2."A potential motion to notify the Trustee on the bonds of the status of the litigation and the new assertion of restraint of trade by HEA.” HEA objects to the inclusion of this item on the agenda.AEA is the Borrower and the entity that communicates with its Lenders.The BPMC should not be involved in communication between the Borrower and the Lenders on the bonds. 4,"A discussion of the purpose and objective of mediation with HEA.” HEA objects to the inclusion of this item on the agenda.First,the BPMC is NOTa party in the lawsuit and would not be mediating with HEA.Second,none of the utilities in the litigation should be asked to state their purposes and objectives at a meeting of the BPMC.Third,the BPMC is not the appropriate entity to sponsor settlement discussions between the litigants in the lawsuit.On that point,HEA has stated to the RCA's lawyer that it is willing to participate in good faith settlement discussions,within the context of the litigation settlement proceedings. 5."Possible BPMC response to RCA letter to the legislature,inter alia” HEA objects to the inclusion of this item on the agenda.The contemplated action,a BPMC response to an RCA letter to the Legislature,exceeds the BPMC's authority under the Power Sales Agreement and should not be an item for discussion on the Agenda. 112347-0001/127982479.1 BPMC Regular Meeting 9/25/2015 Agenda Item 6 ---Approval of Meeting Minutes There is an error in the minutes at Item 8B,on page 2,in the first sentence,second to the last paragraph.The draft minutes state: "Mr.Gibson informed he wrote a letter to Rick Baldwin ofHEA,at the direction of the Chair,... The letter referenced here by Mr.Gibson was not written to Attorney Baldwin,it was written to me,Harvey Ambrose.The minutes should be corrected to accurately state who the letter was written to. 112347-0001/127982479.1 BPMC Regular Meeting 9/25/2015 HEA comments on Agenda Item 7.B: "Resolution 14-11 -Mediation or dispute resolution process Kirk Gibson” This old business item is identified for discussion by Mr.Kirk Gibson.At the last meeting,the Chair requested Mr.Gibson provide the Committee "with an opinion on whether the Resolution 14-11 process was mediation or the contractual agreed to dispute resolution.” We repeat our objection: HEA does not consent to McDowell Rackner &Gibson's representation of the Group in connection with any matter in the lawsuit,particularly in providing an opinion on a matter that will be adverse,either way,to a member of the Group he claims to represent. Mr.Gibson represents the individual members of the group but only in connection with certain matters consented to by each member of the BPMC.As to those matters,Mr.Gibson is the lawyer for each utility member of the Group.We have separately advised the Chair and Mr. Gibson that Mr.Gibson is not authorized by HEA to address others members of this committee in connection with HEA's August 27 letter to ML&P,GVEA,MEA,and CEA.Just as comments at this BPMC meeting regarding HEA's notices to other utilities are inappropriate,it is inappropriate for the Group's attorney to advise the Group in any manner where the interests of his clients are not aligned.” 112347-0001/127982479.1 BPMC Regular Meeting 9/25/2015 HEA comments on Agenda Item 8.C HEA continues to object to discussion of the item Homer's Notice of Claims in this meeting. First,HEA,through its lawyers,wrote to the attorneys for four utilities,ML&P,GVEA,MEA, and CEA.In the letter,HEA put four utilities on notice that,based on its review of the law and facts,the actions of ML&P,GVEA,MEA,and CEA violate the Alaska Antitrust and Unfair Trade Practices Acts.” The letter was not sent to this committee.What the four utilities do or don't do in response to the notice is not a proper matter,in our view,for this committee's discussion or action. Second,Mr.Gibson has no place describing or in any way commenting on a dispute between the members he represents in his role as the lawyer for the BPMC. Third,Homer stands by its statements in the letter.If any member of this group wants to know what was said to its attorney in the letter,that member should ask its attorney.Nothing Homer says --or does not say --during this meeting changes its notice to the recipients of the letter.” 112347-0001/127982479.1 ASSIGNMENT OF BRADLEY LAKE HYDROELECTRIC PROJECT AGREEMENT FOR THE SALE AND PURCHASE OF ELECTRIC POWER This ASSIGNMENT OF BRADLEY LAKE HYDROELECTRIC PROJECT AGREEMENT FOR THE SALE AND PURCHASE OF ELECTRIC POWER is made effective as of the 25th day of September,2015,between Alaska Electric Generation and Transmission Cooperative,Inc.("Assignor")and Matanuska Electric Association,Inc. ("Assignee"or "MEA"). WHEREAS,on December 8,1987,Assignor entered into a contract with the Alaska Power Authority ("APA"),Chugach Electric Association,Inc.("Chugach"),Golden Valley Electric Association,Inc.("GVEA"),the Municipality of Anchorage d/b/a Municipal Light and Power ("ML&P"),the City of Seward d/b/a Seward Electric System ("SES"),Homer Electric Association,Inc.("HEA")and MEA,titled the Bradley Lake Hydroelectric Project Agreement for the Sale and Purchase of Electric Power ("Power Sales Agreement"),wherein APA agreed to sell,and Chugach,GVEA,ML&P,SES,and Assignor (on behalf of HEA and MEA),agreed to purchase,electric service from the Bradley Lake Hydroelectric Project under the terms set forth in the Power Sales Agreement; WHEREAS,Assignor on June 30,2003,assigned to the Alaska Electric and Energy Cooperative,Inc.,Assignor's rights,interest and duties in the Bradley Lake Hydroelectric Project Agreement for the Sale and Purchase of Electric Power ("Power Sales Agreement")as were then held or owed by Assignor on behalf of HEA: WHEREAS,Assignor has used the electric power purchased from the Bradley Lake Project on behalf of MEA,as well as power from other sources,to provide the wholesale power needs of MEA pursuant to the terms of a wholesale power agreement between Assignor and MEA; WHEREAS,under Section 17 of the Power Sales Agreement,the Power Sales Agreement is assignable by its terms if: (1)the assignment accords with the terms of any of the Purchaser's covenants or agreements with the holders of the Purchaser's bonds,notes or other evidences of indebtedness relating to the abandonment,sale,mortgage,lease or other disposition of property of the Purchaser's System;and (2)the assignment is: (A)consented to in writing by a majority of the Bradley Project Management Committee,including AEA's representative;or (B)made to another utility that is already a Purchaser under this Agreement Assignment to MEA (9/25/2015)-Bradley Lake Hydroelectric Project, Agreement for the Sale and Purchase of Electric Power Page 1 of 9 and is able to meet the obligations resulting from the disposal or assignment; WHEREAS,under Section 17 of the Power Sales Agreement,an assignee of the Power Sales Agreement must: (1)assume in writing all of the assigning Purchaser's obligations under the Power Sales Agreement, (2)pay any amounts due and owing from the assigning Purchaser under the Power Sales Agreement,and (3)provide the Authority and the Purchasers with an opinion of counsel that this Agreement is enforceable against the assignee (unless the assignee is already a Purchaser). WHEREAS,under Section 30 of the Power Sales Agreement,MEA has all of the rights and obligations of a Purchaser under Section 17 of the Power Sales Agreement; WHEREAS,a majority of the Bradley Project Management Committee,including AEA's representative,has consented in writing to the assignment of Assignor's interest in the Power Sales Agreement to MEA; WHEREAS,Assignee desires to acquire the rights and is willing to assume the obligations of Assignor on behalf of MEA under the Power Sales Agreement;and NOW,THEREFORE,the parties agree as follows: the1.Assignor assigns Assigaot's i interest and duties in the Bradley Lake Hydroelectric Project Agreemept'for the Sale and Purchase of Electric Power ("Power Sales Agreement")to Assignee as"re held or owed by Assignor on behalf of MEA. "A 2.Assignee assumes and covenants to perform all the obligations of Assignor owed on behalf of MEA under the Power Sales Agreement,and guarantees to hold Assignor harmless from any claim or demand made under the Power Sales Agreement to the extent such claim or demand relates to obligations owed by Assignor on behalf of MEA.
