CALL TO ORDER Chair Izzo, MEA, called the Railbelt Transmission Organization Governance Committee meeting to order at 10:00 a.m. A quorum was established. 2. ROLL CALL (for Committee members) Tony Izzo (Matanuska Electric Association [MEA]); Travis Million (Golden Valley Electric Association [GVEA]); Brad Janorschke (Homer Electric Association [HEA]); Brian Hickey (City of Seward); Arthur Miller (Chugach Electric Association [CEA]); Mark Billingsley (Alaska Energy Authority [AEA]); and Ed Jenkin (Railbelt Reliability Counsel [RRC]). 3. PUBLIC ROLL CALL (for all others present) Karen Bell, Jennifer Bertolini, Curtis Thayer (AEA); Matt Clarkson (CEA); Daniel Heckman (GVEA); Sarah Lambe, Jessica Spuhler (HEA); Andrew Jensen (Governor’s Office); Tony Zellers (arrived late) (MEA); Carl Monroe (Munro Advisors, LLC); Leanne Smoke (AEA); and Tina Grovier (Stoel Rives, RTO). Jennifer Bertolini, AEA, noted that Curtis Thayer, Executive Director AEA, is attending via the Teams Meeting, and that Mr. Billingsley is attending in person on his behalf. 4. AGENDA APPROVAL MOTION: A motion was made by Mr. Janorschke to approve the agenda. Motion seconded by Mr. Miller. A roll call was taken, and the motion to approve the agenda passed unanimously. 5. PUBLIC COMMENTS There were no public comments. 6. APPROVAL OF THE MEETING MINUTES – June 20, 2025 and June 30, 2025 MOTION: A motion was made by Mr. Hickey to approve the Meeting Minutes of June 20, 2025, and June 30, 2025. Motion seconded by Mr. Billingsley. A roll call was taken, and the motion to approve the Minutes of June 20, 2025, and June 30, 2025 passed unanimously. ___________________________________________________________________________ RTO Minutes 7/18/25 Page 2 of 4 7. OLD BUSINESS – None 8. NEW BUSINESS A. Open Access Transmission Tariff, RCA Matter #TA1-8001 Tina Grovier, Stoel Rives, reported that the RTO filed its nondiscriminatory Open Action Transmission Tariff (OATT) as #TA1-8001 on July 1, 2025. The Regulatory Commission of Alaska (RCA) accepted the OATT and noticed it for public comment on July 2, 2025. The comments were due on July 16, 2025. Four comments were received from Regulatory Affairs & Public Advocacy (RAPA), Railbelt Reliability Council (RRC), Alaska Public Interest Research Group (AKPIRG), and Alaska Wind Holdings, LLC. All four of the comments asked for a suspension and investigation of the OATT. Ms. Grovier noted that she has matters related to these topics to discuss in executive session, the immediate knowledge of which could have an adverse effect on the legal position and financial position of the RTO and/or the Committee members. There were no comments or questions. B. Annual Meeting and Election of Officers Chair Izzo discussed that the elections will be held by secret ballot. Members who are online can email their ballot to Ms. Bertolini. Chair Izzo noted for the record that the formal process per the Bylaws was followed for the nominations. Notification for the nominations was sent out, and the time period has closed. The candidates for Chair are Mr. Million and Mr. Janorschke. The candidates for Vice Chair are Mr. Miller and Mr. Izzo. The candidate for Secretary/Treasurer is Mr. Thayer. Chair Izzo distributed the ballots to members attending in-person. The members online were directed to email Ms. Bertolini their selected votes. Vice Chair Million and Mr. Hickey confirmed they emailed Ms. Bertolini their selections. Ms. Bertolini affirmed receipt of the emails. Ms. Bertolini tabulated the votes. Chair Izzo announced the tabulated election results: Mr. Million as Chair, Mr. Izzo as Vice Chair, and Mr. Thayer as Secretary/Treasurer. There were no comments or questions. Chair Izzo turned the meeting over to Mr. Million as the new Chair. Chair Million continued the meeting as scheduled with Item. 9. MOTION: A motion was made by Mr. Billingsley to enter into Executive Session to discuss matters, the immediate knowledge of which could have an adverse effect related to RTO finances and legal strategy. This is consistent with our Bylaws, which allow the Board to consider confidential matters in executive session, and in this case, the RTO believes that ___________________________________________________________________________ RTO Minutes 7/18/25 Page 3 of 4 these are subjects that would have an adverse effect on the finances of the RTO and are being discussed with an attorney, the immediate knowledge of which could have an adverse effect on the financial or legal position of the Committee or are protected by law due to rules protecting personal privacy and certain business information. Motion seconded by Mr. Hickey. A roll call was taken, and the motion to enter into Executive Session passed unanimously. 9. EXECUTIVE SESSION – 10:15 am. (Bylaws Section 5.12.3) To discuss matters, the immediate knowledge of which could have an adverse effect on the finances or legal position of the RTO, the Committee or Authority, or that are confidential under state, federal, or local law. The RTO Governance Committee reconvened its regular meeting at 11:40 a.m. Chair Million advised that the RTO did not take any formal action on the matters discussed while in Executive Session, except as authorized by Bylaws Section 5.12.2 to give directions to an attorney or negotiator regarding the handling of specific legal matters or pending negotiations. There were no comments or questions. 10. MEMBERS COMMENTS Mr. Hickey expressed appreciation for the hard work and the good discussion. He looks forward to the progression of this effort. Mr. Jenkin congratulated Chair Million on becoming Chair, and thanked him for running the meeting. Mr. Miller thanked everyone for the good meeting. He looks forward to working with everyone throughout the process and progression of this effort. Vice Chair Izzo thanked everyone for the good meeting and the discussions. He looks forward to the next steps in this process. Mr. Janorschke reiterated the comments of appreciation. He is eager to receive the feedback from the RCA. Chair Million echoed Mr. Janorschke’s comments. There were no other comments or questions. 11. NEXT MEETING DATE – TBD Chair Million indicated that the next meeting is at the call of the Chair. It is likely to occur in late August. Members’ schedules will be coordinated, and the meeting will be posted accordingly.
